CLIENT’S DUTIES AND RESPONSIBILITIES. A. Client shall retain final authority and responsibility to approve the resolution of all Claims that are within the member retained limits and is responsible for all other aspects of the Coverage, except for the services to be provided by Keenan under this Agreement. B. Client shall provide Keenan with all applicable information in a timely manner so that Keenan can fulfill its obligations under this Agreement. Client certifies that all information provided to Keenan shall be complete, accurate and timely and that Keenan may rely upon such information without further investigation or review. Client understands and agrees that such information has not been audited by Keenan and Client shall remain liable for its accuracy. C. To the extent Keenan requires the assistance of Client’s staff or any third parties who are assisting, advising or representing Client to fulfill its obligations hereunder, Client shall have its staff and these third parties assist Keenan. D. If a trust account is opened by Keenan on behalf of the Client, Client hereby agrees to fund such trust account and to maintain a minimum balance, during the Term of this Agreement, of at least an amount sufficient to ensure that there are sufficient funds available to pay all appropriate and properly submitted Claims. If Claims exceed the balance in the trust account Client shall be responsible for covering those Claims. Keenan agrees to notify the Client if there are any deficiencies in the minimum balance of the trust account when Claims exceed the account balance. All deficiencies in the minimum balances in the trust account are due and payable upon receipt of notice from Keenan. Client hereby agrees to provide funds to sufficiently fund the trust account in a timely manner. Keenan shall not, under any circumstances or occurrences, be responsible for funding any deficiencies in the trust account; nor, shall it be responsible for the payment of any appropriate and properly submitted Claims. E. Client acknowledges and agrees that Keenan will use its discretion in its role as Claims administrator. In such capacity, Keenan shall have no responsibility or liability for actions taken or payments approved, unless it shall be determined that Keenan acted in willful misconduct or in a manner that was grossly negligent. CLIENT’S DUTIES AND RESPONSIBILITIES. 3.1 Client shall carefully and properly operate, set, maintain and test the System in a manner prescribed by Company and/or the manufacturer during the term of this Agreement. 3.2 It is the sole responsibilities of the Client to: (I) furnish any necessary telephone service, lines, jacks, network or internet connection at Client’s own expense and all telephone or transmission charges shall be billed to Client (II) furnish an necessary electrical service, outlets, and current through the Client’s meter and at the Client’s sole expense (III) confirm that the Telephone, computer, or network equipment is compatible with the System when there are changes to the Telephone equipment, network or internet services rendered to client by the telephone, cable provider, or other such company, i.e. Voice, call waiting, answering machines, etc. and (IV) test the System and areas and zones of coverage periodically, at least monthly and whenever changes are made to the system or to the telephone, network, electrical, or internet service for the Premises. Any claimed inadequacy or failure of the System shall be immediately reported in writing to Company for service. 3.3 Client is solely responsible for providing and maintaining any computer network facilities (WAN, LAN), computers, or databases that interface and/or are connected to System according to the Company and manufacturer specifications and requirements. Client will provide the necessary bandwidth, router configurations, internet protocol (IP), gateway, and subnet mask addresses as well as timely, qualified assistance for troubleshooting and connecting to their network facilities. Client is responsible for creating and entering all data into databases as well as providing any required information or data such as pictures, logo, and barcodes. 3.4 For camera and video Systems, Client agrees to provide all necessary lighting for proper illumination of viewed areas and understands that video images are subject to change with the environment. Company cannot guarantee video storage length, image quality or admissibility of images for use in court or to make positive identifications. Client is solely liable for the legality and content of recording video or audio that may occur both on and off the Premises. 3.5 Client is solely responsible for any devices or systems that connect to the System and were not provided by Company, or which are provided by Company but serviced by others. e.g. fire suppression, HVAC, lighting, el...

Client shall make available in a timely manner at no charge to Developer all technical data, computer facilities, programs, files, documentation, test data, sample output, or other information and resources required by Developer for the performance of the Services. Client will be responsible for, and assumes the risk of any problems resulting from, the content, accuracy, completeness and consistency of all such data, materials, and information supplied by Client.

CLIENT’S DUTIES AND RESPONSIBILITIES. Client shall, at its own expense, cooperate with XXX XXXXXXXX XXXXXX XXXXXXXX LTD and provide or make available to XXX XXXXXXXX XXXXXX XXXXXXXX LTD appropriate access to Client’s premise (if necessary) and all relevant information reasonably required by XXX XXXXXXXX GERMAN XXXXXXXX LTD to enable XXX XXXXXXXX GERMAN XXXXXXXX LTD to perform the Services. Client will also be required to have an approved veterinarian provide an up-to-date bill of health, including but not limited to vaccinations (Rabies, Distemper, Bordetella, applicable boosters, etc.), Flea and Tick prevention, Heartworm prevention, and monthly de-worming, etc.
CLIENT’S DUTIES AND RESPONSIBILITIES. Client will, at its own cost: a. Provide reasonable access for Alvaka’s personnel to information and the assistance of informed personnel required by Alvaka to carry out the Services hereunder. Client will cooperate with Alvaka in a professional and courteous manner. Client will for example reboot servers or monitoring agents upon request of Alvaka; if Client does not wish to perform such functions, then if necessary Alvaka will come on site and additional fees will apply. b. Maintain sufficient bandwidth and a high speed Internet connection at the Client site(s) to support the Services. If this is not maintained, Alvaka will not be obligated to provide the Services and/or may increase fees for the Services to reflect the higher cost of supporting Client. c. Maintain Client’s environment within all device and hardware manufacturer recommendations, including without limitation avoiding electromagnetic interference and other disruptive forces, and providing proper ventilation and appropriate computer system operating temperatures. d. Acquire and maintain appropriate software licenses, unless otherwise agreed to in an Attachment. Upon request, Client will provide Alvaka copies of licenses and related warranties and support contracts. e. Ensure that all backups are performed and in good working order, unless Alvaka is specifically contracted to provide this Service and agrees in an Attachment to take primary responsibility for this specific task. In any case Alvaka cannot be responsible for the loss of data or for data integrity for any reason. If Client has concerns about the performance of its backup systems, Alvaka must be immediately advised in writing. f. Be solely responsible for the accuracy, quality, integrity, legality, reliability, and appropriateness of all Client data, information, and materials. g. Comply with all applicable federal, state, local and foreign laws, rules and regulations in connection with its use of the Services and of its IT systems. h. Provide all necessary information when requesting technical support. This information includes but is not limited to: (i) name of the end user experiencing issue; (ii) location of end user and computer; (iii) contact information for end user; and (iv) detailed description of the issue. i. If Services are performed at Client's place of business, furnish full and safe access to Client’s office, network and systems for Alvaka’s personnel. CLIENT’S DUTIES AND RESPONSIBILITIES. 3.1 Client shall provide for the employees of BPE suitable working spaces with appropriately equipped workstations in sufficient numbers and at no cost in order for the employees to perform the services covered in this agreement during normal working hours, and to safely store materials, documents and data-­‐storage. 3.2 Client shall appoint a responsible project manager as BPE’s contact person for the entire term of the consulting assignment. In the event that the project manager’s working relationship with Client ends during the term of the consulting assignment, Client shall have the right and be obligated to appoint a new project manager. 3.3 BPE relies upon the support and cooperation of Client in order to perform its services. Client shall provide its own sufficiently qualified employees as deemed necessary by BPE for cooperation. 3.4 Client does not have the right to poach any project staff from BPE within 12 month after formal and documented project closure. Any other conditions are binding only upon being accepted in writing by BPE.
