Content of the Service. (a) Throughout the Term, the Service shall be a twenty-four (24)-hour per day, high-quality, professionally-produced programming service consisting exclusively of international news and news features providing coverage of global events and news analysis, similar to the programming on the program schedule attached hereto as Exhibit B. Network shall, during each month of the Term, send a copy of its monthly program schedule to Affiliate, in care of: Programming Department. Network agrees that the Service will not contain [*] subject to the qualifications set forth in Section 3(i) hereof. For purposes of this Section 3(a), a "financial news service" shall mean a service that carries more than [*] of regularly scheduled business and/or financial news in any hour during the period beginning at 8:00 a.m. and ending at 6:00 p.m., prevailing Eastern Time, on any business day. Notwithstanding the foregoing, a service may carry up to [*]. Notwithstanding anything contained in Section 3(a)(ix) to the contrary, during the period commencing on the date hereof and continuing until the first date on which the Service is distributed to at least [*] subscribers (the "Benchmark Date"), the Service may include up to [*] between the hours of 2:00 a.m. and 9:00 a.m., prevailing Eastern Time. (b) Network shall make available to Affiliate not less than [*] of the Service, to be used at [*]. All commercial announcement time provided to Affiliate hereunder shall be equally distributed throughout each and every hour of the Service and shall not occur between the actual or apparent end of one program and the actual or apparent beginning of another program; provided, however, that nothing contained in this Section 3(b) shall be construed to required Network to edit or re-edit certain programs provided by non-affiliated sources, unless Network is so doing for its own commercial use or insertion by other distributors of the Service. Affiliate agrees that it will not use its commercial announcement time in the Service to insert "tune-in spots" (i.e., announcements that instruct a subscriber to tune in at a later time for a particular program on another programming service). Content of the Service. (a) Service Content. Throughout the Term, the Service shall be a professionally-produced, twenty-four (24)-hour per day, seven (7)-day per week, programming service consisting of no less than fifteen (15) hours of children's programming and no more than six (6) hours of family programming each day, whereby all of the Service programming shall be targeted towards children between the ages of 6-11 years, and limited amounts of programming for children of the pre-school and "tweens" ages of 13-14 years, as well as teenagers between the ages of 14-19 years. For purposes hereof, "Children's programming" consists of animation, pre-school series, variety, comedy/drama, documentaries and special events geared towards children. The programming on the Service in the evenings shall target young adults with movies, game shows, music and variety programs and talk shows. All programming on the Service will be featured in Spanish language with occasional bilingual or English programming. All programming will target U.S. Hispanics of various Latin cultures. The programming shall be similar to the programming on the program schedule attached hereto as Exhibit B. During each month of the Term, Network shall send a copy of its monthly program schedule to Affiliate, in care of: Programming Department. (a) Throughout the Term, the Service shall be a twenty-four (24) hour per day, seven (7) day per week, professionally produced, satellite-delivered Spanish language programming service consisting exclusively of Spanish-language general entertainment programming, including (but not limited to) Mexican-produced movies, variety, talk and other shows, educational programs, children's programming, boxing and other sports programming, and news, all similar (in terms of the nature, content, type and quality of programs) to the programming on the program schedule attached hereto as Exhibit B. During each month of the Term, Network shall send a copy of its monthly program schedule to Affiliate, in care of: Programming Department. Network agrees that the Service (including any advertisements contained therein) will not contain (i) programming that has received, or had it been rated would have received, an MPAA "X" or "NC-17" rating; (ii) more than two (2) hours per calendar day of religious programming, provided that none of such religious programming shall be of a proselytizing nature that includes any solicitation or request for donations, contributions or payments of any kind, whether monetary or otherwise; (iii) a sufficient quantity of music videos such that the Service could be characterized as a music video service; (iv) a sufficient quantity of children's programming such that the Service could be characterized as a children's programming service; (v) live or taped excerpts or entire portions of actual courtroom trials, hearings or other similar proceedings as a substantial component of the programming; (vi) pay-per-view movies or events; (vii) financial news; (viii) blackouts; (ix) surcharges; (x) promotion or marketing of "800," "888," "900," or "976" telephone services, or other similar services that xxxx a caller for placing or confirming the call (other than for the telephone company's cost of the call), that relates directly or indirectly to gambling, the occult, astrological, psychic, sexual or romantic activities or other adults-only services, or that is directed at children; or (xi) direct on-air sales programming (as defined herein) in excess of three (3) hours in any one (1) calendar day, which may only occur between the hours of 12:00 a.m. and 6:00 a.m., prevailing Eastern Time, subject to the qualifications set forth in Section 3(i) hereof, provided that none of such direct on-air sales programming shall be telecast on the weekends.
Content of the Service. The content of the Service is described in the service description made available to the Customer by Hiab. As a part of the Service, the Customer may receive recommendations for action from Hiab (for example reminders or recommendations for upcoming repairs and maintenance work, product or spare parts campaigns, etc.). Customer acknowledges and agrees that such recommendations are informational only and do not represent legal or technical advice or instruction from Hiab. The Customer decides, and is ultimately responsible for, its actions and inactions in connection with its equipment, including, without limitation, whether any recommendations received through Service are followed, whether and when equipment is to be repaired, whether maintenance work is to be done, and otherwise whether any reminder or recommendation received through the Service is acted upon. For the avoidance of doubt, no repair or maintenance work is included in this Agreement, which are always subject to separate agreement.
Content of the Service. (a) Throughout the Term, the Service shall be commercial-free and shall consist of twenty-four (24) hours per day of high quality, non-rated cable-version adult programming intended for an adult audience, similar to the program schedule attached hereto as Exhibit B, but also including special Events as described in Section 5 below. Notwithstanding the foregoing, the Service shall not contain any programming depicting rape, necrophilia, sadism, sado masochism, bestiality, bondage, incest or programming involving or suggesting sexual activity with, between or among, minors. Network agrees that, during each calendar month of the Term, Network will send one (1) copy of its monthly program schedule to Affiliate, in care of: Vice President, Programming.
(b) During the Term, Network shall provide the Service in its entirety to Affiliate. When the phrase "in its entirety" is used in this section, it means that each subscriber of Affiliate receiving the Service shall receive, at all points in time, the same programming received at each such point in time by any other subscriber to the Service, and if any subscriber to the Service is receiving, at such point in time, programming that is different than the programming received by any subscriber of Affiliate receiving the Service at that point in time, Affiliate shall have the unconditional right to elect which programming it desires to receive and utilize at any System and which programming it will authorize for reception.
Content of the Service. The Portfolio Service includes information services. The information services include the possibility to follow the Client’s portfolio entries and information as well as cash account entries. The Client’s portfolio information is updated with a delay of one (1) banking day. Various report and analysis services may also be in- cluded in the Portfolio Service. Such reports and analyses are intended only for the Client’s personal use.
Content of the Service. Califa shall, in its sole discretion, include such programming in the Network as it deems appropriate. Directrix shall have no right to alter, substitute, delete or otherwise modify the content of the Network as provided by Califa. Califa shall have the exclusive right to extend, reduce or otherwise change the hours during which the Network are distributed to end users of the Network. Califa shall have the right to store any air masters and materials at the Operations Facility that have an active air date and Califa shall remove the air masters and materials from the Operations Facility within thirty (30) days of Califa's reasonable determination that such tapes no longer have an active air date. Directrix shall not exhibit or transmit any Network programming at any time other than as scheduled by Califa, without express written permission by Califa. Directrix hereby acknowledges that from time to time Califa may modify the programming to be supplied as part of the Network without prior notice, and Califa shall not be held liable in any way by Directrix for such changes. Directrix shall not be responsible for pre-screening any of the videotapes delivered by Califa to Directrix pursuant to Paragraph 7 [Delivery to Directrix].
Content of the Service a. Playboy shall, in its sole discretion, include such programming in the Service as it deems appropriate from time to time to deliver an adult- oriented pay television service. Subject to the provisions of Paragraph 5, Affiliate shall have no right to alter, substitute, delete or otherwise modify the Service as provided by Playboy. Playboy shall have the exclusive right to extend, reduce, or otherwise change the hours during which the Service is being delivered to Affiliate.*** ***Confidential information omitted pursuant to a request for confidential treatment filed separately with the Securities and Exchange Commission. During the hours of the day, if any, that Playboy is not transmitting the Service, Affiliate may carry any other programming that Affiliate desires in its sole and absolute discretion, provided that Affiliate notifies Playboy of such carriage of other programming and that Affiliate may not in any way imply that non-Service programming is a part of or is connected in any way with the Service. Affiliate shall not exhibit or transmit any Service programming at any time other than as scheduled by Playboy, without express written permission by Playboy. Affiliate hereby acknowledges that from time to time Playboy may modify the specific programs and programming schedule (as opposed to materially changing the adult nature of the Service) to be supplied as part of the Service without prior notice, and Playboy shall not be held liable in any way by Affiliate for such changes.
b. Playboy shall, for each month of the Term, send one (1) copy of its monthly program schedule as soon as it is available to Affiliate, ATTN: Director, Pay-Per-View.*** Affiliate acknowledges that the Service includes (or, in the future, may include) 800, 888 and 900 telephone number spots and "Playboy Home Shopping"*** Affiliate also acknowledges that once per week Playboy transmits an up-to-sixty (60)-minute block of promotional programming intended for its affiliates.*** ***Confidential information omitted pursuant to a request for confidential treatment filed separately with the Securities and Exchange Commission.
c. Playboy shall use commercially reasonable efforts to provide Affiliate with a "clean" entry point to the Service at 11:00 p.m. Eastern time each day, provided, however, that Playboy's occasional failure to provide such entry due to live events or other programming shall not be considered a breach of this Agreement.
Content of the Service. 7.1 The application of the Contract and production of the Service will start when the distribution system operator begins delivering metering data concerning the electricity production of the Cus- tomer’s Microgeneration Plant to Xxxxx.
7.2 In the Service pursuant to the Contract, Xxxxx receives the Surplus Production produced by the Customer’s Microgeneration Plant as an open delivery. In other words, Xxxxx buys the Sur- plus Production produced by the Customer’s Microgeneration Plant and takes care of the imbalance settlement responsibility related to the Surplus Production.
7.3 The distribution system operator measures the amount of the Surplus Production produced by the Customer’s Microgener- ation Plant, and the purchase price of the Surplus Production paid (or charged) by Xxxxx is based on the metering data re- ceived from the distribution system operator.
7.3 Xxxxx strives to show the amount of the Surplus Production through its digital service available at the given time (hereinafter referred to as “the Digital Service”). Xxxxx does not guaran- tee uninterrupted or flawless operation of the Digital Service nor that it is suitable for the Customer’s use. The currently valid definitions of Xxxxx and the terms of use reported to the Cus- tomer apply to the Digital Service, and the use of the Digital Service requires that this Contract is valid as well as Xxxxx’s electricity sales customership, in other words, an electricity supply contract with Xxxxx, registering with the Digital Service and approval and compliance with the terms of use of the Digital Service. For the sake of clarity, it is noted that the amount of Surplus Production and the contract price paid or charged for it are not based on the information shown in the Digital Service but always on the metering data received from the distribution system operator.
Content of the Service. The service is intended to make certain limited informa/on content available on the Internet. The service is not intended for data storage. The content of the service is provided at least to the extent that is a prerequisite for the opera/on of the most common freely available web applica/ons. The e-mail service is provided at least to the extent necessary to receive and send e-mail. The web hos/ng service includes a web service, a database service (sql), a (s) 9p service and an imap e-mail service.
