DUTIES AND RESPONSIBILITIES OF GRANTEE. A. In addition to the Fiscal Impact Requirements, the Grantee agrees to: (1) maintain operations at the Project Location from at least the Commencement Date until the end of the Reporting Period, and (2) employ at least eighty percent (80%) of the Grantee’s Base Employment Number between the Training Deadline and the end of the Reporting Period. B. The Grantee made certain representations to the IEDC regarding the Project in the Grantee’s application and the Agreement. The Grantee represents and warrants that all representations, statements, and all other matters contained in the application submitted by the Grantee to the IEDC and the Agreement are true and complete in all materials respects. C. The Grantee will submit an annual report not later than the 45th day following the close of each reporting year, in the form and medium provided by the IEDC. The annual report, which shall be certified as true and correct by an authorized Grantee representative, shall contain the information listed in the annual report form provided by the IEDC, including but not limited to: (1.) The number of Full-Time Employees at the Project Location employed as of the end of the reporting year; (2.) The average wage of the Full-Time Employees at the Project Location employed at any point during the reporting year, reported on an hourly basis (whether paid hourly or not, e.g. a salaried employee); (3.) The aggregate actual W-2 payroll (box 1) of the Full-Time Employees at the Project Location employed at any point during the reporting year; (4.) The amount of Capital Investment made at the Project Location during the reporting year; (5.) The number of Full-Time Employees trained for the Project and the amount spent during the reporting year; (6.) To substantiate the foregoing, a project employment sheet with the Full-Time Employees at the Project Location listed by employee name, including: last four

DUTIES AND RESPONSIBILITIES OF GRANTEE. 1.01 The GRANTEE shall provide (#) police officer(s), assigned a Prevention Resource Officer, (hereinafter referred to as "PRO") to the secondary school system operated by the BOARD. 1.02 PRO shall abide by County School Board Policies and laws, as they relate to School Prevention Resource Officers. The PRO shall consult and coordinate instructional activities through the principal. Activities conducted by the PRO, which are part of the regular instruction program of the school, shall be under the direction of the principal. The BOARD shall approve the content of educational programs and instructional materials used by the PRO. 1.03 The PRO will provide to student’s instruction in various aspects of law enforcement, public safety and education as requested and supervised by teachers. 1.04 GRANTEE shall be responsible for the control and direction of all aspects of employment of the police officer assigned to the PRO Program. 1.05 GRANTEE shall ensure that the exercise of the law enforcement powers by the PRO is in compliance with the authority granted by law. 1.06 GRANTEE shall hold harmless the BOARD for any injuries suffered by Prevention Resource Officer arising under their employment with the PRO Program. 1.07 The PRO shall not function as a school disciplinarian, or safety officer. It is not the responsibility of the PRO to intervene with the normal disciplinary actions of the school system or be used as a witness to disciplinary procedures in the school. The PRO will, at all times, be expected to act within the scope of authority granted by the law. The PRO will perform duties to the following: a. To perform law enforcement functions within the school setting. b. To identify and prevent, through counseling and referral, delinquent behavior, including substance abuse. c. To xxxxxx a better understanding of the law enforcement function. d. To develop a better appreciation of citizen's rights, obligations and responsibilities. e. To provide information about crime prevention. f. To provide assistance and support for crime victims identified with the school setting. g. To promote positive relations between students and law enforcement officers. h. To enhance knowledge of the fundamental concept and structure of law. i. To be familiar with confidentiality requirements. 1.08 The police officer may not be changed during the course of the agreement by the GRANTEE unless the substitute officer has received the required training. In addition to the performing the Project as described in Paragraph 3, the Grantee shall: (1) maintain operations at the Project Location from at least the Commencement Date until the end of the Reporting Period, and (2) employ at least eighty percent (80%) of the Grantee’s Base Employment Number between the Training Deadline and the end of the Reporting Period. B. The Grantee made certain representations to the IEDC regarding the Project in the Grantee’s application and the Agreement. The Grantee represents and warrants that all representations, statements, and all other matters contained in the application submitted by the Grantee to the IEDC and the Agreement are true and complete in all materials respects. C. The Grantee will submit an annual report not later than the 45th day following the close of each reporting year, in the form and medium provided by the IEDC. In the event the Grantee fails to timely submit its annual report, the IEDC will provide written notice of such failure, and the Grantee shall have 45 days from its receipt of notice to submit the annual report. Unless the Grantee fails to cure in accordance with this Section 7.B., no failure to timely file the annual report shall be deemed a breach of this Agreement. The annual report, which shall be certified as true and correct by an authorized Grantee representative, shall contain the information listed in the annual report form provided by the IEDC, including but not limited to: (1.) DUTIES AND RESPONSIBILITIES OF GRANTEE. A. Pursuant to the provisions of Indiana Code § 5-28-25 and this Agreement, the Grantee shall submit an IDGF Claim Form to the IEDC after a Milestone has been completed. The IDGF Claim Form must have sufficient detail and supporting documentation to allow for verification. The form and medium of the IDGF Claim Form must be substantially similar to Exhibit B. The Grantee agrees to supply additional information upon request of the IEDC. B. Upon request, the Grantee shall submit to the IEDC documentation sufficient, as determined by the IEDC’s sole and unreviewable discretion, to demonstrate that the Infrastructure Project is progressing towards completion by the Expiration Date pursuant to the Infrastructure Project Milestones in Exhibit A. Should completion of the Infrastructure Project or a Milestone fall behind schedule, the Grantee shall promptly notify the IEDC and provide a written justification for the delay. The Grantee hereby agrees that providing notification of a delay in the Infrastructure Project’s completion shall in no event be considered a formal request for an extension of the Expiration Date or a modification of this Agreement and that the IEDC shall have no obligation to extend the deadlines set forth in this Agreement.
DUTIES AND RESPONSIBILITIES OF GRANTEE. Pursuant to the provisions of Indiana Code § 5-28-7, Indiana Code § 5–28–6–6, and this Agreement, the Grantee shall submit to the IEDC, not later than the 45th day following the close of each calendar year for which this Agreement is in force, an annual report, the form and medium of which will be provided by the IEDC (the “Annual Report”). The information submitted to the IEDC in the Annual Report must be certified as true and correct by an officer of the Grantee. The Annual Report shall contain the information listed below: A. The information requested by the IEDC in its annual Incentive Procedure Packet, including the progress made towards completing the Company Economic Impact Goals (as defined at Exhibit A); B. The Grantee’s federal identification number and taxpayer account number, as assigned by the Indiana Department of Workforce Development for the purpose of unemployment insurance, to assist in the verification of the information provided by the Grantee; C. The number of full-time employees from whom Indiana withholdings are collected, employed by the Grantee at the Project Location, listed by employee name, last four (4) digits of Social Security number or other unique identifier, mailing address, hire date, and termination date (if applicable); and D. Any other information required by the IEDC to perform its duties under Indiana Code § 5- 28-7, so long as the Grantee is given notice of such requirements and reasonable time to prepare such information. The IEDC shall treat the above information as confidential, financial information pursuant to Indiana Code § 5–14–3–4(a)(5), unless the IEDC determines that it is prohibited from doing so by law or judicial order.

Responsibilities under the General Conditions of the Contract for Construction: In addition to the responsibilities herein set forth, Consulting Engineer/Architect agrees to be responsible for those matters identified in the General Conditions as being responsibilities of the Consulting Engineer/Architect. Consulting Engineer/Architect specifically acknowledges receipt of a copy of the General Conditions and acceptance of the responsibilities as set forth therein.

  • Duties and Responsibilities (a) The Auction Agent is acting solely as agent for the Trust hereunder and owes no fiduciary duties to any other Person by reason of this Agreement. (b) The Auction Agent undertakes to perform such duties and only such duties as are set forth specifically in this Agreement, and no implied covenants or obligations shall be read into this Agreement against the Auction Agent. (c) In the absence of bad faith or negligence on its part, the Auction Agent shall not be liable for any action taken, suffered or omitted by it, or for any error of judgment made by it in the performance of its duties under this Agreement. The Auction Agent shall not be liable for any error of judgment made in good faith unless the Auction Agent shall have been negligent in ascertaining (or failing to ascertain) the pertinent facts.

  • Certain Duties and Responsibilities The duties and responsibilities of the Trustee shall be as provided by the Trust Indenture Act. Notwithstanding the foregoing, no provision of this Indenture shall require the Trustee to expend or risk its own funds or otherwise incur any financial liability in the performance of any of its duties hereunder, or in the exercise of any of its rights or powers, if it shall have reasonable grounds for believing that repayment of such funds or adequate indemnity against such risk or liability is not reasonably assured to it. Whether or not therein expressly so provided, every provision of this Indenture relating to the conduct or affecting the liability of or affording protection to the Trustee shall be subject to the provisions of this Section.
