Handback. 23.2.1 During the Transition Assistance Period, the Authority will provide written notice to the Operator setting out the components of the Project Facilities including the Bus Depot owned by Authority which is required to be handed back/ transferred back to the Authority and/or its successor operator during the course of the transition phase; 23.2.2 By the end of the Transition Assistance Period, the Operator shall have handed over without payment of any monies and free from Encumbrances, the peaceful possession of Bus Depot, Parking Space (if any) or any other immovable and movable assets such as equipment, plant or machinery, etc. forming part of the Project Facilities as per the tabulation in Schedule VI handed over/ provided by the Authority to the Operator for implementing the Project in sound condition normal wear and tear excepted as well as all the documents, materials and software as specified in Clause 23.1 above; 23.2.3 The Operator is allowed to take away any temporary structures, equipment, machinery, consumables, etc. (more particularly detailed in Schedule VI) as erected or procured by it at its own cost, for the execution of the Project in accordance with the provisions of this Contract unless the Authority decides to buyback the same in terms of Clause 23.2.8; 23.2.4 A joint inspection shall be undertaken 2 (two) months before the Expiry Date. The Authority may direct the Operator in writing to undertake any repairs to the Bus Depot, Parking Space (if any) or any other immovable assets forming part of the Project Facilities that may have been provided by the Authority to the Operator during the Transition Assistance Period; 23.2.5 The Operator shall undertake the necessary repairs/ improvement and intimate the Authority in writing within 20 (twenty) days of the commencement of the Transition Assistance Period; 23.2.6 The Authority shall within a period of 5 (five) days inform the Operator in writing whether the suggested improvements have been satisfactorily undertaken or not. If not, the Operator shall be again instructed to remove the deficiencies and if the Operator again fails to do so, then an amount equivalent to the amount required to undertake the work shall be deducted from the Performance Security; 23.2.7 The Parties shall cooperate on a best effort basis and take all necessary measures, in good faith, to achieve a smooth handover of the Project in accordance with the provisions of this Contract so as to protect the safety of an...

Handback. The Project will be transferred to TxDOT upon termination of the Lease, at no charge to TxDOT. Developer and TxDOT will conduct a series of thorough inspections during the final five years of the Lease term. The inspections will result in curative work to meet Handback Requirements and/or adjustment in the Renewal Work Reserve, at TxDOT’s discretion.
Handback. 38.1 On the Expiry Date, each element of the Toll Road shall be in a condition which is: (a) consistent with the due performance by the Developer of its obligations under this Agreement including the construction, operation and maintenance of the Toll Road in compliance with the Concession Specification; and (b) consistent with the Toll Road having been designed and constructed in accordance with the applicable design life requirements set out in the Core Requirements, (together referred to as the "Handback Requirements"). 38.2 Not less than three years prior to the Expiry Date, the Developer and the Grantor's Representative shall conduct a joint inspection of the Toll Road. 38.3 Within 30 days after the completion of the inspection, if it is found that any element of the Toll Road is not in a condition consistent with the Handback Requirements, the Developer shall forthwith provide to the Grantor's Representative: (a) the Developer's proposal as to the works (if any) (the "Handback Works") required to be carried out in order to procure that the Toll Road will, on the Expiry Date, satisfy the Handback Requirements; (b) the Developer's proposal as to the programme (the "Handback Programme") for the carrying out of the Handback Works over the remainder of the Concession Period, such programme shall describe the total works to be carried out and the method of carrying out such works during the overall period in which the Handback Works shall be executed; and (c) the Developer's estimate of the cost of carrying out the Handback Works (the "Handback Amount"). 38.4 The Grantor's Representative may, within 30 days after receipt of the details set out in Clause 38.3 from the Developer, raise comments on the Developer's proposals and estimate referred to in Clause 38.3. 38.5 On agreement, or determination in accordance with Clause 47 (Expert Determination), of the Handback Works, the Handback Programme and/or the Handback Amount (as the case may be), the Developer shall procure that the Handback Works are carried out in accordance with the Handback Programme. The Developer shall carry out the Handback Works at its own cost notwithstanding that the actual cost of the Handback Works may be higher than the Handback Amount. 38.6 The Developer shall within seven days of the agreement or determination referred to in Clause 38.5, procure the provision of a bond (the "Handback Bond") in favour of the Grantor for an amount equal to the Handback Amount from a bank acceptable...

Handback. 45.9.1 Where the Councils exercise their right under Clause 37.3 to acquire Contractor Assets, with effect from the earlier of the Termination Date and the Expiry Date, the Contractor (to the extent it is able and is required by the Councils) shall transfer back to the Councils all the Contractor Assets requested by the Councils that are listed in the Final Asset Register in accordance with Clause 37.3, and shall execute such further documentation as may prove necessary in order to effect such transfer provided that at the handback of such assets the Contractor shall ensure that the Assets are of no less state and condition (fair wear and tear excepted) than at the date of the Asset Register prior to the Final Asset Register. 45.9.2 With respect to any Contractor Assets that are being leased by the Contractor from a third party or which the Contractor has taken on hire purchase or other similar arrangement (together Leased Assets), the Councils shall be entitled to take such Contractor Assets subject to the terms of the relevant lease, hire purchase or other relevant arrangement, provided that nothing in this Clause 45.9.2 will make the Councils liable in respect of anything done or omitted to be done by the Contractor after the Termination Date or Expiry Date and the Contractor will indemnify the Councils against any loss or damage or any liability (which liability will include all losses or costs, claims, expenses and damages including legal and other professional fees and expenses) which the Councils may suffer or incur as a direct result of anything so done or omitted to be done by the Contractor.
Handback. With effect from the earlier of the Termination Date and the Expiry Date, the Contractor (to the extent it is able) shall transfer back to the Councils all the Transferred Equipment and Additional Equipment that is listed in the Final Equipment List in accordance with Clause 61.3, and shall execute such further documentation as may prove necessary in order to effect such transfer provided that at the handback of such equipment the Contractor shall ensure that the Transferred Equipment and Additional Equipment are of no less state and condition (fair wear and tear accepted) than at the date of the Equipment List prior to the Final Equipment List.
Handback. 21.1 ProjectCo is required to complete an updated version of the ‘As-Built’ Submission to reflect all changes that will have taken place since the ‘As-built’ submission, in accordance with the Model Maintenance Schedule. 21.2 The Authority is responsible for the sign-off of Data Drop 6 (‘Hand-back’ submission), confirming that all of the required information has been provided in the correct formats and as detailed in the BIM Protocol and its appendices. 21.3 ProjectCo is responsible for the arrangement of the CDE transfer to a platform provided by the Authority. 21.4 Where a contract is terminated prior to the end of the 25-year ‘in-use’ period, ProjectCo shall handback the CDE to the Authority. 21.5 The Authority is responsible for the sign-off of the CDE transfer, to confirm that the required information has been provided in the correct formats and as detailed in the BIM Protocol and its appendices.
