Handback. The Contractor undertakes that upon expiry of the Term, the New Infrastructure and the Existing Infrastructure shall be in accordance with the Handback Requirements and as more particularly set out in Section 8.

Handback. The Project will be transferred to TxDOT upon termination of the Lease, at no charge to TxDOT. BeiGene and its Affiliates hereby transfer and assign to BioAtla all of its rights, titles and interests in and to the (i) Product cell line, (ii) Product master cell bank, (iii) process documentation, (iv) inventory of Product, and (v) Manufacturing Technology and all materials, technology and Know-How that BeiGene or its designated Affiliate received under the Collaboration Agreement, including without limitation as part of the Initial Technology Transfer and Technology Transfer pursuant to Amendment No. 2 thereto.
Handback. 9.11.1 The Franchisee shall hand back the Franchise Assets to DLRL on termination or expiry of this Agreement in a condition which meets all of the following requirements (and none of the following shall be construed as limiting the others):
Handback. 45.9.1 Where the Councils exercise their right under Clause 37.3 to acquire Contractor Assets, with effect from the earlier of the Termination Date and the Expiry Date, the Contractor (to the extent it is able and is required by the Councils) shall transfer back to the Councils all the Contractor Assets requested by the Councils that are listed in the Final Asset Register in accordance with Clause 37.3, and shall execute such further documentation as may prove necessary in order to effect such transfer provided that at the handback of such assets the Contractor shall ensure that the Assets are of no less state and condition (fair wear and tear excepted) than at the date of the Asset Register prior to the Final Asset Register.
Handback. 21.1 ProjectCo is required to complete an updated version of the ‘As-Built’ Submission to reflect all changes that will have taken place since the ‘As-built’ submission, in accordance with the Model Maintenance Schedule.
