If you send us Images that are incomplete, that fail to satisfy our image quality requirements, or otherwise do not allow us to meet the requirements of Check 21 or any image exchange agreement that would cover our further electronic transmission of Images that you send us, or we are otherwise unable to process Images that you send us, we may charge the Images back to your account. You agree to be bound by any clearinghouse agreements, operating circulars, and image exchange agreements to which we are a party.

Item Processing. InterCept agrees to furnish to Customer and Customer --------------- agrees to obtain from InterCept the Processing Services for the term set forth herein. Customer may obtain additional products and services offered by InterCept at InterCept's then current prices for such services. In the performance of Item Processing Services, InterCept accepts no liability for the payment of fraudulent, postdated, or otherwise improper documents.

At our sole discretion, TFB may process the check Images you send to TFB electronically through other financial institutions, or TFB may create Image Replacement Documents that will be processed through traditional check processing methods. If you send TFB Images that are incomplete, that fail to satisfy our image quality requirements, or otherwise do not allow TFB to meet the requirements of Check 21 or any image exchange agreement that would cover our further electronic transmission of Images that you send TFB, or TFB is otherwise unable to process Images that you send TFB, TFB may charge the Images back to your account.
Item Processing. Imaged items transmitted by you and received by us by 3:00 pm Central Standard Time on a normal business day will be credit to your account the same business day. Items received by us after 3:00 pm Central Standard Time on any business day will be credited to your account on the next successive business day.

The collection of check images and/or IRD will be subject to the rules of check clearinghouses, Federal Reserve Banks, or private clearing bank agreements governing the manner by which the check images or IRD are collected and/or returned. Customer agrees that an IRD or an Image described in this Agreement is, for all purposes under applicable federal and state check law, the same as the original check used to create the IRD or Image. You agree to be bound by any clearinghouse agreements, operating circulars, and image exchange agreements to which we are a party.
Item Processing. If the Electronic Item transmitted to us does not comply with our processing requirements for content and/or format, we may, in our sole discretion: further transmit the Electronic Item in the form received from you; repair or attempt to repair the Electronic Item and then further transmit it; return the data and Electronic Item to you unprocessed and charge back your account. The Electronic Item or any substitute check, as defined by federal law, will become the legal representation of the Item for all purposes, including return items processing. We will use commercially reasonable efforts to review each Electronic Item and have the right to reject any Electronic Item that we in our sole discretion determine to be ineligible for the Service. We are not responsible for Electronic Items: that were previously processed or that we do not receive that may fail during transmission that are illegible or contains MICR data that is not machine-readable that are drawn on banks located outside the United States
