Joint Collaboration Committee. The parties agree to continue their active support and commitment to the Joint Collaboration Committee (JCC). Utilizing the collaboration process, the Committee will continue to meet regularly to address issues and interests brought by the parties. The Committee will be composed of a minimum of eight members, four appointed by the Association and four appointed by the superintendent, including the chief operating officer. The Committee will be co-chaired by the chief operating officer and the presi- dent of the Association. The JCC will provide for regular, on-going discussions and decision-making on matters germane to union-management relations and, when appropriate, to the continuous improvement of instruction and school system operations. The parties are committed to ensuring that this is an effective, collabo- rative process to address interests and concerns and resolve problems. The overall charge to the JCC shall include but not be limited to the following: • Interpreting and administering the implementation of the negotiated Agreement • Discussing any matters of interest or concern • Reaching tentative agreements on issues in a timely manner • Providing oversight and final decision-making authority for the A&S PGS • Reviewing and assessing the effectiveness of collaboration between MCPS and MCAAP/MCBOA • Reviewing annually the guidelines for the professional learning communities. When appropriate, the JCC will make written recommendations to the superintendent and the Board of Directors of the Association on issues brought forward for consideration on which they have reached a consensus for resolution that supports continuous improvement within the school system. The JCC will have the following authorities: • To establish temporary committees and work groups to address specific issues. Such groups will report back to the JCC. The JCC shall be authorized to consolidate, reconfigure the membership of, modify the charge and tasks of, and discontinue joint committees or work groups. In addition the JCC will interpret and review implementation plans for decisions made by these collaborative decision-making groups. • To clarify language and meaning, correct contradictions or inconsistencies, and remove outdated language. • To resolve problems arising out of the interpretation or implementation of collaborative agreements and decisions. • To encourage individuals to utilize the Alternative Dispute Resolution process when they have differences or problems t...
Joint Collaboration Committee. (a) The Parties will establish a joint steering committee (the “Joint Collaboration Committee” or “JCC”) to oversee the Parties’ activities under this Agreement. Within [*], Portola shall appoint two (2) representatives to the JCC, and each of BMS and Pfizer shall appoint one (1) representative to the JCC and notify the other Parties of the dates of availability for the first meeting of the JCC. The JCC may change its size from time to time by mutual consent of its members and each Party may replace its representatives at any time upon written notice to the other Parties. Each Party’s JCC representatives shall include an officer or employee of such Party with sufficient seniority to make decisions arising within the JCC’s responsibilities.
(b) The JCC will be responsible to: (i) discuss, coordinate and review the conduct of the Studies; (ii) discuss and approve any amendments to the Development Plan, including the protocols for the Studies and the statistical analysis plans; (iii) discuss and review the results of the Studies, including the data analysis; and (iv) perform other obligations specifically delegated to the JCC under the Agreement or otherwise agreed to by the Parties in writing. (c) The JCC shall not have the authority, and no Party may exercise its final decision-making authority under this Agreement, to: (i) modify or amend the terms and conditions of this Agreement; (ii) waive either Party’s compliance with the terms and conditions of this Agreement; (iii) determine any such issue in a manner that would conflict with the terms and conditions of this Agreement; (iv) increase either Party’s obligations with regard to the Development Plan without such Party’s consent; (v) unilaterally make a decision that is expressly stated to require the mutual agreement of the Parties or the consent of the other Party); or (v) render any interpretation of this Agreement that is binding upon the Parties.
Joint Collaboration Committee. The Parties may, by mutual agreement at any time, establish a joint collaboration committee (the “JCC”) to provide a forum for the Parties to exchange information with respect to the exercise of their rights and performance of their obligations in accordance with this Agreement. The responsibilities of the JCC shall be decided by the Parties if and when such JCC is formed, and may include:
(a) providing a forum for sharing information with respect to development and commercialization efforts,
(b) sharing pertinent information with respect to the Products, such as safety data, Regulatory Filings and Clinical Trial results,
(c) coordinating development and commercialization efforts where and as appropriate and providing subject matter expertise, and
(d) providing an initial forum for the discussion of any dispute between the Parties. The JCC, if established, shall be comprised of [*] from each Party and shall meet when, where and as determined by the Parties. The JCC shall not have any decision-making authority but shall serve solely to facilitate the exchange of information by the Parties. The JCC may be disbanded at any time after its formation upon the request of either Party. The JCC shall have no authority or ability to amend, modify, or waive compliance by either Party with this Agreement.
Joint Collaboration Committee. (JCC) for Labor-Management Cooperative Initiatives
Joint Collaboration Committee. For purposes of describing the general scope of the collaboration only, and subject to the obligations set forth more specifically in other sections of this Agreement, the Parties contemplate that Zosano would be responsible for management and funding of further Development activities and regulatory activities necessary to support registration of the Licensed Products in accordance with the Development Plan and, in the event Zosano achieves the Critical Success Factors, Lilly shall make the applicable milestone payments and thereafter be solely responsible for the conduct and funding of all Commercialization activities. Accordingly, the purpose of the JCC is to facilitate periodic communication between the Parties regarding their activities under this Agreement. The JCC will not serve as an alliance decision making body, nor will it have the power to amend or waive compliance with, or the terms of, this Agreement or determine whether a Party has committed a breach of this Agreement. For the avoidance of doubt, the JCC shall have no authority to determine whether a Development milestone should be pursued or amended or is achieved.
Joint Collaboration Committee. (JCC) for Labor-Management Cooperative Initiatives
(a) Committee membership: The Joint Union-Company Collaboration Committee shall consist of up to five (5) persons representing the Company and up to five (5) persons representing the Union. The Company representatives will be appointed from the Business Unit(s) and Human Resources management. The Union representatives will be selected from the bargaining unit’s membership. Each party shall appoint a chairperson of its group.
Joint Collaboration Committee. Promptly following the Effective Date, the Parties will establish a joint collaboration committee (the “Joint Collaboration Committee” or “JCC”) to (i) facilitate information-sharing and coordination with respect to the status and progress of Development, regulatory activities, Manufacturing and Commercialization of Product, (ii) to review and make decisions with respect to matters subject to JCC approval and (iii) provide a forum for discussing and resolving issues with respect to the conduct of the Collaboration. The Parties may designate the JCC as the forum for discussing and agreeing on matters subject to mutual agreement of the Parties hereunder. The JCC shall have no authority to amend, modify or waive compliance with this Agreement, to make decisions that conflict with the terms and conditions of this Agreement, or to create new obligations for a Party not specified in this Agreement. Each Party shall keep the other Party and the JCC informed of the progress and results of its activities under the Development Plan and Commercialization Plan and with respect to regulatory activities and supply of the Product, in each case with respect to its Licensed Territories. The JCC may establish sub-committees to coordinate or manage specific aspects of the Collaboration (e.g., product supply, financial reporting).
