Legal Limitations. Notwithstanding any provision to the contrary in this Agreement, no payment of any type or amount of compensation or benefits shall be made or owed by Company to Executive pursuant to this Agreement or otherwise if payment of such type or amount is prohibited by, is not permitted under, or has not received any required approval under, any applicable governmental statute, regulation, rule, order (including any cease and desist order), determination, opinion, or similar provision whether now in existence or hereafter adopted or imposed, including without limitation, by or under (i) any provisions of the Xxxx-Xxxxx Xxxx Street Reform and Consumer Protection Act (“Xxxx-Xxxxx”) and regulations promulgated thereunder, (ii) any governmental provisions relating to indemnification by Company or an affiliate, including without limitation any applicable prohibitions or restrictions on depository institutions and their affiliates set forth in 12 USC 1828(k) or in 12 CFR Part 359, or (iii) any governmental provisions relating to payment of golden parachutes or similar payments, including without limitation any prohibitions or restrictions on such payments by troubled institutions and companies and their affiliates set forth in 12 USC 1828(k) or in 12 CFR Part 359. In the event any payment to Executive is prohibited or otherwise restricted, (x) such payment shall, to the extent allowed by law, order or regulatory determination and not objected to by applicable banking or other regulatory agencies, be reinstated as an obligation of the obligor(s) without further action immediately upon the cessation of such prohibition or restriction, and (y) the Company shall use its best efforts to secure the consent, if any shall be required, of the FDIC or other applicable banking or other regulatory agencies to make such payments in the highest amount permissible, up to the amount provided for in this Agreement. If any payment made to Executive hereunder or under any prior employment agreement or arrangement is required under any applicable governmental provision (including, without limitation, Xxxx-Xxxxx and regulations promulgated thereunder) to be paid back to Company, the Executive shall upon written demand from Company promptly pay such amount back to Company.

Legal Limitations. Should any provision of this Agreement be found to be contrary to any Federal or State law, or any local superseding ordinance or statute, then such provision of the Agreement shall be considered void.

Legal Limitations. In an extremely limited number of cases, it may be necessary to remove an article from the online database. This will only occur where the article is clearly defamatory, or infringes others’ legal rights, or where the article is, or we have good reason to expect it will be, the subject of a court order. In these circumstances, while the metadata (Title and Authors) will be retained, the text will be replaced with a screen indicating the article has been removed for legal reasons.

It is in the best interest of the employee, the Union and the Company to encourage early intervention and treatment to assist employees and members of their families towards full rehabilitation. Such assistance includes, but is not necessarily limited to, identification of the problem at the earliest stages, motivating the individual to obtain help, referral of the individual to appropriate treatment and rehabilitation facilities and a continuing education of employees and Union and management representatives alike to recognize and deal constructively with such problems as they arise. An employee who undergoes a prescribed rehabilitative process will be entitled to Sickness and Accident benefits in accordance with the Sickness and Accident plan. Should the Substance Abuse Representative come from the workplace covered by this collective agreement, s/he shall be granted a leave of absence, with full accumulation of seniority and pension service for the duration of time that he/she performs the job of Substance Abuse Representative. In August of each year the Company shall contribute the amount of $23,000 to the Local Union’s fund to support the Local Union’s Substance Abuse Representative whose services shall be available to employees of this bargaining unit. In addition, it is recognized that the Substance Abuse Representative will be able to deal more effectively with matters related to substance abuse if they are provided with appropriate training. Therefore, the Company will allow reasonable time off to the Substance Abuse Representative to attend courses which form part of the Addiction Intervention Association’s Alcoholism and Drug Counselor certification program, and will assume instructional fee cost...

Legal Limitations. Notwithstanding any provision to the contrary contained in this Agreement, in no event shall the Partnership make or be required to make any Distribution or payment to any Partner to the extent prohibited or restricted by the Act or any other applicable law.

If any payment made to Executive hereunder or under any prior employment agreement or arrangement is required under any applicable governmental provision (including, without limitation, Xxxx-Xxxxx and regulations promulgated thereunder) to be paid back to Bank, the Executive shall upon written demand from Bank promptly pay such amount back to Bank.

Legal Limitations. In addition to limitations on transfers elsewhere described, certain legal limitations apply on the number of transfers that may be made from your savings and/or money market account(s). You may make no more than six (6) transfers and/or withdrawals each statement cycle for money market accounts or each calendar month for savings accounts from these accounts to another deposit account of yours at this bank or to a third party by means of a preauthorized or automatic transfer, or by telephone or online banking instruction, or by check, draft, debit card, or similar order made by you and payable to third parties. If you exceed these limitations, we may refuse to honor the excessive transactions, remove your transfer privileges, convert your account to another type, or close your account without prior notice. Fees - You may be subject to fees if you exceed the transaction limits on your Account. Please refer to the Truth in Savings Disclosure applicable to your Account for more information regarding any Excess Withdrawal Fees.
