Membership Restrictions. A Member’s privileges are subject to having no outstanding amounts due to Convenient Care Plus. • Some Member benefits may require that the Member present a current picture ID or membership card in order to receive Membership benefits. • The initial Membership Term is for 12 months, and will renew for successive 12-month terms, unless terminated in accord with Paragraph 9. • Dues will be charged and deducted on a prospective monthly basis. • Minors may not be seen by staff without a parent or legal guardian being present or as allowed by law. • Membership is non-transferable.
Membership Restrictions. Your TexasMed Membership, to the extent applicable, is specific to you. You cannot add additional members to your Membership or share your Membership credentials with any other individual.

If you do not agree to any changes, you must not use the Service and must cancel your membership. Our business may change over time and we reserve the right to cancel the Service and any membership plan in whole or in part, and to terminate your refund based on the number days remaining in your membership unless we terminate your membership for conduct that we determine, in our discretion, violates the Terms, violates any applicable law, involves fraud or misuse of the Service, or is harmful to our interests or another user. Our failure to insist upon or enforce your strict compliance with the Terms will not constitute a waiver of any of our rights.
Membership Restrictions. Notwithstanding any other provision of this Agreement, TalMan shall neither admit any Person as a TalMan member, issue an LLC Interest to any Person, nor permit the Transfer of any LLC Interest to any Person, unless, prior to any of the foregoing actions, such Person agrees to be bound by and becomes a signatory to this Agreement and Hub U.S. consents to such Transfer (which consent shall not be unreasonably withheld). TalMan shall incorporate into its limited liability company agreement and any other agreement by or among the LLC Members such provisions as are necessary to implement the terms of this Agreement. In addition to restrictions set forth in SECTION 2.1(C), TalMan shall take no action that, in the opinion of the Regular Accountants for Hub U.S. or Hub Canada, would or will (but for the passage of time) result in a compensation or other charge in accordance with GAAP against the earnings of Hub Canada, Hub U.S. or any Hub Affiliate.
(a) At all times from and after the date hereof and during the term of this Agreement, the limited liability agreement for TalMan shall contain provisions, reasonably satisfactory to Hub, that require the forfeiture of a Founder's complete interest in TalMan in the event that TFC terminates the Founder as an employee or as a consultant of TFC for Cause (as determined in the employment or consulting agreement relating to the Founder) or the Founder terminates his employment or consulting agreement other than for Good Reason (as determined in the employment or consulting agreement relating to the Founder).
(b) In the event that any Founder ceases to be a Manager of TalMan for any reason, such vacancy on the Board of Managers of TalMan shall be filled by a designee reasonably acceptable to Hub U.S. and duly elected in accordance with the Amended and Restated Operating Agreement, as it may be amended from time to time, for TalMan.

2. The membership and benefits cannot be used by anyone apart from the individual members.
3. A health card will be issued as proof of membership.
4. In the event of misuse of a health card, St. Xxxxxx Primary Care reserves the right to exclude the member(s) in question from the program. Such misuse may include, but is not limited to, behavior which is troublesome or shows a lack of respect towards the staff, criminal actions or actions which are generally perceived to be immoral, unethical or contrary to these membership terms and conditions.
5. Minors may not receive medical care(s) or by staff without a parent or legal guardian being present or as allowed by the North Carolina Laws.
6. Minors may not join the Membership Care Program without a parent or legal guardian being already a member of St. Xxxxxx Primary Care.
7. Membership is non-transferable and non-refundable.

Membership Restrictions. (a) The determination of a Conflicting Attributable Interest shall be made by the Board based upon the advice of the Company's nationally recognized FCC counsel, which shall include Xxxxxxxxx & Associates, and for so long as a Conflicting Attributable Interest exists, the following restrictions shall be applicable to the Affected Member:
(i) neither the Affected Member nor any officer, director, member or partner of the Affected Member nor any Person who owns 5% or more of any class of equity securities of the Affected Member shall:
(1) be an employee of the Company whose functions directly or indirectly relate to any Media Enterprise of the Company (the "Company ------- Media Enterprise"); ----------------
(2) serve in any material capacity as an independent contractor or agent with respect to any Company Media Enterprise;
(3) serve as a Board Member of the Company;
(4) communicate with the Company's Board Members, with any Member that is not an Affected Member or the management of any Company Media Enterprise on matters pertaining to the day-to-day operations of any Company Media Enterprise;
(5) perform any services for the Company that materially relate to any Company Media Enterprise; or
(6) become actively involved in the management or operation of any Company Media Enterprise; and
(ii) the Affected Member shall not vote on the election of any new Board Member of the Company unless such new Board Member is approved by the existing Board Members; and
(iii) with respect to the replacement rights set forth in Section 6.2 ----------- and 6.3, the Affected Member shall not have the right to vote for the --- replacement of Board Members, unless such replacement Board Member is approved by the existing Board Members; and
(iv) the Affected Member shall not have the right to vote to remove a Board Member from the Company except where the Member is subject to bankruptcy proceedings, has been adjudicated incompetent by a court of competent jurisdiction, or has been removed for cause which was determined by an independent party to have constituted malfeasance, criminal conduct, wanton or willful neglect, or such other extraordinary conduct with respect to which a prudent investor would require the right to remove a Member; and
(v) the Affected Member shall use its best efforts, on an expedited basis, to divest or otherwise eliminate any Conflicting Attributable Interests; and

4.2 Each Registered User to this Website is granted a unique username and password which is used to gain access to the materials therein. This username and password is confidential and under NO CIRCUMSTANCES whatsoever may any Registered User share or distribute their user IDs or passwords to any third party/parties. Any breach of this term will result in the IMMEDIATE SUSPENSION of the account of both the Registered User and all other accounts associated with the Course Supervisor.
4.3 The Registered User shall not copy, use, modify, transmit, distribute, or in any way, exploit the copyrighted materials or permit any third party to do so.
4.4 Registered Users with printable rights are granted permission to produce a single hard copy of each training course for THEIR PERSONAL USE ONLY. Registered Users without printable rights must under NO circumstances whatsoever print, duplicate or reprint the courseware contained within.
4.5 Under NO circumstances whatsoever shall Registered Users distribute the courseware contained within this site. Each course is individually licensed and any Registered User found in breach of this term shall have their account suspended immediately.

This adult assumes the responsibility for the supervision of those under 18. • A key fob can only be used by members who are at least 18 years old. • In lieu of a check-in sheet, all fobs must be swiped to gain entrance and log usage. When a group of members enter, each individual/family’s fob should be swiped. • Fobs can only be used by those included in the membership. Don’t loan or give possession of your key fob to another person. • Lost or damaged key fobs must be reported to the school’s Business Office immediately. • A $25 fee will be charged to receive a replacement fob. • You may carry beverages in covered containers and bottles in the LWC and gym. • NO FOOD or glass containers are allowed in the LWC or gym. • Please properly dispose of all refuse in the trash receptacles.
