Passwords and Access. You and your Authorized Users may receive a password and account designations upon completing the registration process. You are solely responsible for maintaining the confidentiality of these account(s) and password(s), and are fully responsible for all activities that occur under such passwords or user identifications. You shall be permitted to provide access codes and passwords to Authorized Users. You acknowledge and agree that you are solely responsible for the issuance of access codes and passwords and that the Company will only issue access codes or passwords to Authorized Users on your instruction and as your agent. You acknowledge and agree that you shall be responsible for each and every access, use or employment of the ASP Services or Software that occurs by your Authorized Users and/or in conjunction with such passwords and user identifications, and that the Company is authorized to accept the user identifications and passwords as conclusive evidence that you, or your Authorized Users, as the case may be, have accessed, utilized, or otherwise employed the ASP Services and/or the Software. You agree to (a) notify the Company of any unauthorized use of such password or user identifications and any other breach of security, and (b) ensure that you and your Authorized Users exit from your account at the end of each session using the logout button. You and your Authorized Users are solely responsible for applying the appropriate level of access rights to Customer Content and to communications involving the use of the ASP Services or Software.

Passwords and Access. In order to access some features of the Services, you may have to register or create an account. You may never use another's account without permission. When creating your account, you must provide accurate and complete information. Registration or subscription to the Services and payment of any applicable fee, authorizes a single individual to use the Services unless otherwise expressly stated. You are solely responsible for the activity that occurs on your account, and you must keep your account password secure. You must notify Company immediately of any breach of security or unauthorized use of your account. Although Company will not be liable for your losses caused by any unauthorized use of your account, you may be liable for the losses of Company or others due to such unauthorized use. It is a condition of your use of the Services that all the information you provide will be correct, current, and complete; If we believe the information you provide is not correct, current, or complete, we have the right to refuse you access to the Services or any of its resources, and to terminate or suspend your access at any time, without notice. You shall not download any content, software or services unless you see a “download” or similar link displayed by Company on the Services for that content. You shall not copy, reproduce, distribute, transmit, broadcast, display, sell, license, or otherwise exploit any content for any other purposes without the prior written consent of Company or the respective licensors of the content. Company and its licensors reserve all rights not expressly granted in and to the Services and their content. You agree not to circumvent, disable or otherwise interfere with security-related features of the Services or features that prevent or restrict use or copying of any content or enforce limitations on use of the Services or the content therein.

You will be responsible for the assignment of access and usage privileges to users of ePrescribe, including but not limited to taking all reasonable steps to ensure that no unauthorized person shall have access to Your ePrescribe password or account. It is Your sole responsibility to: a) control the dissemination and use of activation codes and passwords; b) authorize, monitor, and control access to and use of Your ePrescribe account and password; c) promptly inform HSPS or Allscripts of any need to deactivate a password. Neither HSPS nor Allscripts is responsible for the granting or monitoring of user privileges to ePrescribe nor any incorrect entry or lack of updating of licensing information by You. You grant HSPS and Allscripts and all other persons or entities involved in the operation of ePrescribe the right to transmit, monitor, retrieve, store, and use your information in connection with the operation of ePrescribe. Neither HSPS nor Allscripts assumes any responsibility or liability for any information You submit, or Your users or third parties' use or misuse of information transmitted or received using ePrescribe.

All Customer Data accessible at the Site by Customer and Users of Vendor’s Service has been designed, created and provided solely by Customer or third parties without the participation or involvement of Vendor. Vendor assumes no responsibility for the accuracy, propriety, or usefulness to Customer and/or Users of such Customer Data. Vendor provides no warranties, representations or indemnification to Customer and/or Users for their access to, and use of, such Customer Data. The provisions of Section 15(a) are expressly inapplicable to the display of any such Customer Data during the use of Vendor’s Service by Customer and/or User. During the Term of this Agreement, Customer may extract and/or purge Customer Data at any time by accessing its Customer Data directly through Customer’s Service account. Customer may extract all Customer Data through the backup function within the application. All Customer Data is returned to Customer in its native format or within a common computer delineated file. At any time during the Term, Customer may also make a written request to Vendor to purge all of the Customer Data related to Customer’s site.
