Powers of Committee. Subject to and consistent with the provisions of the Plan (including Article 14), the Committee has full and final authority and sole discretion as follows; provided that any such authority or discretion exercised with respect to a specific Non-Employee Director shall be approved by the affirmative vote of a majority of the members of the Board, even if not a quorum, but excluding the Non-Employee Director with respect to whom such authority or discretion is exercised:
(a) to determine when, to whom and in what types and amounts Awards should be granted;
(b) to grant Awards to Eligible Persons in any number and to determine the terms and conditions applicable to each Award (including the number of Shares or the amount of cash or other property to which an Award will relate, any Exercise Price or purchase price, any limitation or restriction, any schedule for or performance conditions relating to the earning of the Award or the lapse of limitations, forfeiture restrictions, restrictions on exercisability or transferability, any performance goals including those relating to the Company and/or an Affiliate and/or any division thereof and/or an individual, and/or vesting based on the passage of time, based in each case on such considerations as the Committee shall determine);
(c) to determine the benefit payable under any Performance Unit, Performance Share, Dividend Equivalent, Other Stock-Based Award or Cash Incentive Award and to determine whether any performance or vesting conditions have been satisfied;
(d) to determine whether or not specific Awards shall be granted in connection with other specific Awards, and if so, whether they shall be exercisable cumulatively with, or alternatively to, such other specific Awards and all other matters to be determined in connection with an Award;
(e) to determine the Term of any Option or SAR;
(f) to determine the amount, if any, that a Grantee shall pay for Restricted Shares, whether to permit or require the payment of cash dividends thereon to be deferred and the terms related thereto, when Restricted Shares (including Restricted Shares acquired upon the exercise of an Option) shall be forfeited and whether such shares shall be held in escrow;
(g) to determine whether, to what extent and under what circumstances an Award may be settled in, or the exercise price of an Award may be paid in, cash, Shares, other Awards or other property, or an Award may be accelerated, vested, canceled, forfeited or surrendered or any ...
Powers of Committee. Either party of a Committee may request from the Employer any information that the Committee considers necessary to identify existing or potential hazards with respect to materials, processes, equipment or activities.
Powers of Committee. A Safety and Health Committee:
(a) shall receive, consider and expeditiously dispose of complaints relating to the safety and health of the employees represented by the Committee;
(b) shall maintain records pertaining to the disposition of complaints relating to the safety and health of the employees represented by the Committee;

(a) shall receive, consider and expeditiously dispose of complaints relating to the safety and health of the employees represented by the Committee;
(b) shall maintain records pertaining to the disposition of complaints relating to the safety and health of the employees represented by the Committee;
(c) shall co-operate with any occupational health service established to serve the work place;
(d) may establish and promote safety and health programs for the education of the employees represented by the Committee;
(e) shall participate in all inquiries and investigations pertaining to occupational safety and health including such consultations as may be necessary with persons who are professionally or technically qualified to advise the Committee on such matters;
(f) may develop, establish and maintain programs, measures and procedures for the protection or improvement of the safety and health of employees;
(g) shall monitor on a regular basis programs, measures and procedures related to the safety and health of employees;
(h) shall ensure that adequate records are kept on work accidents, injuries and health hazards and shall monitor data relating to such accidents, injuries and hazards on a regular basis;
(i) shall co-operate with safety officers appointed pursuant to the Safety Act;
(j) may request from an Employer such information as the Committee considers necessary to identify existing or potential hazards with respect to materials, processes or equipment in the work place;
(k) shall have full access to all Government and Employer reports relating to the safety and health of the employees represented by the Committee but shall not have access to the medical records of any person except with the consent of that person; and
(l) shall, in workplaces where employees are required to work alone, develop, establish, and maintain procedures with respect to employees working alone which may include: performing risk assessments on individual worksites; and identifying and outlining reasonable precautions to eliminate or reduce identified risks.
Powers of Committee a) The Joint Hiring Hall Committee shall be empowered to hear and determine any and all disputes or grievances arising out of 1) work referrals, and 2) placement on hiring hall list.
b) Before any individual(s) may appear before the Committee, they must exhaust the administrative procedures provided by the Union.
c) The committee shall also determine the criteria for establishing residency within the Jurisdiction of the Union.

l. may make recommendations to the Employer on monitoring and developing of prevention strategies or procedures to reduce the risk of staff abuse.
Powers of Committee. The Committee will have the power to do the following:
6.1.1. To maintain records relating to Assignees and Holders;
6.1.2. To prepare and furnish to the Optionee, Assignees and Holders all information required by applicable law;
6.1.3. To construe and apply the provisions of this Agreement and to correct defects and omissions herein;
Powers of Committee. The Committee shall not supersede the activities of any other committee of the Employer or the Union and does not have the power to bind either the Employer or the Union or its members to any decisions or conclusions reached in their discussions. The Committee shall have the power to make recommendations to the Employer and the Union with respect to discussions and conclusions.
Powers of Committee. The Joint Referral Appeals Committee shall be empowered:
A. To establish and promulgate any and all rules which are necessary and proper to assure non-discriminatory application of the provisions of this Article II to employees and applicants for employment for work covered by this Labor Agreement, and, to clarify, modify or change the provisions of Article II, Sections 13 through 31, upon a determination by the Committee that clarification, modification or change is necessary to meet changed conditions in the industry. Actions by the Committee pursuant to this provision shall remain in full force and effect unless overridden by agreement of the negotiating committees of the parties.
B. To hear and determine complaints and appeals properly presented to it in accordance with the provisions of Sections 23 and 32 hereof.
C. To render decisions that shall be final and binding upon employees, applicants, the Union and Employers in regard to matters properly before it. In the event the Committee should deadlock on any matter properly brought before it, within a period of five (5) working days or such further time as the Committee shall allow, the matter shall be submitted to impartial arbitration. A decision by an arbitrator shall be final and binding on all parties. In the event the Committee cannot agree upon an arbitrator, the arbitrator shall be chosen from a list of five (5) names secured from the Federal Mediation and Conciliation Service in accordance with FMCS rules.
D. To render decisions as set forth above only with respect to matters arising under this Article II and in no circumstances with respect to matters reserved to the Joint Conference Committee.
Powers of Committee. The Committee shall have all powers and authority necessary in order to carry out its duties and responsibilities in connection with the administration of the Plan and Trust as herein provided, and the Committee may make such rules and regulations as it may deem necessary or desirable to carry out the provisions of the Plan and Trust. The Committee shall determine any question arising in the administration, interpretation, and application of the Plan and Trust, including any question submitted by the Trustees on a matter necessary for them properly to discharge their duties; and the decision of the Committee shall be conclusive and binding on all persons.
