Quality Control; Inspection. 5.1. Seller agrees to participate in Buyer’s supplier quality and development program(s) and to comply with all quality requirements and procedures specified by Buyer, as revised from time to time, including those applicable to Seller as set forth in Buyer’s Supplier Quality Manual available online at xxxx://xxxxxxxx.xxxxxxx.xxx. Seller shall permit Buyer to review procedures, practices, processes and related documents to ensure such compliance.

Quality Control; Inspection. (A) All Goods are subject to final inspection and acceptance by Buyer at destination, notwithstanding any payment or prior inspection at source. The final inspection will be made within a reasonable time, not to exceed ninety (90) calendar days after receipt of the Goods. Buyer shall notify Seller if any Goods delivered hereunder are rejected, and such Goods may be returned to Seller at Seller's risk and expense at Buyer’s discretion. Inspection and tests by Buyer do not relieve the Seller of responsibility for defects or other failures to meet this Order's requirements. Acceptance shall not be final with respect to latent defects, fraud, or gross mistakes amounting to fraud. (B) The Seller shall have an effective program for investigation, corrective action, and follow-up for rejections initiated by the Seller or Buyer. When the Buyer discovers discrepancies for which the Seller is responsible, the Buyer may forward a request for corrective action to the Seller for action and response. The Seller's response shall be returned to the Buyer within thirty (30) calendar days, and shall include the causes of the discrepancy(s), the positive corrective action(s) taken to prevent recurrence, and the corrective action effective point by unit serial number or date.
Quality Control; Inspection. I.5.1 COUNTY, by its Purchasing Agent, or any person whom he or she shall designate, shall have a right to inspect any services and/or products supplied by CONTRACTOR in carrying out this AGREEMENT.
Quality Control; Inspection. 5.1 Licensee shall ensure that a system of quality control of a standard approved in writing by Licensor (such approval not to be unreasonably withheld) be maintained in respect of the production, packaging and storing of the Products. 5.2 Once per year, upon thirty (30) days prior notice to Licensee, Licensor and its representatives may (i) visit and inspect any of the properties or facilities of Licensee at which Products or related promotional items are produced, processed, packaged or stored by or for Licensee, (ii) inspect the brewing facilities, brewing procedures, brewing laboratories, packaging and storage and quality control procedures relating to the Products, and (iii) examine all their books of accounts and financial records, reports and other relevant papers which are related to the production, importation, packaging, distribution, marketing, sale or resale of the Products or otherwise related to this License Agreement. At any time during the term of this License Agreement, upon prior notice to Licensee, Licensor and its representatives may discuss their affairs, finances and accounts which are primarily related to the production, importation, packaging, distribution, marketing, sale or resale of the Products or otherwise related to this License Agreement, with their officers, managers and independent accountants; provided that the officers, managers and independent accountants shall not be obligated to discuss any matter with respect to this License Agreement that is being disputed by a Party. Licensee will fully cooperate with Licensor with respect to such inspection, examination or discussion, and will keep Licensor advised of each location at which the activities related to the production, importation, packaging, distribution, marketing, sale or resale of the Products or otherwise related to this License Agreement, are taking place. The obligations under this Section 5 shall survive one (1) year after the termination of this License Agreement.
Quality Control; Inspection. DCC shall permit, to the extent commercially reasonable and so long as production or operation of the Facility is not hindered, SunPower (or an independent quality control auditor reasonably acceptable to DCC) to inspect the Facility from time to time on at least five (5) Business Daysnotice to DCC, for the sole purpose of determining whether the Product meets the Specifications. All inspections conducted by SunPower under this Section 7.3 will be coordinated with DCC.
Quality Control; Inspection. 10.1 The CM shall submit to the Owner a quality control/quality assurance (QC/QA) plan that outlines the CMs approach to QC/QA. It shall address the following items at a minimum; Use of approved submittals and shop drawings in the field, pre-installation meetings prior to commencement of major or specialized portions of the work and designated QA/QC staff for the CM. The QC/QA plan shall also include a matrix indicating a comprehensive list of inspections by the CM, the A/E, the Owner’s independent testing firm, the commissioning agent and the DASNY Quality Assurance group. The QC/QA plan shall also include a deficiency log and the CM’s approach to resolving deficiencies. 10.2 The CM shall perform daily quality control inspections on the work of the Trade Contractors to guard the OWNER against defects and deficiencies in the work and shall coordinate this activity with the on-site duties of the Project Designers. The CM shall advise the OWNER and Project Designers of any apparent variation and deviation from the intent of the Contract Documents and shall take the necessary action to correct such variations and deviations from the intent of the Contract Documents. The CM shall provide daily inspection reports to the Owner no later than the morning of the following business day. If deficient work is discovered by the Owner, Project Designer or the CM, the CM shall direct the pertinent Trade Contractor(s) to correct the work. 10.3 The OWNER reserves the right to independently contract for Quality Assurance inspection and testing. The CM shall coordinate the activities of the OWNER’s independent QA Consultant with those of the trade contractors. 10.4 The OWNER and Project Designer will conduct regular inspections of the work in progress. The CM shall track deficiencies submitted by the OWNER and the Project Designers and coordinate corrective work required. 10.5 In the latter stages of the project the CM shall: a. Perform its own “pre-punchlist” inspections in order to minimize the punchlist items discovered during the joint inspections described below. b. Inspect the Project jointly with the OWNER and the Project Designers prior to the time the OWNER is to use, occupy, or operate any part or all of the Project, and prepare a list of observed variances and deficiencies in the Work. Distribute the list to the appropriate Trade Contractor(s) for necessary corrective work. c. Prepare jointly with Project Designers a "Final Punch List" for each Trade Contract. Dis...

Quality Control; Inspection. 5.4.1 During the term of the Framework Agreement quality checks may be carried out at any time by the NPS, its Participating Organisations, or a NPS nominated third party auditors to ascertain whether the Framework Provider is maintaining the appropriate standards, and such checks may, without limitation, involve Hygiene and quality control inspections of any of the Framework Providers products (including DNA Testing), records and premises. The Framework Provider shall give all reasonable assistance in relation to any such inspection or test free of charge. In the circumstance where these quality control inspections arise as a result of concerns or complaints from NPS customers the cost of the audit will be borne by the Framework Provider. 5.4.2 The Framework Provider must carry out routine, product quality and weight checks to ensure compliance with the specification. Such quality checks are required for both products supplied directly by the Framework Provider and products that are sourced through the Framework Providers supply chain. The Framework Provider must on request provide the NPS, its Participating Organisations, and or nominated third party auditors with details of the product quality checks. 5.4.3 During the Framework Term regular Quality control inspections of product manufacturers’ premises and practices must regularly be carried out by:- a) Trained personnel on behalf of the Framework Provider. All records and reports of such inspections must be maintained and available for audit by the NPS or an authorised representative of the NPS or its Participating Organisations and or b) Trained personnel either the NPS and or its Participating Organisations or trained personnel acting on behalf of the NPS and or its Participating Organisations. The Framework Provider will ensure that such checks can in fact be carried out at such times and in such manner as the inspecting authorised representative requires. Records of all inspections and checks must be maintained and available for audit by the authorised representative.

Quality Control; Inspection. Licensee acknowledges the importance to Licensor of its reputation and goodwill, and to the public of maintaining high, uniform standards of quality for the macadamia nuts or other goods sold under the Licensed Marks in connection with the Macadamia Nut Business (collectively, the “Products”). Licensee represents, warrants and agrees that all Products shall: (a) be of good and merchantable quality and comply with all applicable laws and regulations; (b) be as good or better than the current quality of similar products now or hereafter advertised, distributed, manufactured, processed, or sold by Licensee; and (c) meet such quality standards and specifications as may be prescribed by Licensor to Licensee, from time-to-time, during the Term. Licensee shall permit Licensor to inspect, at Licensee’s premises, at any reasonable time, the Products, and Licensee shall, upon request of Licensor, submit to Licensor samples of the Products which are sold or intended to be sold under the Licensed Marks for the purpose of ascertaining and determining compliance with the terms of this Agreement.
