Role of the Contractor. The Contractor shall play the following role in this project:- (a) The contractor shall execute and complete the project in accordance with the provisions set out in the tender document, the Conditions of contract and the contract agreement; (b) The contractor shall have no right or title or leasehold right on the land earmarked to them. The Land earmarked to the successful Bidder shall not be used for any other purpose other than for the project purpose; (c) The contractor is entitled to switching over to the technologies according to the viability of the implementation of the project commercially subject to prior submission of proposal for such technology switch describing the details of such technology and advantage of using the technology and such proposal being approved by the engineer-in-charge; (d) The employees of the Contractor in no case shall be treated as the employees of the Authority at any point of time; (e) The Contractor shall obtain necessary clearances, permits, approvals, authorizations, and no objection certificates, at his own cost, which are required by the contractor to execute the project and obtain Water and Sewage Connection and Power Connection.
Role of the Contractor. Pasco eSchool in delivering the services contracted for shall provide Deliverables in the form of instructional tools and supplies, instructional materials, and computer software as are necessary to deliver the Project, but will retain ownership of all such Deliverables.
Role of the Contractor. The Contractor will serve as a Quality Improvement (QI) facilitator providing support to “integrated care teams” in communities across the state participating in a Care Management Learning Collaborative. QI facilitation requires competencies including implementing quality improvement methods, team facilitation, group dynamics, understanding and using data, and project management. Vermont’s interdisciplinary integrated care teams will consist of care coordinators and leaders from various medical and social service organizations, such as Primary Care and Specialty Practices; Designated Mental Health Agencies; Visiting Nurse Associations and Home Health Agencies; Hospitals and Skilled Nursing Facilities; Area Agencies on Aging; Blueprint Community Health Teams and Practice Facilitators; Support and Services at Home (SASH); Accountable Care Organizations (OneCare Vermont, Community Health Accountable Care, and Vermont Collaborative Physicians); Medicaid; Vermont Chronic Care Initiative (including care coordinators); commercial insurers; and people in need of care management services and their families. As a QI facilitator, the Contractor will work with these integrated care teams to build capacity for effective team-based care, coordinate learning opportunities related to integration of services on behalf of people who need the services, implement promising interventions to enhance integration, and measure results of those interventions. The primary mechanism for learning and quality improvement will be a Learning Collaborative utilizing the Plan-Do-Study-Act (PDSA) model. The QI facilitator will provide primary support to selected communities. This will include attendance and participation in regularly scheduled meetings in each community, as well as meetings with its project leaders as needed. The QI facilitator will provide support for data collection, management, and interpretation to all pilot communities. This involves assisting teams with a) understanding data sources and using them to identify at-risk people and engage in effective panel management, b) identifying measures for and measuring the impact of selected interventions, and c) promoting an environment of collaborative learning between integrated care teams and across the health system. The QI facilitator will attend and participate in regularly scheduled meetings of the leadership team of the ICCMLC, as well as state government planning committee and workgroup meetings as requested. Role of the Contractor. The Contractor will provide internal audit services for ACARA under an ‘out-sourced’ service delivery model. To assist respondents to prepare their submission, the delineation of responsibility for audit-related tasks is detailed in Table 1. The Contractor is expected to participate as an observer at ordinary meetings of the Audit, Risk and Finance Committee. Ordinary meetings are scheduled four times a year (generally in February, May/June, August, and November) and are typically conducted using a web-based video-conferencing platform. Attendance at special Committee meetings may also be required. The Contractor will have a direct reporting relationship to the Committee.   • Responsibilities of the Contractor The Contractor shall provide all technical and professional expertise, knowledge, management, and other resources required for accomplishing all aspects of the tasks and associated activities identified in the Scope of Work. In the event that the need arises for the Contractor to perform services beyond those stated in the Scope of Work, the Contractor and the City shall negotiate mutually agreeable terms and compensation for completing the additional services.

No part of this Contract shall be construed to represent the creation of an employment, agency, partnership or joint venture agreement between the parties. Neither party will assume liability for any injury (including death) to any persons, or damage to any property, arising out of the acts or omissions of the agents, employees or subcontractors of the other party. The Contractor shall provide all necessary unemployment and workers’ compensation insurance for the Contractor’s employees, and shall provide the State with a Certificate of Insurance evidencing such coverage prior to starting work under this Contract.
