S ervices. Subject to the terms and conditions set forth in this Agreement, Xxxx Xxxxxx shall provide to County the services described in the Scope of Services attached hereto and incorporated herein as Exhibit A at the time and place and in the manner specified therein. In the event of a conflict in or inconsistency between the terms of this Agreement and Exhibits A/B/C/D, the Agreement shall prevail.

Vendor represents and warrants that all Services shall be completed in a professional, workmanlike manner, with the degree of skill and care that is required by current, good, and sound professional procedures. Further, Vendor represents and warrants that the Services shall be completed in accordance with applicable specifications and any statements of work signed by an authorized representative of Phase Four and shall be correct and appropriate for the purposes stated therein. Vendor represents and warrants that the performance of Services under this Agreement will not conflict with, or be prohibited in any way by, any other agreement or statutory restriction to which Vendor is bound.

CLIENTS SERVED – CONTRACTOR shall admit and serve all c lientsC 34 ADMINISTRATOR who meet the ADMINISTRATOR’s criteria for acute psychiatric hospitalization 35 and who also meet the criteria approved by DHCS and the guidelines under Title 9, Chapter 11, Section 36 1820.205. This may include c lientsC with co-morbid medical conditions and substance use 37 disorder. CONTRACTOR shall not refuse admissions of c lientsClients if they meet all the admission 1 criteria identified above. CONTRACTOR may admit and serve c lientsC not referred by the County County 2 ADMINISTRATOR or the 3 ADMINISTRATOR of any client CSU; however, CONTRACTOR must first notify the served under the Agreement who has not been referred by 4 ADMINISTRATOR or the 5 C. SERVICES PROVIDED CSU prior tou pon admission.
6 1. CONTRACTOR shall provide Psychiatric Inpatient Hospital Services, which include but 7 are not limited to physician services, psychologist services, and transportation services, in accordance 8 with WIC, Sections 5774, et seq. and 14680, et seq. 9 //
10 2. CONTRACTOR shall provide services that include but are not limited to psychiatric, 11 ancillary, testimony, medical, specialized services, and additional services required of general acute care 12 hospitals. CONTRACTOR’s services shall be designed to engage seriously mentally ill adults, 13 including those who are dually diagnosed, in a partnership to achieve the individual’s wellness and 14 recovery goals. CONTRACTOR shall provide services in collaboration with the COUNTY’s Director 15 of Behavioral Health, or designee.
16 a. PSYCHIATRIC SERVICES – CONTRACTOR shall provide psychiatric services that 17 include psychiatric assessment, psychiatric treatment and psychiatric support services in accordance with 18 all applicable laws and regulations. Psychiatric services shall include but not be limited to:
19 1) A psychiatric evaluation, within twenty-four (24) hours of admission, by a licensed 20 psychiatrist. The psychiatric evaluation shall include a psychiatric history, diagnosis, and be completed 21 in accordance with the current DSM;
22 2) A review of each client’s medical history and a physical examination within 23 twenty-four (24) hours of admission;
24 3) Initiation of an ITP of each new client within twenty-four (24) hours of admission;
25 4) An ITP for ...
S ervices. Consultant shall provide support during start-up before final acceptance of the Project. Services provided by the Consultant shall include the following:
1. Attend construction meetings at the RWF related to C&SU;
2. Review schedules and submittals from by the general contractor, commenting on the procedures, methods, and sequence work to minimize conflicts with RWF operations regarding start-up activities;
3. Assist the City during the start-up of the new equipment. Consultant's operations' specialist shall be available to review the general contractor's proposed commissioning plan, resolve functional and process setting adjustment issues, and provide general consultation regarding equipment installation issues for the Project; and
4. Participate in a pre-final walk-through inspection with the City in preparation of a final punch list of outstanding items to be completed by the general contractor before final acceptance of the Project.
S ervices. We will provide you the various implementation-related services itemized in the Investment Summary. You will receive those services according to our industry-standard implementation plan, which outlines roles and responsibilities in calendar and project documentation. We will finalize that documentation with you upon execution of this Agreement. DRAFT
S ervices. Customer engages Service Provider to provide to Customer the services (the “Services”) selected below. The method and manner for performance of the Services by Service Provider shall be under its own control, Customer being interested only in the results thereof.

1.2. Ongoing maintenance of the landing page and subsequent pages during the term of the subscription period.
S ervices. (a) Business Associate provides services (which may include, but is not limited to, transaction services, servicing hardware, or software products, and data exchange and analytic services) (“Services”) that involve the use and/or disclosure of PHI. These Services are provided to Customer under various agreements (collectively, the "Service Agreement") that specify the Services to be provided by Business Associate. Except as otherwise specified herein, Business Associate may make any and all uses and disclosures of PHI created or received from or on behalf of Customer necessary to perform its obligations under the Service Agreement.
(b) Business Associate may provide Data Aggregation services relating to the Health Care Operations of Customer in accordance with the Privacy Rule.
S ervices. Pursuant to the Underlying Agreement, Business Associate provides or may provide services (“Services”) for Covered Entity that involve the Use and Disclosure of PHI. Except as otherwise specified herein, the Business Associate may make any and all uses of PHI necessary to perform its obligations for the Covered Entity under the Underlying Agreement. All other uses not authorized by this Agreement are prohibited. Moreover, Business Associate may disclose PHI for the purposes authorized by this Agreement only to its employees, Subcontractors and agents, in accordance with Section 2.1.6., or as otherwise permitted by or as required by the Privacy or Security Rule, but only for the purpose of performing services for Covered Entity.
