Selection Meeting. As soon as practicable, at the beginning of each semester, unit members within each operational unit will meet together on paid time (for up to one (1) hour) with one or more management representatives to discuss the list of Overtime/Temporary Extra Work Assignments. (Employees who are unable to attend may designate a coworker to act as their proxy.) The meeting will be scheduled at the discretion of management, in order to avoid disrupting the instructional program and other School operations, and may occur during regular work hours or after work shifts (with payment of appropriate overtime).

Selection Meeting. Teachers in a building being closed shall meet on the first Monday in May for the purpose of selecting vacant and unassigned positions in Grades K-6 on a seniority basis. Any teacher who is absent may make a selection through a designated representative. The above date for the selection meeting may be modified by mutual agreement between the Association and the School District. This procedure applies to teachers in an elementary building being closed who have not been laid off, and all teachers must have appropriate certification for the position selected.
Selection Meeting. 1. In order of classification seniority (most senior first), each affected employee shall attend the selection meeting and will be offered options in the order identified below. If the option is not available at the time of his/her turn, the employee will be offered the next option. Each employee must attend the selection meeting in person unless prior arrangements have been made and approved by UMC and SEIU. Failure to attend or have prior approved arrangements will result in the employee giving up rights to the provisions of this article. Application of the layoff process may result in employees not originally identified being affected due to displacement. Should that occur, UMC will identify the employees as a group and follow the process in this article for all such affected employees. 2. If available, the employee will be provided two options in the following order: a. Select one of two or more vacant approved position(s) in the same classification at the equivalent FTE status for which the employee has the knowledge, skills, abilities, and qualifications to perform the duties of the position. b. If only one vacant approved position exists, the employee will have the option of selecting from the one vacant approved position or displace the least senior employee within the same classification providing the employee has the knowledge, skills, abilities, and qualifications to perform the duties of that position. c. If no vacant approved positions exist, the employee will have the option of displacing the least or second least senior employee within the same classification providing the employee has the knowledge, skills, abilities, and qualifications to perform the duties of that position. d. If there is no opportunity to displace an employee in the same classification then the employee will have the option to elect a reduction in grade and follow the same process as identified in above in 2 b, c for the lower classification providing the employee targeted for layoff has the knowledge, skills, abilities and qualifications to perform the duties of the position in that other department. e. An employee targeted for layoff will have the right to elect a reduction in grade to a lower classification in any classification within his/her department provided that the employee has completed a probationary period in that position, the department has a vacant position, and the Department Head determines the employee has the knowledge, skills, abilities, and qualific...

  • Negotiation Meetings The first bargaining session shall be held at a mutually agreed time and date within fourteen (14) days of the request. All proposals by the parties shall be written and submitted to the representative(s) of both teams at the first meeting. No additional items shall be submitted by either party following the first meeting, unless mutually agreed by the parties. Additional ground rules, if any, will be established at the first meeting. Bargaining sessions shall not be scheduled during the regular teacher workday. Time and dates as used in this Article may be changed by mutual agreement.

  • Special Meeting Special meetings of the stockholders may be called only by such persons and only in such manner as set forth in the Certificate of Incorporation.   • Open Meetings (a) All scheduled meetings of the Employer shall be open meetings, except in those cases where personnel, financial or other matters require that the meeting be considered confidential. (c) A designated member of the Union shall be provided a copy of the agenda and minutes of all open meetings.   • Preconstruction Meeting Furnish the names of the Certified Erosion and Sediment Control/Stormwater Supervisor, Certified Foremen, Certified Installers and Certified Designer and notify the Engineer of changes in certified personnel over the life of the contract within 2 days of change. Any company performing work for the North Carolina Department of Transportation has the ethical responsibility to fully disclose any reprimand or dismissal of an employee resulting from improper testing or falsification of records.

  • Final Meeting The goal of this subtask is to complete the closeout of this Agreement. • Meet with Energy Commission staff to present project findings, conclusions, and recommendations. The final meeting must be completed during the closeout of this Agreement. This meeting will be attended by the Recipient and CAM, at a minimum. The meeting may occur in person or by electronic conferencing (e.g., WebEx), with approval of the CAM. The technical and administrative aspects of Agreement closeout will be discussed at the meeting, which may be divided into two separate meetings at the CAM’s discretion. o The technical portion of the meeting will involve the presentation of findings, conclusions, and recommended next steps (if any) for the Agreement. The CAM will determine the appropriate meeting participants. o The administrative portion of the meeting will involve a discussion with the CAM and the CAO of the following Agreement closeout items:  Disposition of any state-owned equipment.  Need to file a Uniform Commercial Code Financing Statement (Form UCC-1) regarding the Energy Commission’s interest in patented technology.  The Energy Commission’s request for specific “generated” data (not already provided in Agreement products).  Need to document the Recipient’s disclosure of “subject inventions” developed under the Agreement.  “Surviving” Agreement provisions such as repayment provisions and confidential products.  Final invoicing and release of retention. • Prepare a Final Meeting Agreement Summary that documents any agreement made between the Recipient and Commission staff during the meeting.

  • Meeting of Shareholders (a) Promptly after the date hereof, the Company shall take all action necessary in accordance with the GBCC and its Articles of Incorporation and by-laws to convene a meeting of shareholders ("Company Shareholders Meeting") to be held as promptly as practicable after the S-4 Registration Statement is declared effective by the SEC for the purposes of voting upon this Agreement and the Merger. Neither the Board of Directors of the Company nor any committee thereof shall, except as required by their fiduciary duties as determined in good faith (in reliance on the opinion of its outside counsel), withdraw or modify, or propose to withdraw or modify, in a manner adverse to Parent, the approval or recommendation by the Board of Directors of the Company or such committee of this Agreement or the Merger. Nothing contained in this Section 6.3(a) shall prohibit the Company from making any disclosure to the Company's shareholders if, in the good faith judgment of the Board of Directors of the Company (in reliance upon the opinion of its outside counsel), such disclosure is necessary for the Board of Directors to comply with its fiduciary duties under applicable law. The Company shall deliver to Parent, concurrent with the execution and delivery of this Agreement, the Voting Agreement executed by Szlam. (b) If necessary, Parent shall take all action necessary in accordance with the DGCL and its Certificate of Incorporation and by-laws to convene a meeting of stockholders (the "Parent Stockholders Meeting") to be held as promptly as practicable after the S-4 Registration Statement is declared effective by the SEC for the purposes of voting upon this Agreement and the Merger. Neither the Board of Directors of Parent nor any committee thereof shall, except as required by their fiduciary duties as determined in good faith (in reliance on the opinion of its outside counsel), withdraw or modify, or propose to withdraw or modify, in a manner adverse to the Company, the approval or recommendation by the Board of Directors of Parent or such committee of this Agreement or the Merger.
