TRAINING AND OTHER SERVICES. 3.1. If requested by the LICENSEE, PerfectForms may at its standard fees and charges (including expenses) from time to time provide training courses in the use of the Software and other agreed services. Training may be provided at a mutually agreeable predefined location or may be delivered virtually upon mutual agreement of the LICENSEE and PerfectForms
3.2. PerfectForms will use reasonable efforts to train the LICENSEE's nominated employees in the subject matter of a particular training course but does not guarantee any resultant level of competence of any such trainee
3.3. The LICENSEE will ensure that its employees using the Software are trained to a sufficient level to enable them to use it competently
3.4. Once a date for training an employee or for the provision of services has been agreed by the LICENSEE and PerfectForms then both parties will take all reasonable steps to prevent that date being cancelled or postponed. In the event that the date for a course or for the provision of services is cancelled or postponed by the LICENSEE for any reason the following charges shall apply
3.4.1. If the course or provision of services is cancelled or postponed within 2 working days of the agreed date there will be payable by the LICENSEE a charge calculated at 100% of the course fees or PerfectForms’ fees otherwise chargeable for the services on that date
3.4.2. If the course or provision of services is cancelled between 3 and 5 working days of the agreed date there will be payable by the LICENSEE a charge calculated at 50% of the course fees or PerfectForms’ fees otherwise chargeable for the services on that date
3.4.3. If the course or provision of services is cancelled between 6 and 10 working days of the agreed date there will be payable by the LICENSEE a charge calculated at 25% of the course fees or PerfectForms’ fees otherwise chargeable for the services on that date
3.5. PerfectForms reserves the right to cancel or postpone any course or provision of services in the event of circumstances beyond its control, in which case its liability will be limited to refunding any fees paid in respect of the delivery of that course or the services on that date
TRAINING AND OTHER SERVICES. Certain services may be available to Franchisee only through Franchisor or an affiliate, including mandatory training. Franchisee will be required to pay the usual price for any of these services, unless otherwise provided in this Agreement.
TRAINING AND OTHER SERVICES. (1) During the Term, Master Franchisee shall provide the following training services and courses (the “Training Services”) in respect of Franchisees:
(a) Training and assistance to New Franchisees and crew to be employed by New Franchisees;
(b) Ongoing training for Franchisees, including Directors of Operations and other senior management, Restaurant Management and crew;
(c) Training to conduct the Burger King Curriculum for Franchisees, Restaurant Management and crew in accordance with the Standards;
(d) Training and monitoring of trainers engaged by Franchisees who own multiple Franchised Restaurants;
(e) Seek to ensure that any training restaurants comply with the Standards; and
(f) Follow up on the training recommendations made by BKAP on the training needs of Franchisees’ employees and/or management. Master Franchisee must use reasonable efforts to ensure that the Training Services referred to in this clause 11 are provided in strict compliance with the Burger King Curriculum. BKAP will provide Master Franchisee with the Burger King Curriculum and other training aids to assist Master Franchisee in carrying out the Training Services referred to in this clause 11. BKAP will provide Master Franchisee with any translations into Chinese that BKAP has prepared with respect to the Burger King Curriculum and other training aids, and hereby authorizes Master Franchisee to translate the Burger King Curriculum into Chinese at its sole cost and expense for the use of the PRC Companies and Franchisees in the Territory; provided, however, that Master Franchisee shall not use such translation without first obtaining BKAP’s prior written consent. Any copyright or other proprietary rights in and to the translated version of the Burger King Curriculum and other training aids shall be the exclusive property of BKAP. BKAP authorizes Master Franchisee to reproduce the training manuals and other training aids for the purposes of carrying out its obligations under this clause 11.
(2) Master Franchisee must provide Pre-opening Services and Opening Supervision Services as required under the Franchise Agreement in respect of all Franchisees. “Pre-opening Services” and “Opening Supervision Services” consist of such pre-opening and opening supervision and assistance required by the Standards, including the standards, requirements and procedures from time to time in the BKAP “Restaurant Opening Guide” applicable to the Region, as modified by BKAP from time to time.

No training, maintenance, installation, consulting or other services are provided under the sales order or in- voice unless specifically agreed to by Supplier in the Agreement. Unless otherwise specified, training is pro- vided onsite at Buyer’s designated facility. Due to the particularities of some Products, special technical skills of the Supplier may be required in many instances in relation to the Products and systems, therefore factory- based employees of Supplier may be required to per- form system installation, integration, upgrades/ down- grades, moves, and/or maintenance at Supplier’s then current time and material rates. Should Buyer elect to perform installation of hardware and/or software which results in Supplier repair or support services attributable to the improper installation, Supplier shall invoice Buyer at the then current time and material rates. The Buyer is responsible for Supplier’s travel, lodging and other charges associated with training and other services.
TRAINING AND OTHER SERVICES. Training and other services, such as onboarding, setup, configuration and customization services, if any, will be as set forth in an Order Document. CCH will perform all training and other services in a professional and workmanlike manner. If the Order Document doesn’t specify the dates when such additional services will be provided, then such services will be provided on a mutually agreeable schedule. To the extent that the provision of such services are dependent on Customer completing certain tasks and Customer is delayed in completing such tasks, then the dates for the provision of such services will be adjusted. Except as may be provided in an Order Document, deliverables resulting from services provided with respect to a Product licensed under an Order Document are for the avoidance of doubt deemed part of the Product and subject to the terms of this Agreement.
TRAINING AND OTHER SERVICES. OPT will provide CUSTOMER training in the use of the Software and such other services as specified and at the fees stated on the applicable Schedule(s). CUSTOMER will pay within 30 days of invoice therefor reasonable (in accordance with CUSTOMER's normal travel policies) travel and living costs incurred by OPT personnel in providing such training or other services, as well as other costs incurred at CUSTOMER's request such as shipping of materials or special equipment. OPT will provide reasonable documentation for such expenses at the request of CUSTOMER. Additional training or other services beyond those specified may be purchased by CUSTOMER in accordance with the fees stated on the applicable Schedule(s).
TRAINING AND OTHER SERVICES. TSP will take all steps for capacity building of NIXI staff at various times, as per the requirements of Section 8 of Schedule A. Training of NIXI staff will be done periodically at mutually agreed convenience. TSP will also provide reporting to NIXI as detailed in section 8 of Schedule A.
