Transport and Freight. 8.1 The Client must comply with the requirements of the Outturn Protocol when the Client: (a) engages the Company as the freight provider (rail or road), or (b) contracts direct with the freight provider, and requests the Company to Outturn grain to rail or road transport. 8.2 The Client accepts all risk to Grain in transport used by the Client to deliver or to Outturn Grain at Facilities. 8.3 The Client and its agents will ensure that they comply with the Heavy Vehicle National Law or other similar and applicable legislation in force at the relevant time, including ensuring that: (a) all vehicle loads entering a Facility comply with their respective mass, load and dimension management limit obligations; and (b) the drivers of all vehicles entering a Facility are in compliance with their relevant speed and fatigue obligations; (c) all vehicles entering a Facility site must comply with minimum vehicle standards under the Heavy Vehicle National Law; and (d) the driver of vehicles are not under the influence of drugs or alcohol, and as a condition of entry to a Facility the driver voluntarily submits to random drug and alcohol testing at Emerald’s discretion. If the Client fails to comply with any of these obligations, Emerald may refuse the Client’s vehicle entry to the Facility or direct the driver to leave Emerald’s Facility. 8.4 Emerald is a party to the Victorian Grain Harvest Management Scheme and the NSW Grain Harvest Management Scheme. The Client agrees that any breaches by the Client or its agents of the Heavy Vehicle National Law in connection with a Facility may be recorded by Emerald and may be reported to the relevant state or national regulator at Emerald’s sole discretion.

Transport and Freight. 13.1 The Client agrees to ensure that, in delivering Grain to or collecting Grain from the Facility, all Transport Service Providers will: (a) comply with the Company's operating procedures, environmental policies and procedures and occupational health and safety guidelines and all requirements and directions given by the Company; (b) comply with all applicable laws including without limitation those relating to occupational health and safety, driving hours, driver fatigue management, loading, unloading, weight or mass limits, dimension limits, load restraint limits, road safety and regulation, vehicle maintenance and vehicle emissions, vehicle mass limits and similar freight and safety obligations and any act, regulation, code or standards of industry best practice applying to the operation of the Transport Services Provider’s business or the engagement or management of its personnel (Applicable Laws) and use vehicles that are entirely fit for purpose; (c) provide reasonably detailed evidence of its (and its personnel’s) compliance policies and procedures (including its Driver Fatigue Management System) when requested by the Company from time to time; (d) fully, accurately and properly complete, and provide to the Company, all vehicle and container weight declarations and information and any other required documentation relating to loading, weights and freight and safety obligations where required to do so by any Applicable Laws; (e) have all approvals, licences and authorisations required to operate the transport services being provided and have adequate systems in place to provide the necessary services to the Company in a timely, safe and professional manner; (f) minimise and avoid all risk of damage or injury to all persons and the protection of same including the protection of the Company's employees, agents and contractors; (g) only present vehicles that are clean and free from contaminants, safe, fit for purpose, registered, insured and or operated by licensed and experienced trained, qualified and physically capable persons; (h) comply with all reasonable directions of the Company and its employees and representatives and avoid or minimise unreasonable interference with the passage of people, vehicles and the operations and activities carried out at the Facility. To provide professional development and resources required to teach the mathematics and English language arts courses; iv. To identify successful completion of the course(s) on the student transcripts as determined by the State of Texas PEIMS number; v. To provide curriculum for the course that is consistent with HC Student Learning Outcomes; vi. To provide assistance with admission, enrollment, and financial aid applications; E. ISD agrees to the following for the college preparatory mathematics course: i. To teach a math course designed to focus on college mathematics (algebraic or non‐algebraic) concepts; ii. Require students to meet college readiness scores on the TSI Assessment; iii. To meet regularly with HC faculty. F. ISD agrees to the following for the college preparatory English language arts course: i. To teach an integrated Reading and Writing course that focuses on critical reading and college‐level writing; ii. Require students to meet college readiness scores on the TSI Assessment; iii. To meet regularly with HC faculty.
