Vacation, Holiday and Sick Leave. In accordance with Company PTO policy, Executive shall be entitled to accrue [twenty-five (25)] days of paid vacation each year (prorated for partial years worked), which may be carried over from year to year. Any vacation shall be taken at the reasonable and mutual convenience of the Company and Executive and, unless otherwise agreed upon by the Company under specific circumstances. Any accrued and unused vacation shall be paid to Executive upon termination. The Company shall provide Executive with paid timed off (for holiday, paid sick leave, and other personal time), as provided by the Company to other executive employees of comparable stature.

Vacation, Holiday and Sick Leave. Where an employee is absent, on Vacation, Paid Holiday, or Sick Leave, appropriate payment shall be based on the posted scheduled hours of work (i.e. eight [8] or twelve [12] hours).

(c) For purposes of clarification and subject to Section 3.03(d), if an Employee terminates employment with a member of the Dell Group or the SecureWorks Group after the Effective Date and is subsequently hired by a member of the other Party’s Group, such hiring Party shall not be required to assume any unused vacation, holiday or sick days accrued by such Employee during such prior employment as a result of this Section 4.08.

Notification of at least 4 weeks will be given prior to any closed days, with the exception of emergencies or illness. *My assistants will be available to continue running the daycare during emergencies or illness. If not, parents are responsible for finding back-up care during vacation, professional training, holiday and emergency closings; however, provider will give parent a listing of drop-in daycare facilities.
