VACATIONS AND BENEFITS. 5.1. During each twelve (12) month period during the Initial Term and any Renewal Term of this Agreement, the Employee shall be entitled to vacation time of not less than four (4) weeks, during which time the Employee's Salary shall be paid in full. The Employee shall take his vacation at such time or times as shall be approved by the Company, which approval shall not be unreasonably withheld. 5.2. The Employee shall be entitled to such other benefits as the Board of Directors shall lawfully adopt and approve.

VACATIONS AND BENEFITS. Employee shall be entitled to benefits generally available to Details full time personnel, such as participation in health care plans and similar benefit plans, including vacation and sick pay entitlements for salaried employees, vehicle use or allowances, and reimbursement of reasonable expenses incurred in the discharge of Employee's obligations hereunder.
VACATIONS AND BENEFITS. The Employee shall be entitled each year to one or more reasonable vacations in accordance with the established practices of the Corporation now or hereafter in effect for executive personnel, during which time Employee's compensation shall be paid in full. In no event shall the amount of annual vacation time to which the Employee is entitled be less than three weeks per year. Nothing in this Agreement shall be construed to impair or limit the Employee's rights to participate in all employee benefit plans of the Corporation of every nature and he/she shall, in fact, be entitled to participate in and be a member of all such benefit plans in proportion to his/her seniority and compensation. These shall include, but not be limited to, company-paid life insurance payable to the beneficiary the Employee shall designate from time to time, private hospitalization and major medical insurance coverage for the Employee and participation in stock option plans and pension and profit sharing plans. In the event Employee continues his/her employment with any successor-in-interest to the Corporation resulting from any sale by the Corporation of substantially all of its assets or any merger or consolidation of the Corporation, Employee shall remain entitled to benefits at least as favorable as those provided herein and shall be accorded seniority and benefits with such successor-in-interest based upon the aggregate period of time Employee was employed by the Corporation and by any such successor-in-interest.

Executive shall request vacation time in writing in accordance with the policies of the Corporation. (b) The Corporation shall include Executive, the spouse of Executive and all children of Executive in all medical, health or disability plans upon such terms and conditions as are provided to other management officers of the Corporation and shall include Executive in all disability and wage continuation plans as may be adopted by the Corporation for other executive officers of the Corporation. (c) The Corporation shall include Executive in all group term life insurance plans adopted by the Corporation for executive officers of the Corporation. (d) Due to the nature of Executive's Duties under this Agreement, and the solicitations, meetings, conferences and the individual goodwill related thereto and required to be undertaken and maintained by Executive with the Corporation's clients in order to maintain, preserve and guarantee the goodwill of the Corporation in its highly competitive business, the Corporation agrees to reimburse Executive on a monthly basis for all reasonable entertainment expenses; provided that, prior to reimbursement, Executive shall provide to the Chief Accounting Officer of the Corporation a written Expense Report, detailing the character and nature of the reimbursable expenses. (e) The Corporation agrees to permit Executive to become a participant in any employee benefit plan of the Corporation, including any pension or profit-sharing plan, at such time that the Corporation has such a plan or plans and at such time that Executive shall become eligible to participate therein according to the terms and provisions of said plan.
VACATIONS AND BENEFITS. The Company will offer Sundxx xxx option of continuing his medical benefits, as required by the Consolidated Omnibus Budget Reconciliation Act of 1986, as amended, at Sundxx'x xxxense; provided, however, that the foregoing obligation shall terminate on the earlier of (a) the date on which Sundxx xxxepts full-time employment, or (b) two years from the date hereof. The Company shall also reimburse Sundxx xxx any legitimate business expenses incurred by him prior to the date hereof, upon presentation of appropriate documentation therefor. The parties acknowledge that such expenses do not exceed $500.00.

(c) Middle Bay shall include Executive in all group term life insurance plans and other employee benefit and fringe benefit plans adopted by Middle Bay for executive officers of Middle Bay. (d) Due to the nature of Executive's Duties under this Agreement, and the solicitations, meetings, conferences and the individual goodwill related thereto and required to be undertaken and maintained by Executive with Middle Bay's business contacts in order to maintain, preserve and guarantee the goodwill of Middle Bay in its highly competitive business, Middle Bay agrees to reimburse Executive on a monthly basis for all reasonable entertainment expenses incurred consistent with policies established by Middle Bay; provided that, prior to reimbursement, Executive shall provide to the Chief Financial Officer of Middle Bay a written expense report, detailing the character and nature of the reimbursable expenses. (e) While employed by Middle Bay or Shore, Executive shall be allowed to participate, subject to meeting eligibility standards, on the same basis generally as other employees and other officers, in all general employee benefit plans and programs and specific benefit plans and programs available to other officers which on the Effective Date or thereafter are made available by Middle Bay or Shore to their employees and/or officers.

As an additional benefit, Details shall pay, while Employee is employed by Details, an amount not exceeding $500 monthly, for up to 36 months, with respect to Employee's existing vehicle lease obligation.

During each calendar year during the term of this Agreement, Employee shall also be entitled to devote up to five (5) working days to business and professional education, during which time Employee's base compensation under Section 4.1 shall continue to be paid in full. Employer agrees to reimburse Employee for his reasonable costs incurred in this connection (including, without limitation, the costs of tuition, travel, lodging and meals), in an amount not to exceed Five Thousand Dollars ($5,000) in each such calendar year. .5.3. Employee shall continue to be entitled to the fringe benefits applicable generally to full-time employees of Employer at Employee's level, subject to any changes to such benefits that are hereafter adopted by the Board, and, at all times during the term of this Agreement, such fringe benefits shall in the aggregate be at least as favorable as the most favorable fringe benefit package provided to any other employee of Employer. Such fringe benefits currently include (a) group term life insurance; (b) medical, dental and vision insurance; (c) six (6) paid holidays per year; and (d) qualified 401(k) retirement plan.
