Your Other Responsibilities. 4.8.1 You undertake to ensure that all appropriate users receive initial training services sufficient to enable You to effectively use the Software. Failure to do so could result in additional fees if Support service requests are deemed excessive as a result of insufficient training, at Our discretion. 4.8.2 You shall ensure that Our assigned technical personnel are able to access Your system remotely. You shall be responsible for providing Us access under such security arrangements as agreed between the parties. We alone shall decide whether access to the system is sufficient for Support purposes. The Support service shall be conditional upon You having (i) provided such information and assistance as may be reasonably expected in respect of any malfunction in the Software; (ii) incorporated all Updates issued by Us; (iii) not otherwise changed the Software; and (iv) arranged for appropriate training in the Software for your users 4.8.3 You agree to ensure suitably experienced personnel are available to Us if required. 4.8.4 You agree to report all suspected Errors and questions through Your Support Contact(s) to Us. Failure by You to so notify Us within 30 days of Your first becoming aware of the Error in the Software or any incorrect working of the Software shall free Us from all obligations to provide Support Services in respect of such Software. Support Contact(s) are required to undergo Our training courses prior to being confirmed as “Support Contact”. Reports will include all pertinent information regarding Your deployment and use of the Software and the circumstances under which the problem occurred. When submitting a service request, a Support Contact should have a baseline understanding of the problem encountered and an ability to reproduce the problem in order to assist Us in diagnosing and triaging the problems. If You make unreasonable, excessive or inappropriate use of the Support, then We may at Our absolute discretion either suspend or charge extra for such Support and invoice You, and You agree to pay, for the additional charges in respect of time spent supplying such Support at the then current rates. 5. FEES. Fees for Software and Support Services and payment terms are specified in the Order Form.

You are responsible, at your own cost, for the power supply and arranging alternative power supplies if any temporary supply fails. Installing engineers may refuse to install equipment if they perceive a hazard or risk, 9.1.2. provide us with full access to your Sites and networks and make available such office and technology facilities as may be necessary for us to provide the Service, 9.1.3. provide a suitable operating environment for the equipment in accordance with the manufacturer’s operating instructions, promptly furnish us with such information and documents as we may reasonably require for the proper performance of the Services, 9.1.4. obtain at your own cost all third party consents, licences and rights reasonably required in order to allow us or our subcontractor to provide the Service and be responsible for complying with any applicable laws, statutes, regulations and codes of practice, in relation to the Services, 9.1.5. put in place adequate security and virus checking procedures in relation to any computer facilities to which you provide us with access, 9.1.6. take necessary steps to manage your network and internal infrastructure to prevent conflicts with the Service that may result in fault or failure of the Service, 9.1.7. supply on an ongoing basis, at your cost, all space, power supply access points, cables, trunking, electricity, air conditioning and any other facility as may be defined following the site survey required to receive the Installation Service and the Service, 9.1.8. keep full and up-to-date secure backup copies of the data on the Network in accordance with good industry practice, 9.1.9. comply with and maintain compliance with all such laws and regulations that relate to their provision of telecommunications and other products or services supplied by us. 9.1.10. not allow any unauthorised user or any third party to access or use the Equipment or the Service, and shall take all reasonable security precautions to avoid such unauthorised access, use, add to, modify or interfere with in any way, the Equipment or the Service, and 9.1.11. follow any other reasonable instruction we may give you. 9.1.12. We will meet your reasonable requirements regarding the safety of people on your premises and you must do the same for us. b) If we need someone else's permission to cross, or put our equipment in, or make an installation on their premises, you must get that permission for us and make any necessary arrangements. We will not be liable for any loss or damage where this permission is not obtained by you and you agree to pay any costs actually incurred. c) When our work is completed, you will be responsible for putting items back and for any necessary re-decorating.

Your Other Responsibilities. 10.1 In addition to your obligations under this Agreement, you are responsible for: (a) the cost of anything outside of the scope of clause 7; (b) performing regular maintenance checks on your vehicle, in accordance with your owner’s manual, for example in respect of fluid level checks and tyre pressures; (c) when booking a service for your vehicle, notifying the approved Audi Service Centre of your vehicle’s Motoring Plan; (d) keeping a copy of your Motoring Plan with your vehicle so that you can present it to the approved Audi Service Centre carrying out a service on your vehicle.

You may only connect phones, extension wiring, sockets or other equipment to our network using a main telephone socket that we or our agents have fitted and maintain, unless we agree otherwise. 9.2 Supplying a place and electricity for our equipment. We will have to place equipment on your premises to provide you with the Service. For residential customers this will normally be just a main telephone socket. You must provide a suitable place and conditions for our equipment. If we have to supply equipment that needs a continuous mains electricity supply and connection points, you must provide them where we need them at your own expense.
Your Other Responsibilities. You agree: 1. to be responsible for supporting your Subscribers directly through your help desk. Your operations group or customer service group will contact our help desk in regard to any reported problems with the Service being provided by us; 2. to be responsible for ensuring that your software can and will log-off each Subscriber after no activity by each Subscriber for 30 minutes ("Time Out Function"); 3. to be responsible for ensuring that for Prodigy Internet Services your software will not allow multiple User Identifications associated with any Prodigy Internet Subscriber to gain simultaneous access to the Services ("Simultaneous Prohibition Function"); and 4. upon written request by us audit each of the Time Out Function and Simultaneous Prohibition Function up to five audits per each 12 month period. Within 15 days of receiving a written audit request you will delivery a written audit report to us. If the audit shows noncompliance with the Time Out Function or Simultaneous Prohibition Function, as the case may be, the Maximum Monthly Usage Charge (as provided in Section 6.5.1) shall not be applicable to any time period from the date of the last audit showing compliance until the date you cure such noncompliance.
