Demising Work definition

Demising Work means the construction by Tenant, if and to the extent required as a result of Tenant’s vacation and surrender of Surrendered Premises to Landlord, of (i) all walls and other work required to demise, separate and secure the Leased Premises from any portion of the Building that is not included within the Leased Premises, (ii) all work, if and to the extent required as a result of such demise, for (a) the creation of multi-tenant access to Building Common Areas, facilities and systems necessary for the general office use of the Surrendered Premises, including multi-tenant access to the mechanical, electrical, plumbing and other utility facilities and systems serving the Surrendered Premises or (b) at Tenant’s sole option, in lieu of creating multi-tenant access to existing Building Common Areas, facilities or systems, Tenant may construct replacements for Building Common Areas, facilities or systems necessary for the general office use of the Surrendered Premises and (iii) to provide proper and lawful means of ingress and egress to the Surrendered Premises. Notwithstanding the foregoing, Tenant will not be obligated to (i) make any alterations or improvements to demise the Leased Premises on floors of any Buildings that are and shall continue to be leased by Tenant as full floors, (ii) make any alterations or improvements to floors that do not contain any Leased Premises or (iii) bring the Properties into compliance with building codes or other Legal Requirements, except to the extent required by any Governmental Authority as being necessary to perform the Demising Work. All Demising Work shall be performed in conformity with the requirements of Section 5.7.
Demising Work shall have the meaning assigned to such term in Section 5.7(a).
Demising Work with respect to any Surrender Release Space (that is not then in Separately Leasable Condition) or Vacate Space (that is not then in Separately Leasable Condition), shall mean all the work in and to the Building (including in and to such space) that is required to cause such space to be put in a Separately Leasable Condition; provided, however, that in no event shall the term “Demising Work” ever be deemed to include (i) any work which internally sub-divides such space, or any other work designed to permit such space to be occupied by multiple tenants or occupants (as opposed to a single tenant or occupant), or (ii) the construction of any leasehold improvements within such space.

Examples of Demising Work in a sentence

  • Tenant shall deliver the Contraction Premises to Landlord in the condition as it was required to be maintained by Tenant under this Lease, reasonable wear and tear and Demising Work, if any, excepted, and subject to the provisions of Section 5.3 and Article VI.

  • Landlord shall be deemed to have waived Tenant’s performance of any Demising Work not shown on the Final Drawings except to the extent required to satisfy Legal Requirements.

  • The costs of the Demising Work, including, without limitation, the costs of installing and painting the demising walls shall be paid by Sublessor.

  • In the event the Demising Work is not completed prior to Closing, Seller and Purchaser agree to enter into an Access Agreement in the form attached hereto as Exhibit D.

More Definitions of Demising Work

Demising Work means, with respect to Colocation Sites, any alterations or improvements required in the sole discretion of the Majority Occupant in order to provide physically separate and exclusive space for Parent employees and SpinCo employees, including, without limitation, the design and construction of demising walls and separate security and badging systems, but excluding any costs associated with fit-out or specific improvements or requirements of the new tenant or sub-tenant at such Property.
Demising Work means the work required, as reasonably determined by Landlord, to fully demise the Expansion Premises from the immediately adjacent premises as reflected on Exhibit A attached hereto, which Demising Work shall be performed by Landlord in a good and workmanlike manner in accordance with applicable Legal Requirements, at Landlord’s cost and expense.
Demising Work means all materials and labor necessary to demise the Premises from any adjacent space and from any Common Areas in accordance with the Plans and Specifications, including without limitation, extending the exterior corridor to the new entrance to the Premises, constructing demising walls and relocating doors providing access to the exterior corridor as shown on the Plans and Specifications. The Demising Work shall be performed in a manner that when completed it will have a consistent view and appearance as the remainder to the Premises (i.e., doors, carpet, paint and trim).
Demising Work means the construction by Lessee, as a result of the creation of Surrendered Premises, of (i) all walls and other work required to demise, separate and secure the Leased Premises from any portion of the Improvements that is not included within the Leased Premises, (ii) all work, if and to the extent required as a result of such demise for (a) the creation of multi-tenant access to Common Areas, facilities and systems necessary for the use of the Surrendered Premises, including, without limitation, multi-tenant access to the mechanical, electrical, plumbing and other utility facilities and systems serving the Surrendered Premises or (b) at Lessee's sole opinion, in lieu of creating multi-tenant access to existing Common Areas, facilities or systems, Lessee may construct replacements for Common Areas, facilities or systems necessary for the use of the Surrendered Premises and (iii) to provide proper and lawful means of ingress and egress to the Surrendered Premises. Notwithstanding the foregoing, Lessee will not be obligated to (i) make any alterations or improvements to demise the Leased Premises on floors of any Improvements that are and shall continue to be leased by Lessee as full floors, (ii) make any alterations or improvements to floors that do not contain any Leased Premises or (iii) bring the Projects into compliance with building codes or other Applicable Laws, except to the extent required by Governmental Authority as being necessary to perform the Demising Work. All Demising Work shall be performed in conformity with the requirements of Section 6.5 of the Lease.
Demising Work means all work as reasonably required by Landlord to demise the Partial Termination Space and the remaining portion of Expansion Space D, and to make the building into a two-tenant building (including, without limitation, (1) creating separate entrances/exits, (2) constructing demising walls and corridors, (3) providing security to and from the building lobby and stairwell, and (4) separating the HVAC, electrical facilities and any other Building systems). In addition to all rights and remedies provided under the Lease, in the event that Tenant does not complete the Demising Work prior to the Termination Date, Landlord shall have the right (but shall not be obligated) to complete the Demising Work, and in that event, Tenant shall reimburse Landlord for the cost of such work within thirty (30) days of written demand by Landlord.
Demising Work means such work, as shall be required to separate any Partial Floor space leased by Tenant from the balance of the floor, including the creation or reconfiguration of common corridor(s), demising wall(s), ceilings and common area restrooms, the performance any other reasonably necessary adjustments to adapt or install the common areas necessary for a Partial Floor, adapting the Building HVAC Systems (as defined in Section 17.02 hereof) to provide heating service and air-conditioning service (as such terms are defined in said Section 17.02) to a Partial Floor, adapting the lighting, electric and other Building systems and equipment and in complying with any Requirements relating to such separation. The Demising Work shall be, at minimum, of a quality that is substantially consistent with the Building Standard for design, color, quality of materials, workmanship and décor established or adopted by Landlord for a majority of the Partial Floors of the Building.
Demising Work means the demising of the Phase II Subleased Premises such that: (i) the Phase II Subleased Premises is located within the southern wing of the second floor of the Building; (ii) the Phase II Subleased Premises will consist of approximately fifty-three and 60/100 percent (53.6%) of the rentable area of the second floor; (iii) without limiting anything contained herein, such demising will be compatible with the existing location of the voice and data cabling breaks on the second floor; (iv) after completion of Demising Work, Subtenant and Sublandlord will have access to the internal stairwell connecting the first floor and the second floor; (v) after completion of Demising Work, the parties may control access to the third and fourth floors from the second floor via such stairwell; and (vi) all new glass doors which will be added as part of the Demising Work (as defined herein) shall include Building standard access controls, including, but not limited to, electrified door hardware, card readers, request to exit systems etc.; all new access controls to be integrated into existing building access control system.
