PURPOSE AND IMPLEMENTATION. This Umbrella Agreement (hereinafter referred to as the "Agreement" or "Umbrella Agreement") shall be for the purpose of collaborative research, development, and testing opportunities on various topics of mutual interest to enable advanced understanding of aeronautics, science, and space systems research and development and to provide workforce development in Science, Technology, Engineering, and Mathematics (STEM) while furthering NASA’s research and development goals. The Parties shall execute one (1) Annex Agreement (hereinafter referred to as the "Annex") concurrently with this Umbrella Agreement. The Parties may execute subsequent Annexes under this Umbrella Agreement consistent with the purpose and terms of this Umbrella Agreement. This Umbrella Agreement shall govern all Annexes executed hereunder; no Annex shall amend this Umbrella Agreement. Each Annex will detail the specific purpose of the proposed activity, responsibilities, schedule and milestones, and any personnel, property, or facilities to be utilized under the task. This Umbrella Agreement takes precedence over any Annexes. Precision Earth return and recovery of orbital payloads in the 200 kg weight class would enable refurbishment of satellites for additional missions and mitigation of space debris, both of which would contribute to the long-term sustainability of space exploration. The Parties shall execute one (1) Annex Agreement (hereinafter referred to as the "Annex") concurrently with this Umbrella Agreement. The Parties may execute subsequent Annexes under this Umbrella Agreement consistent with the purpose and terms of this Umbrella Agreement. LASP's objective in this partnership is to obtain NASA's subject matter expertise in electric propulsion for LASP's involvement in the Multi-Asteroid eXplorer ("MAX") mission. The Parties agree that work done under this Umbrella Agreement will not be used for capacity building efforts with the UAE, and UAE personnel will not be present during testing and other activities related to this collaboration. While NASA is not involved in the MAX mission, through its participation in this partnership with LASP, NASA GRC sustains its leadership role for advancing domestic electric propulsion technologies (i.e., the CPE PPU) and strengthening the U.S. industrial base by supporting post-SBIR commercialization activities by CPE. This partnership will benefit NASA, the federal government, industry, and the public generally as the results from this partnership will potentially support the demonstration of a new propulsion capability. The Parties shall execute one (1) Annex Agreement (hereinafter referred to as the "Annex") concurrently with this Umbrella Agreement. NASA WSTF possesses unique testing facilities, unique custom analysis and interpretation capabilities, as well as unique NASA Materials and Processing (M&P) certification. WSTF is the only oxygen, propellant, and NASA-STD-6001 materials and component test facility within NASA and is not available in the commercial marketplace.
2. Component processing capabilities: In the area of component processing (precision cleaning, refurbishment, modifications, machining, and calibration capabilities and related queries such as gas sampling) WSTF combines highly reliable precision cleaning up to a level 50A with a long performance history of effectively processing articles for safe use in hazardous oxygen, hydrogen, and propellant systems, resulting in a unique expertise that can help partners develop and operate high performance systems safely. WSTF is also unique in its capability to maintain clean during component processing (such as in calibration) and to safely handle and dispose of hazardous propellant fluids such as Hypergols that may be found in partner provided hardware for cleaning and refurbishment. Through this partnership, the Founder Institute Space Tech Accelerator program will empower early-stage space entrepreneurs to build leading Space companies by providing expert mentorship. The program will be congruent to the Silicon Valley Founder Institute program, so that all participants receive the full benefits of the Founder Institute program in addition to added support through the vertical. Company founders will receive access to NASA Xxxx' resources, including technology licensing opportunities through NASA’s Technology Transfer office. Impact in the San Francisco Bay Area and State of California is expected by fostering a nascent space-based startup ecosystem, contributing to a dynamic startup community, creating both high quality and vocational jobs, attracting and retaining talent, and stimulating economic activity, among others. In parallel, NASA will engage a new innovation ecosystem and show concrete examples of economic benefits for its research activities. The Agency will also reach a large new community of entrepreneurs to create solutions to support space exploration.
