Calculation of Payments and Billing. 2.3.1 XXXX shall compensate CENTENNIAL for Telecommunications Traffic that is delivered by XXXX to CENTENNIAL as prescribed and at the rate provided in Attachment I, Section 2.1, above. CENTENNIAL will compensate XXXX for Telecommunications Traffic delivered to XXXX for termination to its customers, as prescribed and at the rate provided in Attachment I, Section 2.1, for traffic not subject to Reciprocal Compensation exchanged between CENTENNIAL and XXXX, as prescribed and at the rates provided in Attachment I, Section 2.2. 2.3.2 CENTENNIAL shall prepare a monthly billing statement to XXXX, reflecting the calculation of Reciprocal Compensation and Access Compensation due CENTENNIAL. XXXX shall prepare a monthly billing statement to CENTENNIAL which will reflect the calculation of Reciprocal Compensation and Access Compensation due XXXX. 2.3.3 If XXXX has no way of measuring the Non-Local Traffic, both Parties agree to use a default factor of 5% as an estimate of traffic not subject to reciprocal compensation. The actual recorded usage shall be the basis for billing, when available and verifiable, and will be based on XXXX’x intrastate access tariff. 2.3.4 Where indirect or direct interconnection facilities are used for traffic exchange between the Parties, the recurring charges for such facilities billed by XXXX shall be reduced by an agreed upon percentage representing the estimated or actual percentage of Telecommunication Traffic exchanged between the Parties over such facilities that originate on XXXX’x network by XXXX’x customers. This percentage is referred to as the Traffic Factor. Upon review by one of the Parties and, if warranted by the actual usage, a notification will be sent to the other Party outlining the percentage change and implementation date. Supporting documentation for the percentage change will be provided. The initial percentage shall be: a) Landline to Wireless 20% b) Wireless to Landline 80%

Calculation of Payments and Billing. 5.4.1. RLEC will compensate ALLTEL Wireless for Local Traffic delivered by RLEC to ALLTEL Wireless, as prescribed in Section 4.2, at the rate provided in Section 5.2, above. ALLTEL Wireless will compensate RLEC for Local Traffic delivered to RLEC for termination to its customers as prescribed in Sections 4.1 and 4.2 and at the rate provided in Section 5.2. ALLTEL Wireless will compensate RLEC for Non-Local Traffic it terminates to RLEC at the rates provided in Section 5.3. 5.4.2. During the first year of the contract, RLEC shall prepare a monthly billing statement to ALLTEL Wireless, which will separately reflect the calculation of Reciprocal Compensation, the Reciprocal Compensation Credit for traffic delivered pursuant to Section 4.2, Switched Access Compensation, and total compensation due RLEC. RLEC shall use the total terminating traffic recorded by RLEC and/or a third party tandem provider for billing ALLTEL Wireless. After the first year of the contract, each Party shall xxxx the other Party for traffic terminated onto its network by the other Party pursuant to Section 5.4.1. During year one, traffic billed pursuant to Section 4.2 shall be based upon a 75% to 25% mobile to land factor. During the first year of the contract, RLEC shall measure ALLTEL wireless traffic terminating to RLEC pursuant to Section 4.2 and shall calculate a reciprocal compensation credit for land-to-mobile traffic. Calculation of Payments and Billing. 5.3.1 Each Party will compensate the other Party for Subject Traffic terminated on Party’s network at the rates set forth in Appendix A. 5.3.2 HICKORY shall prepare a monthly billing statement to CINGULAR for CMRS-LEC traffic terminating on the HICKORY network which will separately reflect the calculation of compensation due HICKORY. Actual terminating usage recorded by HICKORY or applicable third-party tandem provider will be used for billing CINGULAR for this terminating traffic. CINGULAR shall prepare a monthly billing statement for compensation to XXXXXXX. CINGULAR shall calculate usage billed to HICKORY based on HICKORY’s compensation usage billed to CINGULAR and the application of the Traffic Factors in Appendix A, Section 1.0. 5.3.3 Each party may, upon at least thirty (30) days’ written notice, request to audit and inspect, during normal business hours, the records that are the basis for any monthly bill issued by the other Party and to request copies thereof, provided that the requested records do not exceed twenty-four 24 months in age from the date the monthly bill containing said record information was issued. Only one (1) request may be granted within a twelve (12) -month period. The audit shall be accomplished during normal business hours at an office designated by the Party being audited and shall be subject to scope and duration limitations reasonable under the circumstances. Audits shall be performed by a mutually acceptable independent auditor paid for by the Party requesting the audit. 5.3.4 Each Party may also retroactively bill the other Party for traffic exchanged via a third party provider from April 29, 2005, to the effective date of this agreement.

SPRINT will compensate UPPER PENINSULA for Subject Telecommunications Traffic delivered to UPPER PENINSULA for termination to its customers, as prescribed in Sections 3.1 and 3.2, , as applicable and at the rate provided in Attachment A and for Access Traffic exchanged between SPRINT & UPPER PENINSULA, as prescribed and at the rates provided in Section 4.2. 5.3.2 SPRINT shall prepare a monthly billing statement to UPPER PENINSULA, reflecting the calculation of Reciprocal Compensation due SPRINT. Calculation of Payments and Billing. 2.3.1 ALLENDALE shall compensate VERIZON WIRELESS for Telecommunications Traffic as defined in Section 1.26 that is originated on the ALLENDALE network and terminated on the VERIZON WIRELESS network as prescribed and at the rate provided in Attachment I, Section 2.1, above. VERIZON WIRELESS will compensate ALLENDALE for Telecommunications Traffic originated on the VERIZON WIRELESS network and terminated by the ALLENDALE network, as prescribed and at the rate provided in Attachment I, Section 2.1. The Parties recognize that VERIZON WIRELESS is currently unable to record and identify ALLENDALE originated traffic and agree to use a factor to calculate the land-to-mobile traffic originated on the ALLENDALE network. The factor shall be based upon a traffic split of 70/30 with 70% of the total traffic assumed to be mobile-to-land and 30% assumed to be land-to-mobile traffic. ALLENDALE shall xxxx VERIZON WIRELESS either from its own recordings or from tandem reports generated by the tandem owner if the Parties are exchanging traffic through a tandem. VERIZON WIRELESS shall use the ALLENDALE mobile- to-land Minutes of Use (MOUs) to calculate the land-to-mobile MOUs by dividing the mobile-to-land MOUs by 70% to arrive at 100% of the total traffic. The mobile-to-land minutes are then subtracted from the 100% value to arrive at the 30% land-to-mobile minutes (ex.: 70,000 MOUs are determined to be mobile to land. 70,000 is divided by 70% to arrive at 100,000 MOUs total. 70,000 is then subtracted from 100,000 to arrive at the land to mobile MOUs of 30,000). 2.3.3 Recognizing that ALLENDALE has no way of measuring the Non-Local Traffic, both Parties agree to use a default factor of 2% as an estimate of traffic subject to Switched Access Compensation. Cingular will compensate Sandhill for Local Telecommunications Traffic delivered to Sandhill for termination to its customers, as prescribed and at the rate provided in Section 5.1; for Non-Local Traffic exchanged between Cingular & Sandhill, as prescribed and at the rates provided in Section 5.2; and for Transit traffic as prescribed and at the rate provided in Section 5.3, above. 5.4.2 Sandhill shall prepare a monthly billing statement to Cingular which will separately reflect the calculation of Reciprocal Compensation, Access Compensation, Transit Compensation and total compensation due Sandhill. Calculation of Payments and Billing. 5.3.1 If parties agree to connect directly, RNK shall compensate CARRIER for Local Telecommunications Traffic that is delivered by RNK to CARRIER over the two-way direct trunk groups, as prescribed in Section 4.1 and in Attachment A, as applicable, and at the rate provided in Attachment A. Before such direct exchange, CARRIER and RNK will negotiate in good faith and determine necessary terms and a reasonable rate, to be incorporated in Attachment A, and CARRIER will compensate RNK for Local Telecommunications Traffic delivered to RNK for termination, as prescribed in Sections 4.1, 4.2, and in Attachment A, as applicable, and at the rate provided in Attachment A, and for Non-Local Telecommunications Traffic exchanged between CARRIER & RNK, as prescribed and at the rates provided in Section 5.2, above.
