College Closing. When an act of God, or an Employer directive, forces the closing of a College or other facility of the Employer, the Employees who are scheduled to work at the affected facility shall be excused from reporting to duty without loss of pay.

College Closing. If the entire College is closed on any day not set forth in this Agreement for an emergency on a short-term basis (5 days or less), non-exempt employees who are relieved from work for the full day will receive seven and one-half (7-1/2) hours of pay for any full day the employee was otherwise scheduled to work. If a College campus is closed for less than a full day for any reason, non-exempt employees who are relieved from work will be paid for all hours they were regularly scheduled to work on that day. Employees may be required to continue working at their assigned location (e.g., security at Xxxx Xxxxx Campus during early closing for a football game), or may be reassigned during a partial College or Campus closing, and no “closing” time will be paid under this Section. If the closing is the result of an emergency and the employee is required to work at the otherwise closed facility, the employee will be paid time-and-one-half for all hours worked at the closed facility during the emergency. The rate will revert to straight time even if the facility remains closed after the emergency (hurricane, for example) is over. The College shall have the right to require essential personnel to report for duty during an emergency and shall have the right to assign the work location. Failure to report for duty as assigned shall be grounds for discipline up to and including termination.
College Closing. 7.1 INCLEMENT WEATHER OR HEALTH/SAFETY RELATED EMERGENCY CLOSING PROCEDURES
College Closing. A. In the event of severe weather conditions, hazardous conditions or emergency situations, the College may delay its opening or close. In the event the College closes its operations for all or part of a day, the College will decide which Employees, if any, will be required to physically come to work at the campus because of their essential job functions. The supervisor or manager will provide as much notice as possible, normally with a minimum of three (3) hours depending on the nature of the closing, to an Employee who is asked to report. B. Notwithstanding Section A, if the College’s President declares an emergency at the Boston campus, no Employee will be required to physically report to the campus for work while the emergency exists, unless directed by a supervisor. C. Notwithstanding Section A or B, if the Governor or Mayor declares a state of emergency for Massachusetts or Boston, arising out of severe weather or hazardous conditions, no Employee will be required to physically report to the campus for work while the state of emergency exists, unless directed by a supervisor or mandated by the College as a whole. D. Personal safety is the first priority in weather-hazardous, or emergency- related closings. If an Employee feels it is unsafe to travel to the campus due to weather, or other emergency situations, the Employee must notify their supervisor immediately. In such cases, if the College is open, the Employee may elect to use a vacation day, personal day or unpaid leave for the day. Alternatively, the Employee and the supervisor may agree that the Employee can work remotely for one or more days during the pendency of the situation. E. If a non-exempt Employee is required to come to the campus to work when the College has closed operations, such Employee will be paid time and one half for any hours worked that day. F. Overnight lodging near campus, if possible, will be provided if needed in severe weather situations for any Employee the College requires to report to campus under this Article. 1. The College will pay for lodging by reimbursing the vendor directly or providing the Employee advance funds for payment. 2. In the event the College is not able to arrange for direct payment to the vendor or provide the Employee advance funds for payment due at the time of the stay, the Employee will be reimbursed within 10 days of submitting receipts for all approved expenses related to their stay.   • School Closing In the event that school is closed for any reason and the School District does not require employees to perform services, employees shall be compensated as follows: Subd. 1. In the event school is closed for a full day, the School Board will have the authority to determine if, how, and when such time will be made up. If make-up time is required by the School Board but is not completed by the employee, the employee’s compensation shall be reduced by the number of hours the employee was paid for the closed day. If the School Board does not require make-up time, there shall be no reduction in pay for the day that school was closed.

  • Purchase and Sale Closing (a) On the basis of the representations, warranties and agreements herein contained and subject to the terms and conditions herein set forth, the Company agrees to cause the Trustee to sell to the Underwriter, and the Underwriter agrees to purchase from the Trustee, at a purchase price of 100% of the face amount thereof, $193,440,000 of Class B Certificates. (b) Payment of the purchase price for, and delivery of, the Class B Certificates shall be made at the date, time and location or locations specified in Schedule I hereto, or at such other date, time or location or locations as shall be agreed upon by the Company and the Underwriter, or as shall otherwise be provided in Section 7 hereof (such date being herein called the “Closing Date” and such time being herein called the “Closing Time”). Payment shall be made to or upon the order of the Trustee by federal funds wire transfer or transfer of other immediately available funds against delivery to the account of the Underwriter at The Depository Trust Company (“DTC”). Such Class B Certificates shall be registered in the name of Cede & Co. or in such other names, and in such authorized denominations as the Underwriter may request in writing at least two full business days before the Closing Time. The certificates representing such Class B Certificates, which may be in temporary form, will be made available for examination and packaging by the Underwriter at the location or locations at which they are to be delivered at the Closing Time not later than 10:00 A.M. on the business day prior to the Closing Time. (c) The Company will pay to the Underwriter at the Closing Time for the account of the Underwriter any fee, commission or other compensation which is specified in Schedule I hereto. Such payment will be made by federal funds wire transfer or transfer of other immediately available funds.

The date and time of the Closing (the “Closing Date”) shall be 10:00 a.m., Chicago time, on the date hereof, subject to notification of satisfaction (or waiver) of the conditions to the Closing set forth in Section 5.1 below (or such later date as is mutually agreed to by the Borrower and the Agent). On the Closing Date, (i) each Lender shall pay its pro rata share of the Closing Note Purchase Price to the Borrower for the Notes to be issued and sold to such Lender at the Closing, by wire transfer of immediately available funds, as more fully set forth on the Schedule of Lenders and (ii) the Borrower shall deliver to each Lender the Notes (in the denominations as such Lender shall have requested prior to the Closing) which such Lender is then purchasing, duly executed on behalf of the Borrower and registered in the name of such Lender or its designee.

  • School Closings Those Employees not required to work on scheduled days of student instruction which are not held because of conditions not within the control of school authorities such as inclement weather, fires, epidemics, mechanical break downs and health condition as defined by the city, county or state health authorities, will not be paid for such days. However, a Bargaining Unit Member shall have the right to use not more than two (2) personal business days or sick days during a single school year in order to receive pay for a cancelled day of pupil instruction on which that Bargaining Unit Member was not required to work and which will not be rescheduled. (This time may be used in hours equivalent to the Employee’s normal work day. Example: A xxxx’x full day is seven (7) hours. Therefore, the Employee would have fourteen (14) hours available to use during a school closing). In order to exercise this option, the Bargaining Unit Member must give written notice to the Superintendent’s office not later than two (2) work days after the cancelled day for which personal business leave is to be substituted. Pay for this day will be remitted to the Bargaining Unit Member(s) so electing on the next regular payroll. Such Employees shall work on any rescheduled days of student instruction which are established by the Employer and will be paid at their regular daily rate of pay. Twelve (12) month Employees will be required to work on days when school is not in session and shall be paid their regular rates of pay for such days, except that if said Employees cannot make it to work, they are entitled to use sick leave. Any Employee who begins his/her duties at the regularly scheduled time shall be paid a minimum of two (2) hours at their regular hourly rate if the Employer fails to cancel school prior to the Employee's regularly scheduled starting time. If notification of a school closing is made after 6:10 a.m., any bus driver who has not been notified and who has left home for their regularly scheduled route will be compensated two (2) hours pay. Severe inclement weather may cause it to be necessary for custodial Employees to leave prior to the completion of their regular work shift. The Employee will have the option of using sick leave.

  • Third Closing At any time after forty-five (45) days following the Second Closing Date, subject to the mutual agreement of the Buyer and the Company, for the “Third Closing Date” and subject to satisfaction of the conditions set forth in Sections 7 and 8, (A) the Company shall deliver to the Buyer the following: (i) the Third Debenture; (ii) an amendment to the Transfer Agent Instruction Letter instructing the Transfer Agent to reserve that number of shares of Common Stock as is required under Section 4(g) hereof, if necessary; and (iii) an officer’s certificate of the Company confirming, as of the Third Closing Date, the accuracy of the Company’s representations and warranties contained herein and updating Schedules 3(b), 3(c) and 3(k) as of the Third Closing Date, and (B) the Buyer shall deliver to the Company the Third Purchase Price. 9. The following sentences shall be added to Section 12(a): In addition, the Company shall issue 350,000 shares of Restricted Stock (the “Second Commitment Shares”) to Investments as a commitment fee on the Second Closing Date. The Second Commitment Shares shall be earned in full as of the Second Closing Date. In addition, the Company shall issue 350,000 shares of Restricted Stock (the “Third Commitment Shares”) to Investments as a commitment fee on the Third Closing Date. The Third Commitment Shares shall be earned in full as of the Third Closing Date. A non-accountable fee of One Thousand and 00/100 Dollars ($1,000.00) on the Second Closing Date (with respect to the Second Debenture) shall be withheld from the Second Purchase Price to cover the Buyer’s accounting fees, legal fees, and other transactional costs incurred in connection with the transactions contemplated by the Second Debenture. A non-accountable fee of One Thousand and 00/100 Dollars ($1,000.00) on the Third Closing Date (with respect to the Third Debenture) shall be withheld from the Third Purchase Price to cover the Buyer’s accounting fees, legal fees, and other transactional costs incurred in connection with the transactions contemplated by the Third Debenture. 10. This Amendment shall be deemed part of, but shall take precedence over and supersede any provisions to the contrary contained in the Agreement. Except as specifically modified hereby, all of the provisions of the Agreement, which are not in conflict with the terms of this Amendment, shall remain in full force and effect.

  • Second Closing (1) Subject to the satisfaction (or, where permissible, waiver) of the conditions to closing set forth in Section 1.2(d), the second closing (the “Second Closing”) shall take place at a time and date as shall be agreed upon by the parties hereto, but in no event later than the third business day after the date of satisfaction or waiver of the last of the conditions specified in Section 1.2(d), at the offices of Xxxxxxx Spidi & Xxxxx, PC, 0000 00xx Xxxxxx, X.X., Xxxxxxxxxx, X.X. 00000, or such other date or location as agreed by the parties in writing. Any determinations under the proviso of the preceding sentence shall take into account the appropriate regulatory treatment of convertible securities.

  • Pre-Closing Promptly upon the execution of this Agreement, Seller shall notify the Manufacturer regarding the transactions contemplated by this Agreement. Buyer (or its affiliate) shall promptly apply to the Manufacturer for the issuance of a contractual right to operate an automobile dealership upon the Premises. The Parties shall use commercially reasonable best efforts to obtain Manufacturer approval as soon as possible. Seller shall promptly provide the requisite information, documents and access necessary to prepare for Closing and ensure a seamless operational transfer of the Assets. Effective as of the Closing, Seller shall terminate its Dealer Sales and Service Agreements with the Manufacturer relative to the Dealership location and execute and deliver all of the Manufacturer’s customary documents and promptly remove Manufacturer’s intellectual property from all publicly visible Excluded Assets in every form and medium (i.e., retained internet sites, signs, etc.). Seller shall fully cooperate with Buyer, and take all reasonable steps to assist Buyer, in Buyer’s efforts to obtain its own similar Dealer Sales and Service Agreements with the Manufacturer. All actions to be taken at the Closing pursuant to this Agreement will be deemed to have occurred simultaneously, and no action, document or transaction will be deemed to have been taken, delivered or effected, until all such actions, documents and transactions have been taken, delivered or effected. Promptly after the Closing, Seller shall transfer to Buyer certificates of title or origin for all vehicles and all of its registration lists, owner follow-up lists and service files on hand as of the Closing, provided that such lists and files relate to the Assets. If Seller presents assets for purchase post-Closing that would have otherwise been Assets, then such assets may be purchased at a mutually agreed to price or otherwise retained by Seller. Buyer is not required to submit an offer. This does not apply to in-transit vehicles from the Manufacturer. Buyer shall retain and safeguard the pre-Closing customer paper deal jackets retained by Buyer in accordance with law, and, until Buyer destroys such records in accordance with company policy in effect from time to time, Seller shall have reasonable access to Seller’s pre-Closing customer records (e.g., paper deal jackets) and any records related to Assigned Contracts after the Closing for any legitimate purpose, such as (by way of example and not by limitation) for resolving customer inquiries.

  • The Closing (a) The closing (the “Closing”) of the sale of the Securities by the Seller to the Purchaser shall occur on or prior to May 30, 2018, as notified in writing by the Purchaser to the Seller at least three (3) Business Days in advance (the date on which the Closing occurs, the “Closing Date”). (b) At the Closing: (i) the Seller shall deliver, or cause to be delivered, to the Purchaser: (1) evidence of the credit of the Securities to the Purchaser’s account in accordance with the Deposit/Withdrawal At Custodian instructions provided by the Purchaser to the Seller in writing prior to the Closing; (2) a certificate duly executed by an authorized signatory of the Seller, dated as of the Closing Date, certifying that the conditions set forth in Section 4.2 have been satisfied; and (3) all such other documents and instruments, if any, that are mutually determined by the Seller and the Purchaser to be necessary to effectuate the transactions contemplated by this Agreement; and (ii) the Purchaser shall deliver, or cause to be delivered, to the Seller: (1) subject to Section 6.16, a wire transfer of immediately available funds into the account designated by the Seller in accordance with the wire instructions set forth on the Seller’s signature page hereto in an amount equal to the Aggregate Purchase Price minus the Signing Deposit; (2) a certificate duly executed by an authorized signatory of the Purchaser, dated as of the Closing Date, certifying that the conditions set forth in Section 4.1 have been satisfied; and (3) all such other documents and instruments, if any, that are mutually determined by the Seller and the Purchaser to be necessary to effectuate the transactions contemplated by this Agreement (c) Unless otherwise agreed in writing by the Seller and the Purchaser, all actions at the Closing are inter-dependent and will be deemed to take place simultaneously and no delivery or payment will be deemed to have been made until all deliveries and payments under this Agreement due to be made at the Closing have been made.
