Company Rights and Responsibilities. 7.1. 7.1. The Company may transfer the rights and obligations under this Agreement to third parties for the purposes of execution of this Agreement without the additional consent of the User. 7.2. 7.2. The Company shall have the right to send the User information about the Application operation to the e-mail address or to the mobile phone number specified by the User, as well as to send the User advertising messages. 7.3. 7.3. The Company may provide paid and free services to the Users. The Company shall inform the User about the terms and conditions of the paid services by posting in the Application or on the Internet Web Site the relevant information about the service: its name, cost, as well as the form and procedure of its payment. 7.4. 7.4. The Company shall have the right to block the User’s access to the Application in case the User finds violations of the terms of this Agreement. 7.5. 7.5. Company reserves the right to terminate this Agreement at any time for organizational or technical reasons, unilaterally, while removing the Application from the User’s mobile device or blocking its use. 7.6. 7.6. In order to improve the quality of the Application, the Company may collect, store and process statistical information on the User’s use of the Application.

Company Rights and Responsibilities. 3.1 This Agreement shall not limit the Company in the exercise of any of the generally recognized customary rights of management to hire new employees, to discharge for cause, to promote, demote, transfer and layoff in accordance with the provisions of this Agreement, to establish work schedules and hours of work and to discipline for violation of Company rules. Solely the Company shall reserve all other customary management rights. 3.2 The Company shall determine the size of the work force for all departments and shall make such adjustments in the size of the work force as are necessary to insure a profitable operation of the Company. 3.3 The Company agrees not to coerce or interfere with any employee with the object of restraining membership in the Union nor to discriminate in any way against employees because of membership in the Union. 3.4 The Company agrees to furnish to the Union, on or before December 1, a list of all employees within the designated bargaining unit showing name, work location, job title, and seniority date. 3.5 The Company will provide the Union additional lists of employees, as designated in paragraph 3.4, and as requested by the Union. The cost for filling each request will be $65.00 throughout the principal term of this Agreement.
Company Rights and Responsibilities. 6.1 Company shall maintain rights to all trademarks, patents, and other intellectual and marketing properties. 6.2 Company shall provide reasonable sales and product training to Distributor representatives. 6.3 Company shall make available Company technical experts for reasonable consultation with Distributor representatives. 6.4 Company shall provide Distributor with the standard specifications of the Products along with any test methods under which the specifications were measured or tested. 6.5 Company shall provide Distributor with the current copies of Company’s procedures for Processing of Customer complaints, Medical Device Vigilance Reporting, and Field Safety Corrective Action. 6.6 Company shall provide Product information and promotional materials in English for Distributor to use or translate, while retaining the right to review before altered or translated materials are used by Distributor. 6.7 Company shall provide non-sterile Product samples for demonstration use as outlined in Exhibit C. 6.8 Company may, at its sole discretion, offer promotional monies, marketing funds, or free goods tied to specific Distributor actions aimed at facilitating the opening of new Customer accounts. Said offers shall be attached to Exhibit C of this Agreement.

Company Rights and Responsibilities. 6.1. The Company has the right to request additional identification and to check the legitimacy of any submitted documents by the User at any time, as 6.2. The Company has the right to block the User’s account and freeze a User’s funds where there is an official request from law enforcement authorities or where it is determined that the User has violated article 4.1.ii of this Agreement 6.3. The Company has the right to block a User’s transactions in the case it violates articles 4.1.i and 4.1.ii of this Agreement, and to consider transactions at the Trading Server as non-market for objective reasons. 6.4. The Company shall not be responsible for any activity or inactivity by the User because of information on the Company’s website, which is intended solely for illustrative purposes. 6.5. The Company shall not be responsible for declaring the User’s income to 6.6. The Company has the right to change this Agreement at any time, for any reason, and those changes shall come into effect in five business days after posting notification of the changes on the Company’s website or by sending notice via the User’s internal account mail. 6.7. The Company has the right to terminate this Agreement immediately upon the receipt of a written request from the User, with the understanding that the termination does not release the Company or the User from any responsibilities and obligations incurred before the receipt of the request.

Company shall have the right at all reasonable times to examine all trust or escrow accounts or records of Issuing Agent and to check any and all settlement checks, books, records and files of Issuing Agent pertinent to its title and escrow operations. Issuing Agent shall promptly, upon request by Company, authorize the bank or other depository institution where such trust or escrow accounts pertaining to the title and escrow operations are located to allow the Company a right of access to such accounts. b. Company shall determine promptly all questions of risk submitted by the Issuing Agent and to issue a written approval or denial of the risk, if the risk submitted is in writing or if specifically requested by Issuing Agent to issue a written memorandum regarding basis of the denial of incurring such risk. c. The Company shall be liable for all losses, damages, expenses and costs arising out of claims covered by and based upon title insurance forms issued under the terms of this Agreement excepting only those losses, damages, expenses and costs caused by actions or omissions for which Issuing Agent is made responsible herein. d. Company shall have the right to adjust, settle or compromise claims and, in its sole discretion, to commence, defend, compromise or withdraw from actions, suits or prosecutions and in general do all things in connection therewith that it may deem expedient.

Company Rights and Responsibilities. (a) Company shall be deemed the sole author and owner of all materials owned by, licensed to, or developed by Company (or Company’s affiliates) prior to, or independently from this Agreement, including any Company Confidential Information (as defined in Section 6) (collectively, “Company Materials”). Nothing in this Agreement shall be construed to grant Subscriber Group any ownership right in, or license to, Company Materials. All rights, title and interest in and to (i) the Systems (including without limitation all intellectual property rights therein and all modifications, extensions, customizations, scripts or other derivative works of the Systems provided or developed by Company), (ii) any websites through which the Systems are accessed (including images and text therein), and (iii) anything developed or delivered by or on behalf of Company under this Agreement ((i)-(iii) collectively, “System Information”) are owned exclusively by Company or its licensors. All System Information is the property of (or under licensed use by) Company (and/or Company’s licensors) and is subject to intellectual property protections. Except as delineated in this Agreement, Subscriber Group must not use such System Information without the prior written permission of Company. Information related to Subscriber’s use of the System (“Usage Information”), which includes any information that Subscriber receives through the System that is generated or in any way a product of Subscriber Data, belongs to Company. Company may make any use of such Usage Information without obligation to account to, or notify, Subscriber. Company has no obligation to retain or destroy Usage Information following termination of this Agreement and may retain or destroy such Usage Information at its discretion. (b) Company will act as though any electronic communications it receives under a Subscriber User’s password, username, and/or account number as applicable will have been sent by a Subscriber User. Neither Company nor its affiliates is responsible for any electronic communications and/or Subscriber Data which are delayed, lost, altered, intercepted or stored during the transmission of any data whatsoever across networks not owned and/or operated by Company, including, but not limited to, the internet and Subscriber’s local network.
