Compensation for Contract Work. A general description of the scope and nature of Services that may be performed under this Agreement is given in Exhibit D. The State will provide the Contractor with a Work Authorization Request Form, Attachment 1 of Exhibit E, detailing the Services being requested by the State The total actual cost which the State may reimburse the Contractor under any individual Work Authorization, pursuant to this provision, including any travel, transportation, and/or living expenses, shall not exceed the amount specified on the face of the Work Authorization. For Services Requesteed on an Hourly Basis If the State requests Services to be provided on an Hourly Basis, Contractor shall invoice the State monthly for all hours actually worked in the previous calendar month. The State shall compensate the Contractor for the actual cost, at the agreed upon applicable hourly rates. Unless otherwise specified in a Work Authorization, the hourly rates set are inclusive of all costs, any materials needed to perform the Services, and all benefits, expenses, fees, overhead, and profits payable to the Contractor for services rendered to the State. The Contractor shall not charge nor shall the State pay any overtime rate. No additional charges, consulting fees or retainers will apply. Transportation, Meals, and Lodging Expenses Provided that reimbursement for transportation, meals, and lodging expenses is authorized in a Work Authorization, the State shall, subject to the provisions of this Agreement, reimburse the Contractor for actual and reasonable expenses incurred for necessary transportation, meals, lodging, and other travel-related expenses required for the Contractor’s employees who actually performed the Work authorized under the Work Authorization. Such travel expenses shall not exceed the maximum amount set forth in the Work Authorization, and shall be subject to the provisions of the Travel Plan specified in the Work Authorization. For Services Requested On a Fixed Price Basis: If the State requests Services to be provided on a Fixed Price Basis, upon receipt of AOC’s Project Manager’s Acceptance, Contractor shall invoice and the State shall compensate Contractor for the full fixed price specified in the Work Authorization. Compensation for Contract Work. For performing the Work of this Agreement as set forth in Exhibit D, Work to be Preformed, the Judicial Council shall compensate the Contractor upon the acceptance of each Deliverable at the firm fixed prices set froth in Table 1 below, provided the Contractor completes each Deliverable as set forth in Paragraphs 2 and 3, Work Requirements, of Exhibit D, Work to be Preformed, and the Judicial Council accepts each Deliverable as set forth in Exhibit B, Paragraph 7. The Contractor agrees to receive the prices set forth in the Schedule of Prices as full compensation for furnishing all the materials and labor which may be required in the prosecution and completion of the whole of the work to be done under this Contract and in all respects to complete this Contract to the satisfaction of the Owner.

Only Work performed by the personnel referenced on Attachment 1 is billable. Work performed by unauthorized personnel of the Contractor is not billable, including any work performed by Contractor’s area supervisor or Project Manager.
B. If authorized and required to work Judicial Council (State) holidays, hourly rates for work performed will be calculated and paid at a factor of 1.5x (times) the unit hourly rate. Holidays not worked will not be paid. Judicial Council holidays are as follows:

B. Except for the specific travel expenses set forth in paragraph 3, below, the hourly rate set forth in Table 1, above, includes all costs, benefits, expenses, fees, overhead, and profits payable to the Contractor for Services rendered under this Agreement.
C. The Contractor shall not charge nor shall the AOC pay any overtime rate.
D. The Contractor shall not request nor shall the AOC consider any reimbursement for non-production work including but not limited to time spent traveling to and from the job site or any living expenses.

B. The hourly rates and not-to-exceed and firm fixed fee amounts prices set forth in Tables 1 and 2 of this Exhibit shall be fully burdened and inclusive of all costs, benefits, expenses, travel-related costs, fees, overhead, and profits payable to the Contractor for services rendered to the AOC.
C. The Contractor shall not charge nor shall the AOC pay any overtime rate.
D. The Contractor shall not request nor shall the AOC consider any reimbursement for non-production work including but not limited to time spent traveling to and from a job site or any living expenses.
Compensation for Contract Work. A. For performing the Work of this Agreement as set forth in any Work Order, the State shall compensate the Contractor an amount not to exceed the Work Order Amount set forth in such Work Order.
B. Unless otherwise agreed upon by the parties, the rates set forth in Table 1, below, shall be used in a Work Order for one or more of the following purposes:
i. The basis for determining the fixed price(s) for particular Task(s), Milestone(s), or Deliverable(s), which the State shall pay the Contractor upon completion and Acceptance of such Work;
ii. The basis for determining a lump sum amount, which the State shall pay the Contractor upon completion and Acceptance of all the Work of a Work Order; or,
iii. The basis for compensation, which the State shall pay the Contractor for actual costs expended to provide the Work.
