Construction Services Fee. Notwithstanding the stated fee set forth in paragraph 9.1.1 for Construction Services, the portion of the fee to be paid to the Construction Manager for the Construction Phase shall be determined and paid as follows: .1 After execution of the first Amendment to the Agreement establishing and accepting the Guaranteed Maximum Price of the Work, the Construction Manager shall be paid the sum of Dollars ($ ) for the mobilization and front end costs including the premiums to protect the Project; .2 With the addition of the second Amendment incorporating the first Bid Package and subsequent Amendments incorporating subsequent Bid Packages, the portion of the fee to be paid (total fee for all Construction Services less that paid pursuant to paragraph 9.5. 2.1) shall be equivalent to the ratio of the dollar value of each Bid Package to the Guaranteed Maximum Price including the premiums for the Performance and Labor and Materials Payment Bonds with coverage up to the value of the Contract Sum. The portion of the fee payable in accordance with paragraph 9.5.2.1 shall be due and payable with the first Certificate and Application for Contractor’s Payment (State form SC-7s) after commencement of the Construction Phase. The remaining portion(s) of the Construction Manager's fee as determined above shall be included in each Certificate and Application for Contractor’s Payment in proportion to the percent of the Work that is complete. Any balance of the fee shall be paid at the time of final payment.

The Construction Services Fee covers all administrative, supervisory, and management personnel costs, and all direct overhead, and other on-site and off-site costs and expenses to be incurred by the Design-Build Firm, including all pre-construction services and construction administrative and management services and other so- called general conditions, for the performance of this Agreement, as identified in the Pricing Schedule (Exhibit 3). Any so-called general conditions costs associated with the performance of Construction Services shall be limited to those shown on the Pricing Schedule (Exhibit 3), and which costs shall be included only in the General Administrative Fee, and not in the Cost of the Work.

GUARANTEED MAXIMUM PRICE At the conclusion of the Design Development Phase, the Design/Build Entity shall deliver to the Principal Representative, a Guaranteed Maximum Price proposal which shall agree to perform all of the Work even though all of the Construction Documents have not all been finalized and released for construction, and guarantee the maximum price to the Principal Representative for the entire cost of the Work, as adjusted by deductive alternates required to maintain the Guaranteed Maximum Price below the Fixed Limit of Design & Construction Cost which have been previously approved by the Principal Representative pursuant to paragraph 3.1.1. The Guaranteed Maximum Price shall include all of the Design/Build Entity's obligations to be performed pursuant to the terms of the Contract Documents and may include, but not be limited to, the total of the following: The total of all prices already received for all items bid before the establishment of the Guaranteed Maximum Price; The Design/Build Entity’s estimate of the cost of all other Work to be performed but not yet bid, excluding the approved deductive alternates unless said Work can be incorporated into the Contract Documents by application of the contingency per the provisions of paragraphs 3.3.1 through 3.3.5, with the consent of the Design/Build Entity which consent shall not be unreasonably withheld; The installation cost of items to be procured by the Principal Representative and assigned to the Design/Build Entity for installation, as defined in the Contract Documents; The estimated maximum cost of all Work to be performed by the Design/Build Entity...

  • Preconstruction Services During the Design & Preconstruction Phase, the Design-Builder shall provide such design and preconstruction services as are necessary to properly advance the Project. Without limiting the generality of the foregoing, during the Preconstruction Phase, the Design-Builder shall: (i) work with its Architect and any design consultants to advance the design for the Project in consultation with Client Agency, the Department and its Program Manager; (ii) obtain bids from trade subcontractors to perform the work described in the Design Development Documents and provide bid tabulations to the Department; (iii) engage in any value engineering and scoping exercises necessary to return the cost of the work to the Project Budget; (iv) engage in preconstruction activities, including identifying any long-lead items; (v) develop a GMP proposal for the Project; and (vi) enter into a GMP for the Project. Throughout the Design & Preconstruction Phase, the Design-Builder shall schedule and attend regular meetings with the Department, the Program Manager and the Architect. A list of preconstruction deliverables is set forth in Exhibit C.
