Administrative and Management Services. (a) In addition to the performance of investment advisory services and subject to the supervision of each Company’s Board of Directors, the Adviser shall regularly provide, or shall cause an affiliate to provide, such administrative and management services as may from time to time be requested by the Company or Portfolios as necessary for the operation of the Portfolios including, but not limited to:
1. assisting in the supervision of all aspects of the Company’s operation, including the supervision and coordination of all matters relating to the functions of the custodian, transfer agent or other shareholder servicing agents (if any), accountants, attorneys and other parties performing services or operational functions for the Company, including serving as the liaison between such service providers and the Company’s Board of Directors;
2. drafting and negotiating all aspects of agreements and amendments with the custodian, transfer agent or other shareholder servicing agents (if any) for the Company;
3. providing the Company with the services of persons, who may be the Adviser’s officers or employees, competent to serve as officers of the Company and to perform such administrative and clerical functions as are necessary in order to provide effective administration for the Company, including the preparation and maintenance of required reports, books and records of the Company;
4. providing the Company with adequate office space, facilities, equipment, personnel and related services for the effective administration of the affairs of the Company as contemplated in this Agreement;
5. preparation and production of meeting materials for the Company’s Board of Directors, as well as such other materials as the Board of Directors may from time to time reasonably request, including in connection with the Board’s annual review of the Portfolios’ investment management agreement, the subadvisory agreements, and related agreements;
6. coordinating and overseeing the preparation and filing with the U.S. Securities and Exchange Commission (“SEC”) of registration statements, notices, shareholder reports, proxy statements and other material for the Portfolios required to be filed under applicable law;
7. developing and implementing compliance programs for the Portfolios, developing and implementing procedures for monitoring compliance with the Portfolios’ investment objectives, policies and guidelines and with applicable regulatory requirements; and preparing reports to th...
Administrative and Management Services. The Adviser shall manage, supervise and conduct the other affairs and business of the Funds and matters incidental thereto, subject always to the control of the Board, and to the provisions of the organizational documents of the Trust, the Registration Statement of the Trust with respect to each Fund and its shares of beneficial interest (“Shares”), including each Fund’s Prospectus and Statement of Additional Information, and the 1940 Act, in each case as from time to time amended and in effect. The Adviser may engage other parties to assist it with any of the administrative and management services set forth in this Section.
Administrative and Management Services. Provide administrative and management services as required to coordinate the Work of the Subcontractors with each other and the CM/GC, DFCM and the A/E.
Administrative and Management Services. South Bay shall provide for Owner all services with respect to the Property as set forth herein and such additional duties and responsibilities as are reasonable within the general scope of such services and responsibilities. South Bays services shall be performed on behalf of Owner and shall consist of the duties -set forth below. Subject to the provisions of paragraph 4 hereof South Bay is authorized to and shall perform the following:
(a) Negotiate in the name of and on behalf of Owner, and submit to Owner for its approval and execution, (i) an agreement for the acquisition of the Property and (ii) a construction contract with a general contractor to construct and place an ALZ into operation upon the Property.
(b) Negotiate in the name of and on behalf of, Owner an agreement with an Architect acceptable to Owner, to provide all architectural services in connection with the design, planning, and construction of the ALZ upon the Property, which agreement shall also include services to be performed by other professional consultants engaged and supervised by the Architect, to-wit: (1) civil engineering, (2) structural engineering, (3) food service design, (4) mechanical, electrical, and plumbing engineering, (5) geotechnical services, (6) environmental testing, and such other consultants as South Bay and/or the Architect shall deem necessary or required, and Owner shall approve, in connection with the design, planning, and construction of the ALZ on the Property. Owner agrees to pay to Architect, monthly as invoiced by South Bay, for a11 fees and costs charged and approved by Owner for the services to be performed by the Architect and the other consultants engaged by the Architect, which amounts shall not be credited to and applied toward the Fee, as that term is hereinafter defined. Site plans, design drawings, and construction drawings and specifications prepared by or under the supervision of the Architect shall be subject to Owner's written approval. Owner shall look solely to the Architect for the content of the services performed by the Architect and the consultants engaged and/or supervised by the Architect.
(c) Assist Owner in the preparation of a budget for the acquisition and development of the Property for the period from the date of this Agreement to the date of issuance of a certificate of occupancy by the applicable authority of the municipality in which the Property is situated and periodically (not less often than monthly) update the budget....
Administrative and Management Services. Manageco shall provide the services of Mx. Xxxxxx to manage office administration matters (“Administrative Services”).
Administrative and Management Services. The Administrator shall perform (or arrange for the performance by affiliates of) the administrative and management services necessary for the operation of the Company. It is understood that the Administrator or its affiliates may enter into separate agreements with the Company for the provision of administrative and management services necessary for the operation of the Company. The Administrator shall provide the Company with office space, facilities, equipment and necessary personnel and such other services as the Administrator, subject to review by the Board of Managers, shall from time to time determine to be necessary or useful to perform its obligations under this Agreement. The Administrator shall also, on behalf of the Company, conduct relations with custodians, depositories, transfer agents, dividend disbursing agents, other shareholder servicing agents, pricing agents, accountants, attorneys, underwriters, brokers and dealers, corporate fiduciaries, insurers, banks and such other persons in any such other capacity deemed to be necessary or desirable. The Administrator shall make reports to the Board of Managers of its performance of its obligations hereunder and furnish advice and recommendations with respect to such other aspects of the business and affairs of the Company as it shall determine to be desirable.
Administrative and Management Services. First Dental shall provide management and administrative services for the Practice, including but not limited to the following:
(i) secretarial, reception and clerical functions, including coordination of patient visits and scheduling of patients;
(ii) business planning, including the recommendation of capital, operating and cash flow budgets;
(iii) financial management, including selecting independent auditors to audit the financial operations of Dental Group, causing annual audited financial statements to be prepared for Dental Group, and providing to Dental Group the data necessary for Dental Group to prepare and file its tax returns and make any other necessary governmental filings;
(iv) bookkeeping, accounting, and data processing services;
(v) maintenance of dental records;
(vi) materials management, including the purchase and stocking of office and dental supplies and pharmaceuticals, and maintenance of Equipment and Premises;
(vii) administering or causing to be administered any welfare, benefit or insurance plan or arrangement of Dental Group;
(viii) human resources management, including recruitment of all personnel, training and management of all non-clinical staff;
(ix) billing and collection, accounts receivable and accounts payable processing;
(x) utilization and cost management systems;
(xi) evaluating, negotiating and administering, on behalf of Dental Group, agreements with employers, multi-employer welfare trusts, third party administrators and other third parties, including third party payors, managed care entities, institutional health care providers and vendors;
(xii) using best efforts to obtain and maintain malpractice and other agreed upon insurance coverages;
(xiii) advertising, marketing and promotional activities;
(xiv) arranging for necessary legal services except with respect to any legal dispute between Dental Group and First Dental; and
(xv) performing credentialing support services such as application processing and information verification.
Administrative and Management Services. RME shall perform, or will arrange for the performance of, all administrative, marketing, enrollment, financial, accounting, claims processing, payment, and other support services as are necessary or appropriate for the administration of its Health Care Plans and the performance of its obligations pursuant to this Agreement.
Administrative and Management Services. 1. Provide 24 hour monitoring of an emergency telephone line. Urgent reaction to the requirements of incoming calls will be required.
2. Provide an onsite manager (Monday through Friday, 8:30 am to 5:00 pm) for interaction on a regular basis with tenants.
3. Payment of salaries, wages and benefits of Project employees.
4. Preparation of a monthly newsletter of information relevant to the development for distribution to all Project tenants.
5. The Agent will prepare all vacated apartments for show and its onsite manager shall schedule appointments for prospective tenants within seven (7) calendar days after an apartment has been vacated.
6. Preparation of vacant apartments shall consist of thorough cleaning, repainting of all rooms, safety check of mechanical room, appliances, air conditioner, furnace (replacement of filter and cleaning), electrical outlets and smoke detectors.
7. Agent to meet with Owner’s management or its designees as necessary.
8. Provide and maintain certificates of insurance for liability, risk casualty, peril coverage, and worker’s compensation for any and all vendors, suppliers, contractors or employers. The Owner shall be named as an additional insured, at no additional cost to the Owner. Copies of current policies and evidence of Worker’s Compensation Insurance will be forwarded to the Owner prior to the commencement of this Agreement and annually thereafter.
9. Provide Hold Harmless and Waiver of Insurance subrogation certificates from all vendor providers.
10. Coordinate use of common area facilities by outside interests (which may include health maintenance groups, beauty salons, etc) if it is determined by Agent to be feasible.
11. Interact and develop programs providing services for senior adults from community based private and public sector enterprises (social interaction, medical education, etc).
12. Secure from new tenants proper information to ensure adherence to Owner’s applicable eligibility requirements including residency, income and age. Secure tenant/landlord historical information and new credit reports, references and similar information as would be necessary in satisfying the requirements of Owner.
13. Enforce rules and regulations that may from time to time be determined by the Owner.

Administrative and Management Services. In furtherance of TSJ’s obligations under this Agreement, TSJ shall:
(a) Operate and manage all aspects of the Facilities, including, but not limited to, purchasing, payroll, fire prevention, security, routing, repairs, preventative maintenance, janitorial services, promotions, energy conservation, admission procedures, booking systems, and general user services. All outdoor advertising shall be subject to approval by the City and City’s bond counsel. To the extent permitted within the limits of the Adopted Operating Budget, the means and methods of management will effectively accommodate the needs of disabled patrons.
(b) Administer all contracts that are required in the ordinary course of business of operating the Facilities, including, but not limited to, performers, agents, services, events, concessions, catering, novelties/merchandise, advertising, equipment, and licenses. TSJ shall assure compliance with City’s insurance requirements and manage claims as required to minimize risk to City.
(c) Maintain and supervise a staff of trained employees and/or contractors at the Facilities as TSJ determines to be reasonably necessary to perform the services hereunder. The employees of TSJ, or of any subcontractor, will be employees of TSJ or subcontractor and not of City.
(d) Except as otherwise provided in this Agreement, collect all revenues generated through the operation of the Facilities, and make expenditures, all in accordance with SECTION 10. TSJ shall develop short and long- term objectives for the Facilities to enhance financial success of the Facilities and annually report same to City.
(e) Attend and participate in such meetings of City Council and City Committees as are reasonably and timely requested by the Contract Administrator.
(f) TSJ shall not provide management, sales, marketing or any similar services to any other venues or public/private entities, without the City’s written permission.
