Corporate Support. As part of its service, City Year may work with corporate partners to bring additional resources into schools. These partnerships can include (1) providing financial support to City Year and/or the school/District, (2) sharing information about and access to corporate community service and engagement programs, and (3) engaging employee volunteers to supplement the service of AmeriCorps members in schools. Corporate partners will be subject to all District policies. See Appendix F for more details on the support corporate partners provide to City Year.

Corporate Support. (a) Service Provider will provide corporate employee support, including inventory, accounts payable and accounting data transfer, permit, utilities, engineering, environmental, health, and safety support to Service Recipient to support operations of the Asphalt Sites (“Corporate Service”). To the extent Service Recipient hires employees to perform any services covered in this Section 2.03, Service Provider will no longer provide such service. (b) Corporate Service Charge = Corporate Fixed Fee + Corporate Outsourced Service Charges (i) Charges related to Service Provider’s internal costs will be charged at a fixed rate of $166,000 (“Corporate Base Fee”). Upon the termination of any service of this Corporate Service, the fixed rate will be prorated for the portion of the calendar month the service is provided. 1) Corporate Fixed Fee = Sum of (Corporate Base Fee * Applicable Corporate Percentage * Applicable (Month Calendar Days for Service/Month Total Calendar Days)) 2) Each service of the Corporate Service represents a percentage of the Corporate Base Fee (“Corporate Percentage”). For each service of the Corporate Service, the Corporate Percentage is as shown below with sum equaling 100%: a) Inventory Service equals 20%; b) Accounts Payable and Accounting Data Transfer Service equals 22%; c) Permit Service equals 22%; d) Utilities Support equals 11%; e) Engineering Service equals 9%, and; f) Health Safety and Environmental Service equals 16%. (ii) Outsourced Service charges related to Corporate Services (“Corporate Outsourced Service Charges”) incurred by Service Provider in providing Corporate Services to Service Recipient will be charged to Service Recipient.
Corporate Support. As a general principle, a utility, its parent holding company, or a separate affiliate created solely to perform corporate support services may share with its affiliates joint corporate oversight, governance, support systems and personnel. Any shared support shall be priced, reported and conducted in accordance with the Separation and Information Standards set forth herein, as well as other applicable Commission pricing and reporting requirements. As a general principle, such joint utilization shall not allow or provide a means for the transfer of confidential information from the utility to the affiliate, create the opportunity for preferential treatment or unfair competitive advantage, lead to customer confusion, or create significant opportunities for cross-subsidization of affiliates. In the compliance plan, a corporate officer from the utility and holding company shall verify the adequacy of the specific mechanisms and procedures in place to ensure the utility follows the mandates of this paragraph, and to ensure the utility is not utilizing joint corporate support services as a conduit to circumvent these Rules. Examples of services that may be shared include: payroll, taxes, shareholder services, insurance, financial reporting, financial planning and analysis, corporate accounting, corporate security, human resources (compensation, benefits, employment policies), employee records, regulatory affairs, lobbying, legal, and pension management. Examples of services that may not be shared include: employee recruiting, engineering, hedging and financial derivatives and arbitrage services, gas and electric purchasing for resale, purchasing of gas transportation and storage capacity, purchasing of electric transmission, system operations, and marketing.
Corporate Support. Acquiror will use reasonable efforts to provide corporate support to the Company for sales and marketing, and development of proprietary products.

Corporate Support. The tangible assets, properties and rights of every kind that are: (i) used by the Seller’s Corporate, Security, Legal, Intellectual Property, Finance, Marketing, Human Resources and Contracts departments in support of the Business but are also used in Seller’s other businesses unrelated the Business, (ii) are located outside of the partitioned key-coded area of the SCC Real Property dedicated to the Business, and (iii) not identified in the schedules referenced in Sections 2.1(a) through (k) above; provided, however, that to the extent that Information and Records relate to both the Business and Seller’s operations unrelated to the Business, each party shall be entitled to a copy of such Information and Records; and
Corporate Support. Operator’s team of wastewater expertise at the corporate level will provide oversight of the lead operator and the on-site team. While much of this support will be remote, Owner will not hesitate to place someone on-site when manpower shortages require that level of support.
