Dedicated Staff. Operator and/or its affiliates shall establish and maintain a dedicated operational staff to oversee the operations, sales and marketing, revenue management and centralized accounting for the Portfolio Properties (the “Staff”). The Staff will initially consist of personnel filing the positions and numbers thereof set forth on Schedule C which shall also summarize the approximate costs of such personnel, as modified by that certain letter agreement dated July 1, 2005. From and after January 1, 2006, Operator may make decreases in the Overhead (as such term is defined below) proportionately with changes in Total Revenues from the Portfolio Properties; provided, however, Owner shall have approval rights over the change in identity of any person filling the Staff positions which approval shall not be unreasonably withheld or delayed. The Staff shall be based in Southern California in the offices maintained by Owner unless otherwise agreed to by Owner, and Operator shall bear the portion of the expenses (rent, CAM charges, utilities, IT maintenances costs and such other matters set forth on Schedule C) that are expressly set forth on Schedule C as allocable to Operator (the portion of the expenses expressly set forth on Schedule C as allocable to Operator and the salaries, benefits and related employment expenses of the Staff are referred to herein as the “Overhead”). Commencing January 1, 2007, Operator shall have the right to reduce the Overhead that existed as of December 31, 2006 by an aggregate amount of up to ten percent (10%) as a result of achieving synergies with the hotel operations of other hotels managed by Operator Affiliates which reduction shall be exclusive of, and in addition to, any reductions in Overhead as a result of proportionate decreases in Total Revenues from the Portfolio Properties as described above. Operator shall have the sole discretion and control in making increases in the Staff and Overhead. Operator shall have the sole discretion and control in the supervision of the Staff, including, but not limited to, the recruitment, dismissal and determination of wages, benefit and severance policies. Dedicated Staff. Subject to the terms of this ss.7, Genco shall appoint and manage the Dedicated Staff.
Dedicated Staff. (a) From and after the date hereof, United shall make available the personnel identified in EXHIBIT 3.1.3
(a) hereto to manage as appropriate the Services and the SHIP, and shall undertake commercially reasonable efforts to ensure that such persons remain available to manage as appropriate the Services and the SHIP until at least June 30, 1998.
(b) As required by Section 10.2(a)(i) of the Prudential Agreement, United shall offer to employ all of the persons who are serving in positions principally related to the Services to be provided by United hereunder and (i) who are actively employed by Prudential immediately prior to the Commencement Date, with such employment to commence no later than the Commencement Date, (ii) who are on an approved leave of absence from the SHIP-related activities of Prudential's AARP Operations on the Commencement Date and who are prepared to return to work within 12 weeks after the date of the commencement of the leave of absence, with such employment to commence promptly following any such person's return from such a leave of absence, or (iii) who United is required to offer to employ under Applicable Law, with such employment to commence when and as required by Applicable Law. United shall not be required to offer employment to any employee or former employee of
Dedicated Staff. During the term of each SOW, Company shall designate and make available to AppDirect, as reasonably necessary, (i) an appropriately qualified technical lead employed by Company, and (ii) an appropriately qualified program manager; each of which shall be the contact persons at Company under this PSA and the relevant SOW, in charge of all tasks and responsibilities that are typically the responsibility of persons occupying such positions.
Dedicated Staff. The Construction Manager specifically agrees to assign to the Project for its entire duration, the specific individuals identified in the Staffing Plan (Exhibit B) as the Project Executive and the Key CM Personnel. These individuals were identified by the Construction Manager in its Proposal for the Agreement. Failure by the Construction Manager to provide any of the individuals identified in the Staffing Plan as Project Executive and/or Key CM Personnel shall be considered a material breach of the Agreement and grounds for termination for cause. Replacement of such Project Executive and/or Key CM Personnel will only be permitted in the following circumstances: (1) if the designated individual is no longer employed by the Construction Manager, or (2) if CUCF does not direct the Construction Manager to commence work on the Project within six (6) months of the date on which the Construction Manager executes the Agreement. Replacement of such Project Executive and/or Key CM Personnel must comply with the conditions set forth below.
Dedicated Staff. The MCO agrees to maintain staff dedicated exclusively to serving the STAR Kids Program in the following areas (with the exception listed in (1)(B)):
(1) Regional staff:
(A) Service Coordinators; (B)Transition Specialists, who may be shared with STAR Health personnel serving MDCP Members; and

(a) Fidelity may designate certain Vendor Personnel as dedicated staff for a particular Work Order to which the Parties shall mutually agree ("Dedicated Staff"), who, for purpose of this definition shall not include the Dedicated Staff who are addressed separately in Section 5.2 hereof. All Dedicated Staff shall have sufficient knowledge and authority within Vendor's organization to assure that Vendor shall be responsive to Fidelity's reasonable requests. The names and qualifications of each of the Dedicated Staff for an applicable Work Order shall be set forth in such Work Order.
(b) Vendor shall not reassign or replace, or permit the reassignment or replacement of, any Dedicated Staff unless (i) Vendor has received the prior written consent of Fidelity for such reassignment or replacement or (ii) the member of the Dedicated Staff ceases performance of the Services due to (A) voluntary resignation from employment with Vendor or any Subcontractor, as the case may be, (B) dismissal from employment with Vendor or any Subcontractor, as the case may be, for misconduct (e.g., fraud, drug abuse, theft), (C) removal of such Dedicated Staff member following a material failure to perform obligations pursuant to this Agreement or (D) death or disability of such Dedicated Staff member. In the event of any voluntary resignation of any Dedicated Staff from employment with Vendor, Vendor shall use commercially reasonable efforts to retain such employee.
(c) Before assigning an individual to a Dedicated Staff position, whether as an initial assignment or as a replacement, Vendor shall provide Fidelity with any information regarding the individual (including a resume) that may be reasonably requested by Fidelity, and shall provide Fidelity with the ability to meet and interview such Dedicated Staff member at Fidelity's expense. Vendor shall only assign to a Dedicated Staff position an individual who is pre-approved by Fidelity in writing.
(d) Vendor shall not assign any Dedicated Staff member to non-Fidelity projects during the term of the particular Work Order. After the expiration of that particular Work Order, Fidelity shall have the right to require Vendor to assign any and all members of the Dedicated Staff to other Fidelity projects or [****] projects so as to not lose the knowledge capital. If Fidelity desires to not assign one or more members of the Dedicated Staff to other Fidelity projects or [****] projects, then Vendor may assign that person(s) to non-Fidelity...
Dedicated Staff. In exchange for Customer’s sole supply obligations under Section 1, Ecolab will provide, at no additional cost to Customer, one dedicated representative by geographic region (as those regions are defined by Ecolab), dedicated to service Customer’s service centers located in that region provided the service centers in that region purchase, in the aggregate, at least $___ in Products annually, and there are at least ___ service days per month based on poundage as shown on Exhibit B. Exhibit B will also show the regions for which Ecolab will have a representative dedicated to Customer. The dedicated representative will provide basic on-site service and technical support, maintenance and operations training, routine monitoring and calibration, and start-up support. In addition, Ecolab will provide a dedicated facilitator to oversee the dedicated representatives and conduct quarterly and annual reviews to help ensure maximum service and productivity and quality. Any personnel assignments or changes will be discussed with Customer prior to making changes. Coverages in Exhibit B will be re-evaluated any time there is significant change in volume or Customer adds or closes facilities.
Dedicated Staff. Dedicate one (1) or more NCIA staff members to the AAP to work with the Allied Associations to ensure the AAP’s success and provide advisory support.
