Duties and Qualifications. The Superintendent represents that they possess, hold and wm maintain all certificates, credentials and quallficatlons required by law, including the provisions of Sections 1246 and 1536 of the Revised School Code, the regulations of the Michigan Department of Education, and those required . by the Board of Education to serve In the position assigned. The Superintendent agrees, as a condition of continued employment, to meet all certification and continuing education requirements for the position assigned, as are and may be required by law or by the MichJgan Board of Education. If at any time the Superintendent falls to maintain all certificates, aedentials, continuing education requirements and/or quallficatfons for the position assigned as required herein, this Contract shall automatically terminate and the Board shall have no further obligation hereunder. The Superintendent agrees to devote all talents, skills, efforts and abilities toward competently and proficiently fulfilling all duties and responslblllties of the position assigned. The Superintendent agrees to falthfully perform those duties assigned by the Board of Education and to comply with the directives of the Board of Education with respect thereto. The Superintendent further agrees to comply with and fulfill all responslbilitles and tasks required by state and federal law and regulatlons, and by the Board of Education, to carry out the educational programs and policies of the School District during the entire term of this Contract. The Superintendent agrees to devote substantially all of business time, attention and services to the diligent, faithful and competent discharge of duties on behalf of the School District to enhance the operation of the School District and agrees to use best efforts to maintain and improve the quality of the programs and services of the School District. Duties and Qualifications. Administrator shall perform the duties of Superintendent as prescribed by the Board and as may be established, modified and/or amended from time to time by the Board. Administrator acknowledges the ultimate authority of the Board with respect to his/her responsibilities and directions related thereto. Administrator represents that he/she possesses, holds and will maintain all certificates, credentials and qualifications required by law, including the provisions of Sections 1246 and 1536 of the Revised School Code, the regulations of the Michigan Department of Education, and those required by the Board to serve in the position assigned. Administrator agrees, as a condition of his/her continued employment, to meet all certification and continuing education requirements for the position assigned, as are and may be required by law and/or by the State Board of Education. If at any time Administrator fails to maintain all certificates, credentials, continuing education requirements and/or qualifications for the position assigned as required herein, the Board may require compliance within sixty (60) days or a mutually agreed upon means of compliance.
Duties and Qualifications. The Superintendent represents and agrees that he currently meets and shall in the future meet all legal requirements of the State of Michigan whether by statute, rule or regulation and the qualifications established by the Board of Education for the position of Superintendent of Schools. The Superintendent agrees he will maintain all credentials and qualifications required by law and regulations ofthe State Board of Education. If at any time the Superintendent fails to maintain any necessary certificates, credentials, continuing education requirements or qualifications for his position, this contract shall, after the Superintendent has been afforded a reasonable opportunity to cure the deficiency, automatically terminate and the Board of Education shall have no further obligations hereunder. The Superintendent agrees to perform the duties of Superintendent of Schools in a competent and professional manner and in compliance with the laws of the State of Michigan, the by-laws, policies, directives and regulations adopted by the Board of Education and the rules and regulations of the State Department of Education and any other state administrative agency which has jurisdiction over the position. The Superintendent will be subject to the direction and control of the Board of Education, shall perform the duties defined by law and such other duties as shall be delegated to him by the Board, and shall comply with all Board policies. The Superintendent's duties shall include selection of the administrative staff, insuring that all administrative and professional staff have the required certifications and, in general, being the educational leader of the District.
Duties and Qualifications. Physician Stockholder shall provide medical services to patients at the Group Practice's office or offices located at as listed on SCHEDULE A, or such other locations in the county or counties listed on SCHEDULE A (the "COUNTY") or surrounding area as requested by Group Practice and agreed to by Physician Stockholder, in accordance with the laws of the state listed on SCHEDULE A (the "State") and the principles of medical ethics of the American Podiatric Medical Association. During the Term of Engagement, Physician Stockholder will practice medicine only as a participant in the Group Practice, will practice medicine on a full-time basis and will perform such other duties as are reasonably assigned to and accepted by Physician Stockholder from time to time by the Group Practice. Such duties shall include, without limitation:
a. Physician Stockholder is, and will continue to be, duly licensed to practice medicine in the State, is Board certified in podiatric medicine or if not currently certified then will obtain such certification within two (2) years of the Effective Date, agrees to participate and does participate in a continuing medical education program, and agrees to obtain and maintain an American Podiatric Medical Association C.M.E. certificate or its equivalent.
b. Physician Stockholder shall devote Physician Stockholder's full professional time, attention, and energies to rendering professional services at the Premises and at such other places in the County and its surrounding areas as may be designated from time to time by Group Practice and consented to by Physician Stockholder and to performing administrative duties related to such professional practice;
c. Physician Stockholder shall provide "on duty" and "on call" services on an equal rotating basis with other physician members of Group Practice, and shall provide "on call" services at those hospitals and other facilities that are designated from time to time in Group Practice's business plan and as agreed to by Physician Stockholder;
d. Physician Stockholder agrees to keep and maintain (or cause to be kept and maintained) on a timely basis appropriate records relating to all professional services rendered by Physician Stockholder hereunder and to attend to all billing reports, claims, and correspondence required in connection with Physician Stockholder's services rendered under this Agreement;

The Superintendent and Board agree that the duties and responsibilities of the Superintendent are attached and are a part ofthis contract. The Superintendent agrees to perfor:Qt the duties and responsibilities of Superintendent of Schools in compliance with the laws of the State of Michigan, the by-1aws,policies and regulations adopted by the Board of Education and the rules and regulations of the State Department of Education and any other state administrative agency which hasjurisdiction over the position.
Duties and Qualifications. The District Presbytery must first approve a minister being considered as a church pastor who has not been with his body for two (2) years. Since we require all pastors to be a member of the church they are pastoring, upon assuming his duties he automatically becomes a member along with his/her spouse, unless the spouse requested otherwise. Since a minister automatically becomes a member of the church he/she is pastor, he/she shall also automatically become a member of the district in which the church is located. All pertinent information shall be transferred to the district in which he/she is pastoring. Any minister being considered for the position of Associate Pastor must be licensed by the Congregational Holiness Church. If he/she does not hold license, he/she must first be approved by the District Presbytery before he/she can be elected by the local church. Our pastors should make known clearly the rules and/or Condition of Membership to all who desire to unite. No pastor may resign his/her church without giving the Presbytery and the Church 30 days notice in writing. Notice must be received by officials within five (5) working days. A church shall give the pastor and District Presbytery the same consideration. If a church chooses to not require the pastor to serve a 30-day notice, they are still responsible to pay his/her salary for the 30 days. To be eligible to pastor, one must be in compliance with the financial system of the church. No licensed personnel of the Congregational Holiness Church shall be allowed to serve or pastor churches outside the movement without the consent of his district Presbytery. Then he must pay his ministerial tithes to the district where he is a member. No one shall serve in any district or general position while pastoring outside the denomination. There shall be no projects, programs, preachers or speakers in the local church without the approval of the pastor of the local church. All licensed persons shall be required to attend all camp meeting services possible. All Licensed or Ordained Ministers who are not actively involved in the role of Pastor, Associate Pastor, Local CE Director, Minister of Music or other active member of a church staff, must be an actively involved member of a local CHC. Duties and Qualifications. Employee shall provide medical services to patients, on behalf of Practice through Employer, at Practice's facilities located in Texas, or such other locations as requested by Employer (hereinafter collectively referred to as the "Facilities"), in accordance with the laws of the State of Texas and the principles of medical ethics of the American Medical Association. During the Term of this Agreement, Employee's economic contribution to Employer resulting from his provision of medical services to patients shall remain substantially the same as Employee's historical economic contribution during the immediate past three (3) years. To the best of his ability, Employee shall continuously provide services in a manner calculated to produce the maximum volume of revenue which is consistent with the professional obligation of Employee and in the best interest of the patients. Employee shall: (i) devote his entire professional and business time, attention and energies exclusively to the practice of Employer; and, (ii) faithfully and competently perform his duties hereunder using his full professional skill and knowledge; and, (iii) not engage in any other professional or business activity; provided, however, that Employee shall be permitted to invest his personal assets and manage his personal investment portfolio in such a form and manner as will not require any professional or business services on his part to any third party.
