Duties of the Association. The Association shall take action to ------------------------- approve or disapprove the budgets proposed by Company not later than twenty-one (21) days after submission of the budgets to the Association. Notice of the action by the Association with regard to the budgets shall be delivered to Company if all aspects of the budgets as proposed by Company are not approved by the Association. If such notice of disapproval is not delivered to Company within fourteen (14) days prior to the commencement of the Association's fiscal year, the budgets shall be deemed to be approved by the Association as proposed by Company.

To establish, make, levy, impose, enforce and collect all Assessments for which provision is made in the Governing Documents or which shall otherwise be necessary to provide and assure the availability of such funds as may be reasonably necessary to pay all Common Expenses or otherwise conduct the business and affairs of the Association. C. To maintain and operate all Common Area, subject to the maintenance obligations of the Owners set forth herein, and all public rights of way (to the extent permitted by any governmental authority) which are located within or in a reasonable proximity to the Property, the deterioration of which would adversely affect the appearance or the operation of the Common Area. The Association may adopt standards of maintenance and operation which are consistent with the Community-Wide Standard. In all events, however, the Common Area shall be maintained and operated in compliance with any and all governmental permits, rules, regulations or requirements. D. To maintain, repair or replace any of the Property, or any improvements, structures, facilities or systems located thereon, as and to the extent provided in this Declaration and with respect to which the Association has been granted an easement for said maintenance. E. To take any and all actions necessary to enforce all covenants, conditions and restrictions affecting the Property and to perform any of the functions or services delegated to the Association in the Governing Documents. F. To conduct the business of the Association, including but not limited to administrative services such as legal, accounting and financial, and communication services informing Members of activities, notice of meetings, and other important events. The Association shall have the right to enter into management agreements, including with companies affiliated with Declarant, in order to provide its services, and perform its functions. G. To establish and operate the ARC at such time that the Association is delegated such purpose and authority by the Declarant. H. Duties of the Association. The Association shall, in addition to such obligations, duties and functions as are assigned to it by other provisions of this Declaration, have the obligations, duties and functions (subject to the provisions of this Declaration), to do and perform each and every one of the following for the benefit of the owners and for the maintenance, administration and improvement of the properties: 1. Additional Lands: Accept as part of the property all real estate annexed or added pursuant to this Declaration, and accept all owners thereof as members of the Association, subject to the membership requirements set forth herein and in the By-Laws. Accept all additional new platted sections on the same terms as the sections specifically referred to in paragraph one hereinabove. 2. Enforcement: Take such action, whether or not expressly authorized herein or in any other governing instrument, as may reasonably be necessary to enforce the provisions of the Declaration, and the other THE VINEYARDS documents. 3. Operation and Maintenance of Common Area: To operate, maintain, and otherwise manage or provide for the operation, maintenance and management of the common area, together with all easements for operation and maintenance purposes, and for the benefit of the Association or its members over and within the common area and to keep all improvements of whatever kind and for whatever purpose from time to time located thereon in good order, condition and repair, and to maintain any parking areas free and clear of obstructions and unsafe conditions for vehicular use at all times. 4. Water and Other Utilities: To acquire, provide and/or pay for water, sewer, garbage disposal, electrical, telephone, gas, and other necessary utility services for the common area.
Duties of the Association. In order to assure efficient management transition and facilitate effective operation, the Association shall to the extent possible: A. Furnish the Agent with a complete set of Condominium Documents, including: Master Deed, Condominium Bylaws, Articles of Incorporation, Association Bylaws and Rules and Regulations, if any, and all recorded Amendments. B. Provide legal survey, building plans, and specifications for the Community, if available. C. Provide Agent with Association Rules and Regulations, if available. D. Inform the Agent of standards to be maintained with respect to the Community. E. Provide the Agent with a set of books and financial reports for the Community. F. Provide past and future copies of Minutes from Board of Directors’ Meetings for audit purposes. G. Assure direct, consistent and effective communication between the Board of Directors and Agent. H. Provide copies of guarantees and warranties for the construction of the Community, if available. I. Provide Agent with other pertinent information and available records that may be useful in discharging the duties of Agent and/or carrying out the directions of the Board of Directors.
Duties of the Association. The Association agrees: 1. To retain the Managing Agent to perform the management services set forth herein for the term of this Agreement. 2. To furnish the Managing Agent with: a. a complete list of Owners, lessees, and other users, to include addresses, primary contacts, telephone numbers, and other information reasonably necessary for communication and billing purposes, supplemented and updated as Units are sold or leased; b. a set of the building plans and specifications used for construction of the Condominium; c. a current copy of the Declaration, Articles, Bylaws, and rules and regulations and any amendments thereto; and d. a complete set of all financial, maintenance, service contracts, and all other records pertaining to the Managing Agent’s management of the Condominium. 3. To pay to the Managing Agent the Management Fee as approved by the Board in connection with adoption of the annual budget of the Association and agreed to by the Managing Agent on the first day of each month in advance, as a fee for management and other services rendered hereunder, except as hereinafter otherwise specifically provided. The Management Fee covers normal and usual administrative expenses of the Managing Agent as specified under B below ("Basic Services of the Managing Agent"). The Association shall pay unusual expenses of the Managing Agent including Capital Improvements or other services required the Board, as specified under C below ("Additional Services of the Managing Agent"). 4. To provide the Managing Agent with evidence of authority by way of certified resolutions or otherwise and such specific directions as the Managing Agent may reasonably require to take actions in the management of the Bremerton Government Center. 5. To hold the Managing Agent harmless and free from all liability in the event of bankruptcy, receivership, insolvency, or failure of a depository for the Association's funds, provided the depository is insured by a Federal agency to the full extent of the deposited funds or otherwise specifically designated by the Board. 6. To defend, indemnify, and hold the Managing Agent harmless from all liability whatsoever arising in connection with its management of the Condominium, except in cases of the Managing Agent’s negligence or willful misconduct, and to carry, at its own expense, necessary public liability insurance adequate to protect the Managing Agent to the same extent it protects the Association, and on request provide the Managing Agen...
