Invoicing, Pricing and Payment a) The subscriber shall be invoiced monthly by the service provider. b) Services will be invoiced one month in advance of the service being provided, calls will be invoiced in arrears. c) The price of the Service will be set out in the service provider’s price list. d) The Service Provider may increase the monthly service charge each fiscal year based on the previous December rate of Inflation Measure RPI Published by Office of National Statistics. e) The Service Provider has the right to amend the service charges from time to time, by giving no less than 30 days notice. In particular, the Service Provider may at any time amend the charges where its own suppliers have increased their charges. Any change will be published on the online billing platform at xxx.xxxxxxxxx.xx.xx/xxxxxxx or notified in writing by email or letter. f) The Service Provider has the right to amend any and all call rates in the price list including minimum call charge or call connection charge from time to time, by giving no less than 30 days notice. Invoicing, Pricing and Payment. If Buyer requests an invoice from Seller or if this contract requires Seller to invoice Buyer for the goods or services covered by this contract, promptly after each shipment of goods or performance of services, Seller will issue a single invoice for such shipment or agreed performance milestone to Buyer at the address, including email address if applicable, specified in this contract. Each invoice must comply with applicable law, if any, and include the following information regarding the corresponding shipment of goods or performance of services: (a) amount due (in the currency specified in this contract); (b) location of delivery or performance; (c) shipment or delivery information; (d) contract number; (e) if applicable, any relevant purchase order numbers of Buyer or Seller; (f) if applicable, the intra-EU VAT number; (g) for goods, net weight of the goods using the unit of measure specified in the order, and (h) if applicable, import information. Buyer may reject any invoice that is inaccurate or does not conform to these requirements, and Seller will promptly reissue any such rejected invoice. Xxxxx’s failure to reject an invoice does not constitute Xxxxx’s acceptance of the invoice or the goods or services to which such invoice pertains. The payment date shall be conditional on Buyer's approval. The payment date shall be as specified on the purchase order and if not so stated then shall be made 60 days from the end of the month following the month of receipt by Buyer of an invoice. Payments may be made electronically (including, without limitation, by bank transfer or, if agreed in writing by Xxxxx, recorded bill of exchange, where applicable). Where Buyer has reasonable grounds to believe goods provided by Seller under this contract may be subject to any liens, claims or encumbrances, Buyer may withhold payment pending receipt of evidence, in such form and detail as Buyer may direct, that such goods are free of any liens, claims and encumbrances. Seller shall assure that the goods remain competitive in terms of price, technology, design and quality with similar goods available to Buyer. If, in the reasonable opinion of Buyer, the goods do not remain competitive, Buyer, to the extent it is free to do so, will advise Seller in writing of the area(s) in which another product is more competitive with respect to price, technology, design or quality. Exhibitor is (automatically) in default after the expiry of any payment period, without any demand, notice of default or judicial intervention being necessary. If Exhibitor is in default, EAGE may cancel booth/space and assign it to another exhibitor without any rebate or allowance to the defaulting Exhibitor, without prejudice to EAGE’s rights to demand immediate payment of the entire outstanding amount, and without prejudice to EAGE’s other rights in such situation. In case of default, Exhibitor is liable for the payment of EAGE’s actual collection costs (including all legal fees and court fees) and not entitled to a refund of any amounts already paid. 7.7. EAGE is entitled to set off payments made by an Exhibitor first of all against any outstanding debts of Exhibitor to EAGE and/or its affiliated companies.

  • Pricing and Payments 5.1 In exchange for the Deliverables, the Supplier must invoice the Buyer for the charges in the Order Form. 5.2 All Charges: 5.2.1 exclude VAT, which is payable on provision of a valid VAT invoice; and 5.2.2 include all costs and expenses connected with the supply of Deliverables. 5.3 The Buyer must pay the Supplier the charges within 30 days of receipt by the Buyer of a valid, undisputed invoice, in cleared funds to the Supplier's account stated in the invoice or in the Order Form. 5.4 A Supplier invoice is only valid if it: 5.4.1 includes all appropriate references including the Purchase Order Number and other details reasonably requested by the Buyer; and 5.4.2 includes a detailed breakdown of Deliverables which have been delivered. 5.5 If there is a dispute between the Parties as to the amount invoiced, the Buyer shall pay the undisputed amount. The Supplier shall not suspend the provision of the Deliverables unless the Supplier is entitled to terminate the Contract for a failure to pay undisputed sums in accordance with clause 11.6. Any disputed amounts shall be resolved through the dispute resolution procedure detailed in clause 36. 5.6 The Buyer may retain or set-off payment of any amount owed to it by the Supplier under this Contract or any other agreement between the Supplier and the Buyer if notice and reasons are provided. 5.7 The Supplier must ensure that all Subcontractors are paid, in full, within 30 days of receipt of a valid, undisputed invoice. If this doesn't happen, the Buyer can publish the details of the late payment or non-payment.

  • Pricing and Payment Terms Customer Payment terms shall be as set forth in the Master Agreement.

  • Calculation and Payment Interest on LIBOR Loans and all other Obligations and the amount of any fees set forth in Subsection 1.4 shall be calculated on the basis of a three hundred sixty (360) day year for the actual number of days elapsed. Interest on the Base Rate Loans shall be calculated on the basis of a three hundred sixty-five or -six (365-6) day year for the actual number of days elapsed. The date of funding or conversion to a Base Rate Loan and the first day of an Interest Period with respect to a LIBOR Loan shall be included in the calculation of interest. The date of payment of any Loan and the last day of an Interest Period with respect to a LIBOR Loan shall be excluded from the calculation of interest; provided, if a Loan is repaid on the same day that it is made, one (1) day’s interest shall be charged. Interest accruing on the Base Rate Loan is payable in arrears on each of the following dates or events: (i) the last day of each calendar quarter; (ii) the prepayment of such Loan (or portion thereof); and (iii) the applicable Maturity Date or the Revolving Loan Expiration Date, as the case may be, whether by acceleration or otherwise. Interest accruing on each LIBOR Loan is payable in arrears on each of the following dates or events: (i) the last day of each applicable Interest Period; (ii) if the Interest Period is longer than three (3) months, on each three-month anniversary of the commencement date of such Interest Period; (iii) the prepayment of such Loan (or portion thereof); and (iv) the applicable Maturity Date or the Revolving Loan Expiration Date, as the case may be, whether by acceleration or otherwise.

  • Invoices and Payment 16.1 Transnet shall pay the Supplier/Service Provider the amounts stipulated in each Purchase Order/Work Order, subject to the terms and conditions of this Agreement. 16.2 Transnet shall pay such amounts to the Supplier/Service Provider upon receipt of a valid and undisputed Tax Invoice together with the supporting documentation, as specified in the Schedule of Requirements appended hereto, once the valid and undisputed Tax Invoices or such portions of the Tax Invoices which are valid and undisputed become due and payable to the Supplier/Service Provider for the delivery of the Goods/Services ordered, in terms of clause 16.5 below. 16.3 Transnet may, pending an investigation, withhold any payments to the Supplier/Service Provider, in the case where irregular expenditure has been identified in the particular contract and that there is reasonable suspicion that the Supplier/Service Provider is involved or was aware that the contract transgressed any legislation. 16.4 All Prices set out in this Agreement and the Schedule of Requirements hereto are to be indicated inclusive and exclusive of VAT, which will be payable at the applicable rate in ZAR. 16.5 Unless otherwise provided for in the Schedule of Requirements appended to this Agreement, Tax Invoices shall be submitted together with a month-end statement. Payment against such month-end statement shall be made by Transnet within 30 [thirty] calendar days after date of receipt by Transnet of the Supplier’s/Service Provider’s statement together with the relevant valid and undisputed Tax Invoice(s) and supporting documentation. 16.6 Where the payment of any Tax Invoice, or any part of a Tax Invoice which is not in dispute, is not made in accordance with this clause, the Supplier/Service Provider shall be entitled to charge interest on the outstanding amount, at The Standard Bank of South Africa’s prime rate of interest in force, for the period from the due date of payment until the outstanding amount is paid. 16.7 The Supplier/Service Provider shall remain the owner of all plant, material, machinery, equipment and the like [collectively, the Supplier’s Goods] provided to Transnet until Transnet has paid in full for the Supplier’s Goods, it being specifically agreed that Transnet shall acquire no rights [including liens] of whatsoever nature in such Supplier’s Goods until date of final payment by Transnet. Subject to the aforegoing, all risk and benefit to the Supplier’s Goods shall pass from the Supplier to Transnet on delivery of the Supplier’s Goods by the Supplier to Transnet.

  • Funding and Payment A. Tuition and fee payments in the amounts set forth in Section 6 are due from students at registration. A payment plan is available upon request. Payment is required by the stated due date; all tuition and fees must be collected and remitted to the College prior to the beginning of classes. Failure to pay by the due date will result in the student being dropped from classes. B. Financial Aid is not available to dual credit students. The Higher Education Technical Amendments of 1987 (P.L. 100-50) states, “A student who is enrolled in an elementary or secondary school is not eligible for Title IV assistance for any courses taken at the post- secondary level for the same period” [Compilation of Federal Regulations (CFR) 668.7(a)(2)]. C. The state funding for dual credit courses will be available to both the District and the College based on the current funding rules of TEA and the THECB. The College may only claim funding for students receiving college credit in core curriculum, career and technical education, foreign language dual credit courses, and classes in a Field of Study or Program of Study. D. If a student requests to take a class more than twice, he or she will be responsible for the tuition for that course and $ 50.00 per semester hour for the course. Technical courses are exempt from this fee. (see Xxxxx College Catalog – College Expenses) E. The College is not responsible for the transportation of dual credit students.
