Network Membership. Customer may participate in a variety of Network(s) offered by Vendor. In the event, for any reason, Customer participates in a Network which Customer has not indicated below. Customer agrees that all of Customer’s obligations in the Agreement and this Addendum shall apply with respect to such Network as if Customer had indicated such Network effective the date Customer begins participating in such Network. Customer, on behalf of itself and its Customer Agents as defined hereinafter, agrees to abide by and fully comply with the Network Documentation, including but not be limited to compliance with Payment Card Industry (“PCI”) Standards, VISA’s Cardholder Information Security Program (“CISP”), and MasterCard’s Site Data Protection program (“SDP”) as may be in effect from time to time, and to perform and fulfill any and all obligations and responsibilities related thereto, including, if requested by the Network, execution of additional documentation or agreements, and that such compliance shall be solely Customer’s obligation and at Customer’s expense. Customer, or its agents or nominees (but not Vendor), will provide all necessary Network, federal, state and/or local regulatory sponsorship, membership or other applicable approvals in order to receive the Services, unless otherwise specifically agreed to in writing in the form of an Amendment to the Agreement or in another written contract signed by an authorized officer of Vendor. Customer acknowledges and agrees that Vendor shall only be obligated to provide access to the Networks actually supported by Vendor and for only so long as such Networks are supported by Vendor.
Network Membership. Sponsored Member is hereby granted the right to be ------------------ a participant in the Network with respect to Cards issued by Issuing Bank. Such right shall permit Cardholders to Load their Cards at any Merchant Site. Sponsored Member acknowledges that it shall receive no compensation from Network Operator in respect of Loads. Sponsored Member agrees to pay the fees described in Exhibit A hereto in consideration of Network Operator's grant of membership --------- to Sponsored Member."
Network Membership. Company reserves the right to refuse service to any new or existing Publisher for any reason, in its sole discretion. Approval of membership in the AppClients Network is limited to the Website(s) for which Publisher has applied for approval by Company. Company reserves the right, in its sole discretion and without liability, to reject, omit or exclude any Publisher or Website for any reason at any time with or without notice to Publisher and regardless of whether such Publisher or Website was previously accepted. Without limiting the foregoing, Company reserves the right to require a potential or existing Publisher to submit detailed descriptions or explanations of the Publisher's Website(s) or application(s) functionality and back-end technology. Refusal to participate or answers deemed unsatisfactory constitute grounds for non-acceptance or termination from the AppClients Network. This Agreement is voidable by Company immediately if Publisher fails to disclose, conceals or misrepresents itself in any way. If approved by Company, Publisher may have more than one account; however, each account shall be obligated and bound by these same terms and conditions. In any event, Company reserves the right to reject or approve additional accounts or Websites, and is under no obligation to accept any account or Website, even if the additional account or Website is the property of an already approved Publisher. All activity for a given account may be consolidated into one report.
Network Membership. It is the intention of both Parties that ’s progress in developing and implementing the Program will enable to meet the criteria for Network membership as set forth in Schedule A (hereinafter a “Member”). When the Parties mutually agree that membership in the Network is a viable option, will apply for membership to the Network. If such application is approved by Teach For All (which approval shall not be unreasonably withheld), will be considered a Member with all of the rights and responsibilities of a Member as set forth in Schedule A.
Network Membership. Network members are typically public health/ health care professionals working in obesity, but the network also includes research academics, industry representatives and members of local government. The membership of the EoE network is maintained via a mailing list, and the membership took a significant fall following the restructuring of the NHS and Public Health (a large number of people changed their job and/or email address). However, we continue to have a strong core membership, the wider list is rebuilding, and the broad and varied meetings means membership grows with each meeting. Members are influential in determining the theme of meetings and suggesting content, and the coordinator has maintained an inclusive ethos enabling members to present at meetings.
Network Membership. Subject to the terms and conditions of this Agreement, BofA will use commercially reasonable efforts to obtain and maintain the categories of membership or licenses in the Networks required to provide Sponsorship Services pursuant to this Agreement and shall use reasonable efforts to notify Company as soon as practicable if it is no longer able to maintain such memberships or licenses.
Network Membership. Bank shall obtain and maintain membership in one or more Networks, maintain its BIN, and timely pay all normal fees, dues, and assessments associated therewith, except those arising in connection with the Depositor Program, or incurred as a direct result of Bank’s sponsorship of Higher One; provided, however, Bank shall not be responsible for the payment of any fees, fines, or charges assessed by a Network as a result of the perceived failure of any aspect of a Depositor Program to comply with the Network Rules, payment of which fees, fines, and charges being the obligation of Higher One under this Agreement. Bank shall also reasonably assist Higher One in securing such Network registration as a marketing or service provider, and such approvals as may be required for Higher One to discharge its obligations under this ____________________________________ ***Note: Confidential treatment has been requested with respect to the information contained within the [***] marking. Agreement and shall be solely responsible for all costs related to seeking, obtaining, and holding such approvals.
Network Membership. 1.1. The individual requesting to join Our Network ("Applicant") must:
1.1.1. Be sponsored by another member of the Network ("Sponsor") or want to register without any Sponsor;
1.1.2. Purchase one of the TM Services or Products as specified below;
1.1.3. Accept this "NETWORKING AGREEMENT" ("Agreement");
1.1.4. Have the address of residence in a country or territory in which TM is authorized to operate;
1.1.5. Obtain the approval of the Contract by TM.
1.2. TM reserves the right to accept or reject any Agreement in its sole discretion. During the pending acceptance of the Agreement, the Applicant is granted a revocable license to participate in the Network.
1.3. The only mandatory purchase to participate in the Network is the purchase of a license for the Software Alpha Advisor, which is eventually sponsored to the Applicant by the Sponsor without any margin or profit for the Sponsor.
1.4. By joining the Network, each Applicant becomes part of the "Network" of its Sponsor and, conversely, has the opportunity to create his own Network with any subsequent Applicants. TM recognizes the growing importance of e-commerce as one of the distribution channels used by Members for their Network. This is one of the reasons why TM has invested heavily in the development of the Network, a customized platform that complies with regulatory requirements that, in the countries where it is available, Members can use at no cost. In contrast, sales on Third Party Sites weaken the personal relationship that Members must create with their Network, as well as the image and brand of TM and the market positioning that TM has established for its products. This is because, among other things: (i) Third Party Sites show the name and logo of the operators of Third Party Sites; (ii) they often inaccurately represent their quality or performance that could, in some cases, be untrue and in conflict with regulatory requirements, and (iii) placing TM products in contexts that may be conflicting. As a result: - Members can manage their network through the Network only. Members may not offer, sell or facilitate the offer for the sale of TM products (directly or indirectly in any way or by any means), soliciting or auctioning or publishing sales offers at a fixed price or less, on any auction website, online auction marketplace, Third Party Sites or any other website that displays the name or logo of, or is branded or identifiable as a Third Party website.

Network Membership. There are two types of membership:
1. Institution Members. Any Civil Association, Scientific Society or any other scientific body with development and solid tradition in the field, which states its willingness to join the NETWORK in writing and which has been approved by the Council of Representatives by means of a resolution.
2. Individual Members. Professionals with a solid tradition in the field who request to join the NETWORK on an individual basis, and have been accepted by means of a resolution of the Council of Representatives. In order to join the NETWORK, a request must be submitted for further analysis by the COUNCIL OF REPRESENTATIVES, who will decide on its approval or rejection based on the history, merit, good name and ideology aligned with the NETWORK. In order to be accepted, a two-third majority vote shall be required.
Network Membership. The Network will provide such services and operate such programs as are necessary and desirable to secure the integration of clinical services among SJHHC, Participating Members and other service providers participating in the Network activities. Participating Members each commit to participate in the Network by executing a Network Participation Agreement in the form of this Agreement. Under the Network Participation Agreement, Participating Members agree
(i) to support and participate in the Network and its clinical integration programs, (ii) to participate in performance-based incentive compensation programs (“Performance Incentive Programs”) as defined by the Management Board and (iii) to support the Network by authorizing the funding of Network incentive compensation pools and programs from fees payable under payer Contracts negotiated by Network on behalf of the Participating Members. The Participating Members acknowledge and agree to satisfy the Membership qualification criteria set forth in section 2.2 of this Agreement, and as such criteria may be modified from time-to-time by the Management Board.
