Products Warranty a) The Products are in compliance with the applicable specifications and free from defects in material and workmanship provided that the Products are used according to the standard working conditions and with the exception of wear and tear (hereinafter, “Products Warranty”). In no event MEI guarantees the results to be obtained from the use of the Products in case of any improper use of the Products by the Purchaser.
b) The Products Warranty shall be valid up to (i) a maximum of 1,800 working hours or (ii) a period of 12 (twelve) months from the Installation Date or in any case from the 90th (ninetieth) calendar day following the Delivery Date; whichever occur (expire) first (hereinafter, collectively, “Warranty Period”). The Products Warranty is non-transferable and non-assignable.
c) Without prejudice to any other limitation provided for within the Contract, the Products Warranty shall cover solely and exclusively: (i) the repair or replacement of the Products’ defective parts (provided that Purchaser, at its expense, shall be required to return the defective parts to MEI); and (ii) repair working hours performed by MEI’s personnel (hereinafter, (i) and (ii) collectively, “Warranty Work”).
d) The Products Warranty replaces any other or additional product warranty eventually provided for by the applicable Law, so that MEI makes no other representation or warranty, expressed or implied (including implied warranties of merchantability, fitness for a particular purpose and non-infringement) concerning the Products, and all other guarantees, warranties, conditions and representations, either express or implied, are hereby expressly excluded.
Products Warranty. Company warrants that Distributor shall acquire Products purchased hereun- der free and clear of all liens and encumbrances except for Company’s purchase money security interest defined in Articles I, 4, above. The Company warranties to the original purchaser, with proof of purchase, its supplied products from date of shipment. The Company will repair, or at their discre- tion, replace the defective product, only when the product is properly handled, installed and main- tained in accordance with standard acceptable practices. Company warrants all Products to be free from defects in material or workmanship, under normal use and service, for a period as shown on each Product’s individual specification sheet from the date of delivery. All repair covered by this war- ranty must be performed at Company’s factory, or other such warranty repair facilities of Company as designated by Company unless Company specifically directs that this service be performed at another location. Any defect corrected within the warranty date specified and found to be within this scope of the warranty will be repaired by Company and all charges for repair labor and material will be borne by Company. If it is determined that either no fault exists by Company, or the damage to be repaired was caused by negligence of Distributor, its agents, employees or customers, Distributor agrees to pay all charges associated with each such repair. This warranty excludes defects resulting from improper installation, acts of God, fire, vandalism, weather, civil disturbances, power surges or improper power supply, and corrosive environment installations. Purchaser must notify the Company in writing within seven days of noticing the defect. This warranty excludes all field labor or service charges related to the repair or replacement of the product. THIS CONSTITUTES THE SOLE WARRANTY MADE BY COM- PANY EITHER EXPRESSED OR IMPLIED. THERE ARE NO OTHER WARRANTIES EXPRESSED OR IMPLIED WHICH EXTEND BEYOND THE FACE HEREOF, HEREIN, INCLUDING THE IMPLIED WARRANTIES OF MER- CHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL COMPANY BE LIABLE FOR ANY INCIDENTAL OR CONSEQUENTIAL DAMAGES AND DISTRIBUTOR’S REMEDIES SHALL BE LIMIT- ED TO REPAIR OR REPLACEMENT OF NONCONFORMING UNITS OR PARTS. The Company reserves the right to modify any of its products without prior notice and without incurring obligation.
Products Warranty. Product or material shall be warranted against any defects in materials and workmanship. This period of manufacturer’s warranty shall begin to run at the time the product(s) or material(s) are received, inspected, and accepted by a representative of the CITY. Original Equipment Manufacturer warranty shall apply unless otherwise specified in the solicitation document.
Products Warranty. SEEED guarantees all products to be free from defects in material or workmanship under normal use and service for a period of ninety days from the date of delivery. If any defect occurs within this scope of the warranty, please notify us immediately, we will send the replacements or refund the payment and afford the cost. • Warranty will be invalidation if the products were not using or operating in a proper way. In this case, SEEED will not take responsible for it. • SEEED will not be responsible for any extra warranty which provided by a distributor to an end user. SEEED and the distributor should both keep the information, reports and records pertaining to this distributorship in confidential manner. • SEEED is committed to secure your privacy. • SEEED will take reasonable technical and organizational precautions to prevent your personal information from loss and misuse. However, data transmission over the Internet is inherently insecure, and we cannot guarantee the security of data sent over the Internet. • You are responsible for keeping your password and user details confidential. We will not ask you for password.
Products Warranty. The Distributor is not authorized to change, alter or modify the product’s warranty. All warranties of Company, whether created expressly by law or in fact, are incorporated herein by reference, apply to Distributor’s Order, and are supplemented by the following express warranties. For a period of thirty six (36) months from Distributor’s acceptance, or such other period as may be agreed by the Parties in writing or specified in Distributor’s Order (the “Warranty Period”), all Goods and/or Services shall (i) conform with any and all specifications, drawings, samples, or other descriptions referenced in and/or furnished in this Agreement or with Distributor’s Order, (ii) be free from defects in material, and workmanship, (iii) be new and not contain used or reconditioned material, (iv) be suitable for intended purpose, (v) be free and clear of any security interests, liens or other encumbrances, and (vii) comply with all applicable laws and regulations. Company’s warranty shall be void and of no effect and does not apply to Product that have been subjected to: (i) operation in excess of recommended capacity, (ii) inadequate electrical power, overloaded, shorts, etc., or humidity- control, (iii) accident or disaster, including without limitation, fire, flood, water, wind, and lightning, (iv) neglect, including without limitation, power transients, (v) abuse or misuse, (vi) failure of the user to follow Company’s operating instructions, (vii) unauthorized modification, installation or repair by persons other than authorized representatives of Company, (viii) use for purposes other than as specified in the published operating instructions; or (viii) other like actions and conditions; or (d) are not properly stored, installed, maintained, or operated under normal conditions and in accordance with Company’s recommendations. Company’s warranty shall be void and of no effect if the defect has arisen from damages occurring to the Product subsequent to delivery at the delivery point. Products Warranty. CloudMinds warrants to RED that during the Warranty Period the Products shall fully conform to the agreed Specifications and be free from all material defects in design, materials and workmanship. This Product warranty does not apply to (i) Products or components that have been damaged, mishandled, mistreated or used or maintained or stored other than in conformity with such Specifications and CloudMinds’ written instructions to RED, or (ii) defects caused by RED Consigned Components and Materials or a RED Unique Component. Defective Products with respect to materials and workmanship will be fully covered and corrected by CloudMinds and Manufacturer by performing root cause analysis and corrective action, and repair or replacement of defective Products pursuant to section 8.4 below. If the defective Product is caused by the Product design, CloudMinds shall take full responsibility by correcting the design and performing repair or replacement of the defective Products pursuant to section 8.4 below.
Products Warranty. Company warrants that Distributor shall acquire Products purchased hereunder free and clear of all liens and encumbrances except for Company's purchase money security interest defined in Section 1.03, above. Company further warrants all Products to be free from defects in material or workmanship under normal use and service for a period of ninety (90) days from the date of delivery. Any defects must be replaced by the Company within sixty (60) days within this scope of the warranty and all charges for labor and material, will be borne by Company. If it is determined that either no fault exists in Company, or the damage was caused by negligence of Distributor, its agents, employees or customers, Distributor agrees to pay all charges associated with each such replacement. THIS CONSTITUTES THE SOLE WARRANTY MADE BY COMPANY EITHER EXPRESSED OR IMPLIED. THERE ARE NO OTHER WARRANTIES EXPRESSED OR IMPLIED WHICH EXTEND BEYOND THE FACE HEREOF, HEREIN, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL COMPANY BE LIABLE FOR ANY INCIDENTAL OR CONSEQUENTIAL DAMAGES AND DISTRIBUTOR'S REMEDIES SHALL BE LIMITED TO REPAIR OR REPLACEMENT OF NONCONFORMING UNITS OR PARTS.
Products Warranty. For a period of [***] from the date of Delivery (the "Warranty Period"), Cisco warrants that the hardware portions of the Products shall be free of defects in material and workmanship. In the event that Cisco receives notice from Netrx xxxing the Warranty Period that any Product does not conform to the requirements of this warranty, Cisco shall, at its option, repair or replace the non conforming Products. Products repaired or replaced shall be rewarranted for [***] in accordance with the above.
Products Warranty. Ligand warrants that all Products supplied hereunder shall (1) conform to the products specifications therefor, as published by Ligand from time to time consistent with the data contained in the Product Authorizations, and (2) have a shelf life of one year or more (or in the case of Ontak, nine months or more) from the date of shipment to Distributor. The aforementioned shelf life terms shall be proportionally increased from time to time in accordance with improved stability data.
Products Warranty. Supplier hereby warrants and covenants that all Products, and all materials and components incorporated therein which are sourced or provided by Supplier, and supplied by Supplier under this Agreement shall: (i) conform with all applicable Product Specifications and all applicable laws and regulations; (ii) be of good and merchantable quality, free from defects in materials and workmanship; (iii) be fit for their intended purposes; (iv) not be adulterated or misbranded in any way. All Products covered by terms and conditions stated herein shall be subject to the standard manufacturing and commercial variations and practices of Supplier. Products manufactured by Supplier may have permissible variations and deviations as stated in the USP24 and NF19 <1161> which states “…each unit shall be not less than 90% and not more than 110% of the theoretically calculated weight for each unit.” Said permissible variations and/or deviations shall apply to net and gross weights of goods or products, and shall also apply to active ingredient potencies. Supplier reserves the right to ship overages and underages of weight, length, size, and/or quantity in accordance with Suppliers’s standard practices, but not to exceed 10% of Customer’s original amount ordered under purchase order. EXCEPT AS STATED IN THIS AGREEMENT, SUPPLIER IS PROVIDING NO OTHER WARRANTIES, WHETHER EXPRESS OR IMPLIED, AND WHETHER STATUTORY OR OTHERWISE, WITH RESPECT TO THE PRODUCTS INCLUDING, BUT NOT LIMITED TO, ANY WARRANTIES ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE. THIS SECTION 3 STATES THE ENTIRE LIABILITY OF SUPPLIER WITH RESPECT TO THE WARRANTY GIVEN HEREIN.
