Professional Services and Training. Customer understands and agrees that deploying KeySafe KMS requires detailed process design, planning, governance, support and additional training and requires the separate purchase of professional and training services from Box.
Professional Services and Training. SSG will perform the Professional Services for Client described in one or more work orders, work authorizations or statements of work (collectively “SOW”). Either party may propose a change order to add to, reduce or change the work outlined in the SOW. Each change order must specify the change(s) to the Professional Services, and the effect on the time of performance and, the fees due and payable to SSG due to the change and executed by both parties. Professional Services must be used within one (1) year of the date of execution of the applicable Order Form by Client or will expire and will not be refunded. Professional Services and Training fees are based on Professional Services and Training provided during normal SSG business hours, Monday through Friday, 8:30 a.m. – 5:30 p.m. US central time zone (SSG holidays excluded), as SSG may modify upon notice to Client. Professional Services or Training provided by SSG outside of normal SSG business hours will be subject to a premium service charge
Professional Services and Training a) Subject to the terms of this Agreement, including payment of all applicable Professional Services fees, CloudNine may provide data conversion, implementation services or training in connection with the Program as specified in one or more Statements of Work or other ordering document (“SOW”). Each SOW will be governed by the terms of this Agreement. In the event of a conflict or inconsistency between the terms of this Agreement and those of an SOW, the terms of this Agreement will control, unless this Agreement expressly permits the SOW to override the applicable term of this Agreement.
Professional Services and Training. 15.1. Occasionally, a support request exceeds reasonable boundaries for normal technical support. Any such requests for services that are outside the scope of the Agreement are categorized as professional services and “ID” will, in such cases, offer such professional services at ID’s then- current services rates, subject to ID’s standard professional services terms and conditions. Similarly, there are occasions when a support request encroaches into one-on-one training. In such cases, “ID” will offer training at ID’s then-current training rates, subject to ID’s standard training terms and conditions.

You may engage MSI to provide certain Professional Services pursuant to a statement of work or similar document, including a Quote, Invoice, or Order Form, whether in print or online, which describes the tasks or services to be provided. Each SOW shall incorporate this Agreement by reference, be governed by and subject to the terms and conditions of this Agreement, and in the event of any conflict or inconsistency between this Agreement and the SOW, this Agreement shall take precedence. Professional Services and Training. Company or any of its affiliates agrees to use reasonable commercial efforts to provide Licensee with professional services and/or technical training for the Software for additional fees and subject to an applicable Statement of Work (“SOW”), Scope of Requirements (“SOR”) or any other document which defines the scope of such services (“Scope Document”) executed by both parties in writing. Licensee may contact Company to inquire about the availability of such services. Company retains ownership of, and all other rights in, all results of such services. In the event Licensee requests Tamr to provide any professional services or training related to the Software, a description of the services and applicable terms shall be set forth in an Order Schedule or a mutually agreed statement of work signed by both parties (“SOW”). Unless otherwise agreed by the parties in a SOW, Customer shall own all rights, title and interest in any deliverable created by Tamr specifically for Customer under a SOW (“Deliverable”); provided, however, that (i) Tamr shall retain ownership of its pre-existing intellectual property included in a Deliverable (“Tamr IP”), and (ii) Tamr hereby grants Customer a perpetual license to use the Tamr IP as incorporated in the Deliverable for the sole purpose of using the Deliverable. Software. Support, professional services and training are collectively referred to as “Services”.
