Purpose of Engagement. Customer agrees to retain XxxxXxxxx to perform professional services for Customer, on a task-by-task basis (“Services”), and XxxxXxxxx agrees to furnish the Services subject to the terms and conditions set forth herein. During the term of this Agreement, Customer and MarkLogic will agree upon statements of work (“SOW”) which will define the Services and Work Product to be provided by MarkLogic, applicable timelines and deadlines, MarkLogic’s compensation and the billing rates and such other details as the Parties deem appropriate. SOWs shall be executed by the Parties, reference this Agreement and shall form a part hereof. The specific provisions set forth in a SOWs shall control in the event of a conflict between this Agreement and such SOW.
Purpose of Engagement. Upon the terms and subject to the conditions of this letter, you agree to serve as a consultant to M&T. The services to be performed as a consultant will include, but are not limited to: (1) provide strategic advice and counsel regarding all aspects of the business to M&T management and the Board of Directors of M&T, as requested, including product development/expansion, enterprise geographic expansion, acquisitions, mergers, and certain customer transactions; (2) be available to meet with, and to be involved with, clients and counterparties, at the request of M&T, where M&T believes that your personal knowledge, attendance and participation may be beneficial to M&T; (3) represent M&T at industry functions and/or with industry trade groups; (4) serve as Chairman of the Florida Advisory Council of Wilmington Trust, National Association; and (5) perform such other services as the parties may mutually agree upon from time to time during this engagement (collectively, the “Services”). You agree to perform the Services faithfully and diligently for M&T as set forth in this letter agreement.
Purpose of Engagement. Consultant’s employment with the Company terminated as of October 1, 2013. The Company has determined that Consultant’s continuous service with the Company for a period of time, and on the terms set forth herein, is in the best interests of the Company. Accordingly, the Company agrees to retain Consultant to provide professional services on projects in the areas of her expertise, as directed by the Company CEO or his/her designate (the “Services”). Consultant agrees to furnish the Services for the term and under the conditions set forth in this Agreement.

Purpose of Engagement. Littlebanc will assist the Company as its exclusive financial advisor in connection with raising capital up to $4,000,000. For purposes of this Agreement, a “Transaction” shall mean: (i) any offer or private sale of, investment or transaction in, or series of investments or transactions in, the Company’s capital stock (whether outstanding or newly issued shares), convertible securities, options, warrants, or other rights to acquire the Company’s capital stock, or assets, or any other capital raise of any nature or (ii) any transaction whereby the Company undertakes a sale or divestiture of all or a substantial portion of its current business or assets or (iii) any merger, consolidation, reorganization, recapitalization, business combination or other transaction pursuant to which the Company is acquired by, acquires, or is combined with, another party. Littlebanc and the Company agree and acknowledge that this Agreement should not be construed as a firm commitment or guarantee of any Transaction. It is acknowledged and agreed that the decision to consummate a Transaction shall be in the Company's sole and absolute discretion.
Purpose of Engagement. JCI will assist the Company as its non-exclusive financial advisor in connection with raising capital. For purposes of this Agreement, an "Equity Raise" shall mean any offer or private sale of, investment or transaction in, or series of investments or transactions in, the Company's capital stock (whether outstanding or newly issued shares), convertible securities, options, warrants, or other rights to acquire the Company's capital stock, or assets. A financing that is not an Equity Raise shall, for purposes of this Agreement, be referred to as a "Debt Raise." Further, an Equity Raise and a Debt Raise are hereinafter, a "Transaction." JCI and the Company agree and acknowledge that this Agreement should not be construed as a firm commitment or guarantee of any Transaction. It is acknowledged and agreed that the decision to consummate a Transaction shall be in the Company's sole and absolute discretion.

(a) Client agrees to retain Consultant to perform the consulting services for Client, on a task by task basis (the "Services"), and Consultant agrees to perform the Services on the terms and subject to the conditions and assumptions set forth in this Agreement. During the term of this Agreement, Client and Consultant will develop and agree upon statements of work defining the Services and a description of the deliverables (the "Deliverables") to be provided by Consultant, Consultant's compensation, additional terms and conditions, if any, applicable to a particular engagement and such other details as the parties deem appropriate (each a "Statement of Work"). A Statement of Work may provide a time schedule for completion of the Services required thereunder (the "Schedule") and specifications for Deliverables to be provided thereunder (the "Specifications"). Statements of Work which are from time to time agreed upon shall reference this Agreement and shall be executed by the parties and attached hereto and shall form a part hereof.
(b) Each party shall designate a "Project Manager" who shall be the principal point of contact between the parties for all matters relating to an engagement. Each Statement of Work shall contain an initial designation of a Project Manager for each party. A party may designate a new Project Manager by written notice to the other party.
(c) Unless otherwise provided in a Statement of Work, Consultant shall provide the Services at Client's facility identified in the applicable Statement of Work. When Services are provided at a Client facility, Client shall provide appropriate work space and other facilities such as computer support consistent with the requirements of the Services to be provided under the Statement of Work. Consultant shall cause its personnel at Client's facility to
(i) Client's safety and security rules and other rules applicable to those working in the facility, and (ii) Client's commercially reasonable policies concerning access to and security of any Client computer system to which Consultant may have access; provided, that Client has provided Consultant with copies of such rules and policies.
(d) Either party may request changes that affect the scope or duration of the Services relating to any Statement of Work, including changes in the Specifications and changes in the Deliverables to be delivered. A Statement of Work may provide specifications for deliverables to be provided thereunder (the "Specifications"). Statements of Work that are from time to time agreed upon shall reference this Agreement, and shall be executed by the parties and attached hereto and shall form a part hereof. In all instances of a conflict, between the provisions of this Agreement and the specific provisions set forth in a Statement of Work, the provisions of this Agreement shall control.
(b) Contractor shall provide sufficient qualified personnel to perform the Services in a professional and workmanlike manner in accordance with industry standards. A Statement of Work may designate certain individuals as "Key Personnel" for an engagement, and the parties subsequently may agree in writing that additional individuals are Key Personnel for such engagement. If there are Key Personnel for an engagement, Contractor shall provide the Services through those personnel and such additional personnel of Contractor as Contractor may from time to time determine to be required for the performance of the Services. Company shall have the right to interview and approve such additional personnel at Company’s request. If one or more Key Personnel terminate their employment with Contractor or otherwise become unavailable to work on an engagement for reasons beyond Contractor's reasonable control, Contractor may provide the Services through other personnel with comparable training and experience. If Company becomes dissatisfied with any of Contractor's personnel providing the Services, Company may notify Contractor of the details of its dissatisfaction, and the parties shall cooperate to remedy the problem as soon as possible.
