Quality and Description. 6.1 The Seller represents and warrants that the Goods: (a) will be of merchantable quality and fit for the purpose for which they are reasonably intended or required; (b) will be free from defects in design, material and workmanship; (c) shall be in conformity with the quantity, descriptions and other requirements stated in the Buyer’s Purchase Order and will correspond with their published specifications in all respects; (d) where applicable, conform in all respect with any samples provided by the Seller; (e) will, in relation to the manufacture thereof, comply with all enactments, orders, regulations or other instruments issued by the government or other competent authority in their place of manufacture; (f) will only be manufactured in the place of origin specified in the Seller’s Standing Quotation or otherwise expressly agreed in writing by the Buyer; (g) will comply with all applicable laws, regulations, statutory requirements and requirements of any competent authority (including those relating to health, safety, importation, registration, sale and use) in both the country of origin and in Hong Kong; (h) (other than consignment stock) shall have an expiry date of not less than 18 months from the date of delivery to the Buyer, or such other period as agreed by the Buyer; and (i) in respect of consignment stock, shall have an expiry date of not less than 18 months from the date of deposit at Hospital premises, or such other period as agreed by the Buyer. 6.2 All manufacturers’ quality assurance/control report of the product(s) must be properly filed and submitted to the Buyer upon request. 6.3 The Seller acknowledges that the Goods are intended to be distributed to the public hospitals for use by, administration on, consumption, possession by and supply to patients of the public hospitals. The Seller shall be fully responsible for and shall indemnify the Buyer against any claim made by anyone in respect of the Goods resulting directly or indirectly from or in connection with the failure by the Seller to comply with any term of the Contract and/or the Purchase Order. 6.4 The Seller must keep the Buyer advised of any changes in Goods including but not limited to change in design, material, part numbers, supersessions, during the Validity Period. 6.5 The Seller shall undertake to provide the Authority at any time before Goods delivery with an option to substitute Goods with new technology for any or all of the offered Goods. Quality and Description. Subject to Clause 14 the Goods shall: (1) conform as to the quantity, quality and description with the particulars stated in the Order; (2) be of sound materials and good workmanship; (3) be capable of any standard of performance specified in the Order and/or specification; (4) if the purpose for which they are required is indicated in the Order either expressly or by implication be fit for that purpose; and (5) maintain safe working condition at all times and comply with workplace health and safety and environmental laws & regulations and company’s guidelines and regulations pertaining to health, safety, environment and security.

Quality and Description. Subject to Articles 7 and 18 herein, Goods supplied and/or Services provided under an Agreement shall: a) comply with the description in the Order as to quantity, description, price and quality; b) be made of the agreed sound materials and be of sound construction; c) comply with the Specification and in all respects be equal to samples or models which Client supplied to Supplier or Supplier has supplied to Client; d) comply with the performance specified in the Order, and e) be fully suitable for the intended use insofar as such is stated expressly or indirectly in the Order, or, if no specific performance or use is specified in the Order, shall be fit for the purpose which a prudent Supplier could or should have known.
Quality and Description. 21.1. You represent and warrant that all Goods supplied in satisfaction of the Purchase Order: (a) strictly comply with every aspect of the Specifications; (b) conform as to quantity, quality and description with the particulars specified in the Purchase Order, and will be of the best materials and workmanship of their respective kinds; (c) will be fit for the purpose for which they were ordered, where such purpose was made known expressly or by implication to you (d) if you have provided us with samples of the Goods, that the Goods conform in all respects with the samples; (e) comply with all legal requirements, including any CE or other applicable marking requirements; and (f) are free from all encumbrances and that you have good marketable title to those Goods.
Quality and Description. 4.1 Supplier warrants that any Goods supplied shall, when delivered, be: (i) of the quantity and description specified in the Contract or in any advertising or other material published or provided by Supplier; (ii) of satisfactory quality; (iii) fit for their normal purpose and any specific purpose of Buyer made known to Supplier or for any other purpose of Buyer of which Supplier ought reasonably to have been aware; and (iv) free from defects in design, material and workmanship. Supplier, at its own expense, shall perform quality control testing in accordance with its own procedures to ensure that the Goods meet the requirements of the Contract. 4.2 Supplier warrants that any Services supplied shall be: (i) performed efficiently, safely, competently and in conformity with any applicable industry code of practice by suitably qualified and experienced personnel; and (ii) of the highest quality which reasonably would be expected from a skilled and experienced operator providing a similar type of services in similar circumstances. 4.3 Supplier warrants its expertise and confirms the accuracy of all statements and representations made in respect of the Goods and/or the Services prior to entering into the Contract and acknowledges Buyer’s reliance upon the same. 4.4 Supplier warrants that any Goods and Services provided shall: (i) comply with all applicable statutory requirements and regulations, including without limitation those relating to the manufacture, packaging, packing, carriage and delivery of the Goods and the performance of the Services, and health and safety and environmental laws for the same;
Quality and Description. 4.1.- The Supplier guarantees that the Goods supplied, when delivered, shall be: (i) of the quantity and description specified in the Contract, in the Order, in any notification or other document issued or delivered by the Supplier; (ii) of satisfactory quality; (iii) appropriate to meet the regular and specific purposes of the Buyer and that have been notified to the Supplier or any other purposes of the Buyer which the Supplier should reasonably know; and (iv) the design, materials and production shall be free from defects. 4.2.- The Supplier guarantees that the Services provided will be: (i) performed by qualified and experienced staff in an efficient, safe, skilled manner and in accordance with the applicable industrial code of practice; and (ii) of the highest quality that can reasonably be expected from a skilled and experienced operator that provides similar services under similar circumstances. 4.3.- The Supplier guarantees their experience and confirms the accuracy of all statements and representations made regarding the Goods and/or Services prior to the signing of the contract. Furthermore, the Supplier also acknowledges those made by the Buyer. 4.4.- The Supplier guarantees that the Goods and Services provided: (i) shall comply with all applicable legal and regulatory requirements, including, but not limited to, those related to production processes, packaging, transportation and delivery of the Goods and the provision of the Services, and in accordance with health & safety and environmental regulations; (ii) shall not infringe the intellectual property rights of any third party; and (iii) they shall comply with any other specification or requirement set out in the Contract. 4.5.- The Supplier shall mark any hazardous material supplied using the international hazard symbol(s) and the wording of the name in both English and Spanish. The transport and other documents shall contain the same, along with emergency information in English. The name of the Supplier shall be indicated and assurances shall be provided that it complies with all international agreements, general legal rules applicable in the country concerned, and local rules and standards, as well as the regulations and codes of practice of the country of delivery with respect to the packaging, labelling and transport of dangerous goods. 4.6.- The Supplier shall allow the Buyer or any authorized representatives to inspect and test the Goods at any time during the production, processing, a...

Quality and Description. 16.1 Without prejudice to any other rights and remedies Barclays may have, the Supplier warrants and represents to Barclays that the Goods will: (a) conform as to quantity, quality and description with the particulars stated in the Purchase Order; (b) (without prejudice to clause 16.1(a) above) be free from defects, be of merchantable quality and be fit for the purpose held out by the Supplier or made known to it either expressly or by implication by Barclays; (c) be equal to and comply with in all respects with any samples or patterns provided by either party and accepted by the other; and (d) comply with all Relevant Laws relating to the manufacture and sale of the Goods at the time when the same are supplied.
