Search Engine Optimisation. 11.1 The provisions of this clause 11 are only applicable where the Services expressly include Search Engine Optimisation of the Website.
11.2 The Client authorises JCS to submit details of the Website to the Search Engines.
11.3 JCS must submit the Website to the Search Engines within 45 days following the development of the Website by JCS.
11.4 If the Client wishes JCS to submit the Website to search engines which require payment of a fee for listing a website, or require payment of a fee to expedite the listing of a website, the Client shall be responsible for all fees payable to the relevant Search Engine associated with such submissions and listings in respect of the Website, and the Client must pay all such fees in advance to JCS. JCS must notify and obtain the approval of the Client to any such fees prior to submitting the Website to the fee-charging search engines.
11.5 The parties acknowledge that the Client desires, and has engaged JCS with the object of, having the Website listed on the first page of the Search Engines’ natural or unpaid (also known as organic) results for searches carried out with the Search Engines using the Client Keywords.
11.6 JCS must, in the course of providing the Services, use its best endeavours to assist the Client secure first page Search Engine result rankings, but does not guarantee that the Website will be listed on the first page of the Search Engine results, in respect of the Client Keywords.
11.7 JCS may employ any legal techniques it chooses to employ in the course of providing the Services.
11.8 JCS is not obligated to disclose to the Client the techniques used by JCS as part of the Services.
11.9 The Client agrees and acknowledges that:
(a) failure to achieve Website rankings with any Search Engines in any time period shall not constitute breach of this Agreement;
(b) the Search Engines may regularly change the algorithms and policies used by the Search Engines to determine the ranking of websites in the Search Engines’ search results;
(c) JCS has no control over any algorithms and policies of the Search Engines;
(d) the Website ranking for the Client Keywords with the Search Engines may at any time change as a result of any changes made to the algorithms and policies of the Search Engines used by the Search Engines to determine ranking of websites in Search Engine results;
(e) Search Engines sometimes drop rankings for no apparent or predictable reason.
Search Engine Optimisation. 11.1 xx00.xxx does not guarantee listings on Search Engines and the Client accepts that it is the Search Engine company and not xx00.xxx that determines whether to list a website or not and at what place in the listings the site should be returned.
Search Engine Optimisation. We cannot guarantee any improvement to a search engine ranking, nor can we promise to get a site higher up or to the ‘top of Google’, but we build every site in a way that is accessible to search engines in an effort to increase its chances.
Search Engine Optimisation. 11.1 A Boy Is No One does not guarantee listings on Search Engines and the Client accepts that it is the Search Engine company and not A Boy Is No One that determines whether to list a website or not and at what place in the listings the site should be returned.
Search Engine Optimisation a. Whilst we endeavour to ensure your positions on search engines remain as high as possible through our work, we cannot be responsible for any search engine’s re-indexing and any effects this may have on a web site’s page ranking, and or subsequent effect financially on your business.
Search Engine Optimisation. We don’t guarantee improvements to your website’s search engine ranking, but the web pages we develop are accessible to search engines for indexation, unless otherwise stipulated by us elsewhere in this contract or in a prior agreement/communication. We do offer additional SEO services for our clients, which are invoiced at an hourly rate of £45 + VAT per hour. Our SEO work is only invoiced after we have achieved the agreed results discussed for a period of 1 month. A monthly maintenance charge is required for our ongoing SEO support and work for your chosen keywords. We are here to help. We will offer technical support during the project to you as you require. You, as our client can ask questions along the way. You may already have professional web site hosting; you might even manage that hosting in-house; if that’s the case, great. If you don’t manage your own website, we can offer website hosting solutions for you. We would charge you a one-off fee for installing your site on any 3rd party server, plus any statistics software such as Google Analytics for example. These prices are provided on a quote by quote basis, based on our hourly rate of £45 + VAT per hour. Thereafter, any updates to, and management of that server, plus any support issues of this 3rd party server will be up to you our client to handle with your selected 3rd party company. If you have chosen to use Primal Space for your website hosting, any technical support of your server is included in the price of our website hosting service. We can’t guarantee that the functions contained in any web page templates or in a completed web site will always be error-free. Hence, we can’t be liable to you or any third party for damages, including lost profits, savings or other incidental, consequential or special damages arising out of the operation of or inability to operate this web site and any other web pages, even if you have advised us of the possibilities of such damages. We’ll carry out our work in accordance with industry best practice and at the standard expected from a suitably qualified person with relevant experience. We always ensure our work is completed to the highest possible standard. These Terms of Engagement, together with the Proposal and Requirements documents, constitute the entire agreement between Primal Space and the Client in relation to the services being provided, and supersede all earlier communications. Unless otherwise defined in the proposal our standard terms of payment for web site design and development will apply as follows: Before commencement of Search Engine Optimisation Campaign an invoice will be sent for payment as follows: Initial Period as agreed, as per the signed service agreement, 3/6/12 months, payable monthly in advance 100% Agreed in advance, following monthly payments in advance should be paid by standing order either Along with this you will receive a standing order to be completed for the following 2/5/12 month payments as specified in Proposal/Service Agreement (monthly in advance for provision of this service) Termination of Search Engine Optimisation service by yourselves at the end of the initial agreed period requires 30 days notice in writing. If no such notice is received by yourselves it will be assumed that you require the service to continue for another fixed period and an invoice will be issued accordingly.
Search Engine Optimisation. Where applicable, the client's project(s) will be built with agreed search engine keywords and phrases set in the site, as part of the inclusive project cost. No guarantees are given as to the reliability of the search engines, or on which page the project(s) will appear, or whether the project(s) will be indexed and listed by any search engine. Visits to the client premises, or to thirdparty premises, will be charged at normal business rates. i.e. standard mileage rate of 45p/mile, and our normal hourly rate, including travelling time.
Search Engine Optimisation. 3.1 Prior to work being undertaken by the Developer in relation to Search Engine Optimisation the Customer will assure the Developer in writing that:
3.1.1 It has not employed the services of another Search Engine Optimisation Company to work on the website at the same time as the Developer.
3.1.2 It has not employed the services of a Submission Company during the same period.
3.1.3 It has not created any duplicate sites, duplicate content or pages, redirects or doorway pages. If duplicate sites have been previously published, the client must inform Dancing Badger Limited before work commences allowing appropriate recommendations to be carried out.
3.1.4 It has not requested or exchanged links with link farms or undertaken any spamming techniques that may prejudice the web site's ranking with search engines. No link exchanges must take place without prior consultation from Dancing Badger Limited.
3.2 The Developer reserves the right to terminate its engagement by the Customer if at any time it is suspected that the target web site (i.e. the Customer's web address whose optimisation is the object of the campaign) or web pages linked thereto are involved in any practice which the Developer deems to be illegal or unethical.
3.3 The Developer will strive to ensure the Customer achieves 'top rankings' across the major search engines for the agreed key phrases. 'Top rankings' mean that the Customer's selected search terms will be placed in the first 3 results pages on the major search engines including (but not exclusively) the following: Xxxxxx.xx.xx, Xxxxx.xx.xx, Xxxx.xxx
3.4 The Developer can give no guarantee to the Customer either in relation to the ranking provided by any search engine or to the duration in time a web address will retain its ranking nor can it guarantee or quantify any increase in traffic to the web address resulting from the optimisation campaign. Notwithstanding this the Developer will use its best endeavours to maintain the ranking of the Customer's web address and to respond promptly to any fluctuations in the Customer's web address ranking with the major search engines.
3.5 Dancing Badger Limited acknowledges that with relation to the search engine optimisation service all intellectual property rights in the Customer's Website and the Customer's logos and registered and unregistered trademarks belong to the Customer.
