Start-Up Services. In addition to the normal 2/nd/ and 3/rd/ line support Philips will provide technical expertise on site during start-up time to minimize down-time risks. The best person(s) for this will be identified later. The 15 man-year is a minimum commitment to Philips to be invoked before December 2001. The commitment is on so called fully loaded cost basis. When resources are needed after or in addition to the 15 man-years having been spent (a monthly report on spent time will be provided to MedQuist) or after December 2001, whichever comes first, the cost for these additional services will be on Commercial Terms and Conditions to be negotiated. Start-Up Services. ECHELON shall provide to VAR the “Start-Up Services” and VAR shall pay to ECHELON the Start-Up Services Fee, as detailed on Exhibit E.
Start-Up Services. TSS shall provide the following to User as Start-up of the TSS System: Initial Meeting with User. TSS will meet with User at User’s location for a one and one-half (1.5) day on-site program kick-off meeting. A Lead Trainer or TSS representative will travel to the User’s offices for meetings, treatment overview presentations and overall assistance in enrolling the User in TSS.
Start-Up Services. Installation of the package PRV station, including all water connections to the station, will be performed by the Contractor. When the station is ready for operation, the PRV station manufacturer shall provide the services of a qualified technician, who shall review the installation and start-up of the PRV station. The control valve manufacturer will have an established service department w/ service person and service vehicle equipped with all tools and parts necessary to maintain and repair control valves furnished in these stations.
Start-Up Services. Upon TRW's written request during the first two (2) years of the term of this Agreement, SmarTire will provide, at TRW's facilities, the services of engineering, technical, and/or administrative employees of SmarTire to assist TRW in the start up of manufacturing the Licensed Products. Start-Up Services. If agreed between the parties, IDE may provide the Purchaser with the services of a qualified technician to provide guidance and assistance in the installation/start-up of the Equipment and provide on-site training for rig crews in the proper operation of the Equipment, as well as other services related to the Equipment (“Services”). The labor cost for this technician will be at the Purchaser’s expense at the rates set out in the applicable Quote. All associated air travel and other transportation, accommodation, meals and other expenses will be at Purchaser’s expense. The travel time shall be included in the installation and training period (e.g. one (1) day’s travel to location plus training plus one (1) day’s return from location). The Services shall be provided solely with respect to the Equipment which is the subject of this Agreement, and are not transferable to another sale. Services are limited to a twelve (12) hour shift per day. Two (2) technicians are required for twenty–four (24) hour support.
Start-Up Services. First Data shall provide start-up services in connection with new portfolios of Designated Accounts as are requested by RFS, including (a) performing those activities necessary to enable the First Data System to recognize and process a new portfolio of Designated Accounts; and (b) assisting RFS by providing information concerning the Services and the First Data System to RFS customers and prospective customers and by demonstrating the functionality of the First Data System relating to the processing of Designated Accounts.

Start-Up Services. As soon as is mutually convenient following the execution of this Agreement, representatives of the parties shall meet and agree upon an Implementation Plan for the System. The Implementation Plan will describe and schedule the implementation and training services requested by the Facility and the estimated number of hours of such services. All services to be provided to the Facility pursuant to this Agreement will be provided by the Company or its designee(s). Any parties providing services under the Agreement will be bound by the confidentiality covenant set forth in this Agreement. The Facility shall provide, or arrange for, an adequate and appropriately equipped classroom for training purposes. The Facility shall assist the Company, or its designee(s), in scheduling training sessions and shall require all staff members who will have the right to access the System to attend the training sessions conducted by the Company or its designee(s). The Facility shall provide nursing shift schedules and available training schedules to the Company, at least 30 days prior to the completion of installation of the System.
Start-Up Services. Provide services to assist the Authority with understanding the operational features of the completed facilities. When requested, the Consultant shall provide and/or schedule training services of Authority personnel in the operation of the facilities. The Consultant will also be responsible for providing all warranties and operations and maintenance documents to the Authority in both hard copy and electronic formats.

  • Hosting Services 13.1 If Supplier or its subcontractor, affiliate or any other person or entity providing products or services under the Contract Hosts Customer Data in connection with an Acquisition, the provisions of Appendix 1, attached hereto and incorporated herein, apply to such Acquisition.

  • Support Services HP’s support services will be described in the applicable Supporting Material, which will cover the description of HP’s offering, eligibility requirements, service limitations and Customer responsibilities, as well as the Customer systems supported.

  • Transition Services The Purchasers will provide to the Sellers termination assistance as reasonably requested in order to provide an orderly transition following the termination of the Agreement (or any portion thereof), and the Sellers will provide to the Purchasers reasonable cooperation and assistance in connection therewith. In connection with this transition assistance, the Purchasers and Sellers will reasonably cooperate in the transition of the Services from the Purchasers to any Replacement Provider. With respect to the Serviced Appointments subject to termination, the Sellers shall provide the Purchasers with notice of the effective date (each, a “Transition Effective Date”) of the transition of the Services to a Replacement Provider. Notwithstanding any termination of the Agreement (or any portion thereof) in accordance with this Article II, with respect to the Serviced Appointments subject to termination, the rights and obligations of the parties under the Servicing Agreement shall remain in effect until the applicable Transition Effective Date.

  • Standard Services Landlord shall provide the following services on all days (unless otherwise stated below): (a) subject to limitations imposed by Law, customary heating, ventilation and air conditioning (“HVAC”) in season during Building HVAC Hours, stubbed to the Premises; (b) electricity supplied by the applicable public utility, stubbed to the Premises; (c) water supplied by the applicable public utility (i) for use in lavatories and any drinking facilities located in Common Areas within the Building, and (ii) stubbed to the Building core for use in any plumbing fixtures located in the Premises; (d) janitorial services to the Premises, except on weekends and Holidays; (c) elevator service (subject to scheduling by Landlord, and payment of Landlord’s standard usage fee, for any freight service); and (f) access to the Building for Tenant and its employees, 24 hours per day/7 days per week, subject to the terms hereof and such security or monitoring systems as Landlord may reasonably impose, including sign-in procedures and/or presentation of identification cards.
