Use of Licensed Area. (a) The Licensee:
(i) must only use and occupy the Licensed Area;
(ii) may only use the Licensed Area during the Term during the Hours of Use and on the Dates and/or Days of Use (as applicable);
(iii) may access other parts of the School in common with others and being solely those parts of the School required for the purpose of accessing the Licensed Area;
(iv) acknowledges that if the Licensed Area includes external areas (for example, playgrounds and ovals), School amenities, kitchen facilities, carparks and/or staff facilities, these areas will be used and occupied together with other occupiers of the School;
(v) acknowledges that the School Council may grant its consent, which consent will be at the absolute discretion of the School Council, for the Licensee to use other areas of the School in addition to those listed in clauses 9(a)(i) to 9(a)(iii) solely for the purposes of the Licensee's use of the Licensed Area;
(vi) must comply with all Department, School and School Council policies and/or guidelines which deal with the safety or health of persons on the Licensed Area or otherwise under its control;
(vii) must observe fire precautions, including taking any fire precautionary measures required by Law;
(viii) must ensure that all external doors and windows are secured and locked and all lights, heating and/or cooling is extinguished daily at the end of its use of the Licensed Area;
(ix) must ensure the Licensed Area is kept secure, clean and free from debris and rubbish; and
(x) acknowledges that no promise, representation, warranty or undertaking has been given by or on behalf of the School Council regarding the suitability of the Licensed Area for the conduct of the Permitted Use otherwise than as expressly contained in this Licence, or for any other use.
(b) The Licensee must not:
(i) use or allow the Licensed Area to be used for any purpose other than the Permitted Use;
(ii) erect, display, affix or exhibit on or at the Licensed Area any signs except for signs that comply with all Laws and then only after obtaining the School Council’s approval (which approval is at the absolute discretion of the School Council) and all necessary planning and building permits from the relevant Government Agency;
(iii) install any fixtures or fittings, except those necessary for the Permitted Use, without the School Council’s written consent (which consent is at the absolute discretion of the School Council);
(iv) keep or use chemicals, inflammable liquids, acid...
Use of Licensed Area. (a) The Licensee may only use the Licensed Area during the Term on the Dates and/or Days of Use and the Hours of Use (as applicable).
(b) The Licensee must not use or allow the Licensed Area to be used for any purpose other than the Permitted Use.
(c) The Licensee acknowledges that no promise, representation, warranty or undertaking has been given by or on behalf of the School Council regarding the suitability of the Licensed Area for the conduct of the Permitted Use otherwise than as expressly contained in this Licence, or for any other use.
(d) The Licensee:
(i) must only use and occupy the Licensed Area;
(ii) may access other parts of the School in common with others and being solely those parts of the School required for the purpose of accessing the Licensed Area;
(iii) acknowledges that if the Licensed Area includes external areas (for example, playgrounds and ovals), School amenities, kitchen facilities, car parks and/or staff facilities, these areas will be used and occupied together with other occupiers of the School; and
(iv) acknowledges that the School Council may grant its consent, which consent will be at the absolute discretion of the School Council, for the Licensee to use other areas of the School in addition to those listed in clauses 9(d)(i) to 9(d)(iii) solely for the purposes of the Licensee's use of the Licensed Area.
Use of Licensed Area. The Licensed Area shall be used by Licensee only for the provision of the Service. The Service shall mean and is limited to the installation and operation of a networking system including all related components, software, wiring and communications services as set forth in Exhibit A, whereby Guests in --------- separate Guest Rooms or Meeting Rooms at the Hotel will be able to connect Ethernet-capable laptop computers, servers, and other Ethernet-capable computer equipment to a network provided by Licensee. The Service shall allow networking and interoperation of computer equipment within the Hotels (respectively) and shall allow computers connected to the Licensee supplied network within the Hotels to access the public Internet through dedicated 1.5 Mbps T1 or greater telecommunications line provided by Licensee. No other Service or use of the Licensed Area is permitted without Licensor's prior written approval.
Use of Licensed Area. (a) If Dates and/or Days of Use are listed in Item 9 and/or Hours of Use are listed in Item 10, the Licensee may only use the Licensed Area during the Term on those dates, days and/or hours (as applicable).
(b) The Licensee acknowledges that no promise, representation, warranty or undertaking has been given by or on behalf of the School Council regarding the suitability of the Licensed Area for the conduct of the Permitted Use otherwise than as expressly contained in this Licence, or for any other use.
Use of Licensed Area. 8.1 The Licensee may use the Licensed Area only for the purpose set out in clause 2.
8.2 Except in the case of the Licensor’s wilful misconduct or negligence, the Licensor is not responsible for, or liable to, the Licensee for:
(a) Any loss or damage caused or sustained in any way to the Licensed Area, the Common Area or any equipment, fixtures, fittings, chattels and vehicles installed or located in the Licensed Area, the Common Area or the Pay by Use Area; and
(b) The theft or loss of any of the Licensee’s equipment, fixtures, fittings or chattels.
8.3 The Licensee acknowledges that the Licensee and all persons authorised by the Licensee to have access to the Licensed Area, the Common Area or the Property, do so at their own risk.
Use of Licensed Area. (a) Licensee shall have the privilege to use, exclusive to that of other licensees, the designated number of parking spaces within the Licensed Area for the Services, and shall not use the Licensed Area for any other purposes whatsoever.
(b) Neither Licensor nor Licensor’s agents or employees, and neither City nor City’s agent’s or employees, shall be liable for: (i) any loss or damage to any vehicle or personal property parked or located upon or within any portion Parking Facilities whether pursuant to this License or otherwise and whether caused by fire, theft, explosion, strikes, riots or any other cause whatsoever, or (ii) any injury to or death of any person in, about or around such parking spaces or elsewhere in the Parking Facility or any vehicles parking therein or in proximity thereto whether caused by fire, theft, assault, explosion, riot or any other cause whatsoever, and Licensee hereby waives any claims and releases Licensor and Licensor’s agents and employees from all liability arising out of loss or damage to property or injury to or death of persons, or both, relating to any of the foregoing.
(c) Licensor specifically reserves the right to change the size, configuration, design, layout and all other aspects of the Parking Facility and Licensed Area at any time and Licensee acknowledges and agrees that Licensor may, without incurring any liability to Licensee and without any abatement of License Fee under this License, from time to time, close-off or restrict access to the Licensed Area or Parking Facility for purposes of permitting or facilitating any such construction, alteration or improvements.
Use of Licensed Area. (a) No cooking or preparation of food which requires venting or produces odours shall be permitted in the Licensed Area and no electrical apparatus likely to cause overloading of electrical circuits shall be used therein.
(b) The Licensee shall not use or permit the use of the Licensed Area in such manner as to create any noises or odours objectionable or offensive to the Licensor or any other Licensee of the Project or any other nuisance or hazard or breach the provisions of Applicable Laws or any requirement of the insures of the Project.
(c) No musical instruments or sound producing equipment or amplifiers which may be heard outside the Licensed Area shall be played or operated on the Licensed Area.
Use of Licensed Area. 4.01 The Licensor grants permission to the Licensee and the Licensee shall have, during the Term and any renewal thereof, a right in the nature of a non-exclusive licence, as approved in advance by the Licensor as required in this Licensee Agreement and subject as hereinafter provided:
(a) to install and maintain Telecommunication Equipment in the Licensed Area. which Licensed Area shall be for the exclusive use of the Licensee.
(b) to cause to be made at its own expense all improvements reasonably required for the use of the 'Telecommunication Equipment to and from Customers and such improvements may include, but shall not be limited to:
(i) heating, air conditioning, walls, ventilation and electrical wiring in conduits and lines for Telecommunication in conduit; and
(ii) laying down and constructing conduits for wires and cables of all kinds including, without limitation, fibre optic cables in the Building, provided that Licensee completes this work in such a manner so as not to cause a nuisance or a disturbance to other occupants of the Building.
(c) subject to the Licensor's security procedures, to have access to the Licensed Area, 24 hours a day 7 days a week as are necessary for the installation, operation and maintenance of Telecommunication Equipment over those portions of the Building which are from time to time designated by the Licensor as being available for common access and egress for occupants of the Building such as driveways, walkways, hallways and exits and entrances. Access keys and combinations shall be provided by the Licensor to the Licensee at the Licensee's expense if and when the same are necessary and the Licensee shall return them to the Licensor at the end of the Term or any renewal thereof;
(d) to use the Licensed Area including the Telecommunication Equipment, only for the purpose of Telecommunication of Signals.
(e) if and so long as the Licensee, its successors, assigns or subsidiaries, lease premises in the Building during the Term or any renewal thereof for the purpose of Telecommunication, to connect to the Telecommunication Equipment by means of wires and cables including, without limitation, fibre optic cables to Licensee premises and Telecommunication Equipment; and
(f) to protect against damage the Telecommunication Equipment and other improvements permitted under this Section 4.01 in such manner as the Licensor may reasonably require; all at the sole cost and expense of the Licensee; but not to install or operate any...
Use of Licensed Area. 5.4.2.1. Before occupying a space within a Property, Contractor shall submit to the City an Addendum to this Agreement (an “Addendum”) in the form of Exhibit J attached hereto and incorporated herein, identifying the Property and depicting describing with specificity (including dimensions) the intended Licensed Area. If the GSD Director, in his or her sole discretion, consents to the use of the Licensed Area, the GSD Director shall execute the Addendum, and the Addendum shall become incorporated into and subject to the terms of this Agreement. Contractor also accepts and acknowledges the keys issued to Contractor are property of the City of Houston, General Services Department (GSD) Security Management Division, and agrees to the terms of the form attached as Exhibit K (“Key Agreement”). Contractor agrees to complete and execute the form contemporaneously with an Addendum.
5.4.2.2. Following the execution of this Agreement by the Mayor on behalf of the City, thereafter the GSD Director will have the right to act on behalf of the City to enter into written amendments to this Agreement and to add additional Licensed Areas to the Agreement.
5.4.2.3. Contractor represents and warrants that it shall use the Licensed Area only for the Permitted Use, and the Licensed Area shall not be used for any activity which is not supervised by Contractor. Contractor shall not change the Permitted Use without a written amendment to this Agreement signed by the City and Contractor.
5.4.2.4. Contractor shall comply with all applicable federal and state laws and regulations and City ordinances affecting the Licensed Area and/or the Permitted Use, and all rules and regulations promulgated from time to time by the City regarding the use and occupancy of the Property. Notwithstanding the foregoing, Contractor shall have no obligation to make any changes to the Licensed Area in order to cause same to be in compliance with the American with Disabilities Act or Texas Architectural Barriers Act.
5.4.2.5. Contractor shall not permit alcoholic beverages, illegal narcotics or any illegal substances on or in the Licensed Area.
5.4.2.6. Contractor shall not permit the number of its employees, agents, contractors, visitors and invitees admitted to the Licensed Area to exceed the number of persons that can safely and freely move about the Licensed Area, and applicable limits set by health and fire codes.
