Contractor Duties. 5.1 The Contractor will perform the following duties in regard to any student data it obtains:
5.1.1 Not disclose the information to any other party without the consent of the parent or eligible student;
5.1.2 Use the data for no purpose other than the work stated in this Agreement;
5.1.3 Allow the District access to any relevant records for purposes of completing authorized audits;
5.1.4 Require all employees, contractors and agents of any kind to comply with all applicable provisions of FERPA and other federal and California laws with respect to the data shared under this Agreement;
5.1.5 Designate in writing a single authorized representative able to request data under this Agreement. The authorized representative shall be responsible for transmitting all data requests and maintaining a log or other record of all data requested and received pursuant to this Agreement, including confirmation of the completion of any projects and the return or destruction of data as required by this Agreement. District or its agents may, upon request, review the records required to be kept under this section;
5.1.6 Maintain all data obtained pursuant to this Agreement in a secure computer environment and not copy, reproduce or transmit data obtained pursuant to this Agreement except as necessary to fulfill the purpose of this Agreement. All copies of data of any type, including any modifications or additions to data from any source that contains information regarding students, are subject to the provisions of this Agreement in the same manner as the original data. The ability to access or maintain data under this Agreement shall not under any circumstances transfer from Contractor to any other institution or entity;
5.1.7 Destroy or return all personally identifiable information obtained under this Agreement when it is no longer needed for the purpose for which it was obtained no later than 60 days after it is no longer needed. In the event Contractor destroys the PII, Contractor shall provide the District with certification of such destruction. Failure to return or destroy the PII will preclude Contractor from accessing personally identifiable student information for at least five years as provided for in 34 C.F.R. section 99.31(a)(6)(iv).

Contractor Duties. Contractor shall, and shall cause its Subcontractors to, comply with all Applicable Laws relating to Hazardous Material. Without limiting the generality of the foregoing: (a) Contractor shall, and shall cause its Subcontractors to, have a release prevention and response plan to contain and clean up any spills or emissions of Hazardous Materials by Contractor or its Personnel (such plan to be made available to Owner upon Owner’s request); (b) Contractor shall, and shall cause its Subcontractors to apply for, obtain, comply with, maintain and renew all Applicable Permits required of Contractor by Applicable Laws regarding Hazardous Material that are necessary, customary or advisable for the performance of the Work;

Contractor Duties. Contractor shall provide the Health and Fitness Assessment services for Participants as set forth below. Contractor shall keep participant data and test results confidential, and shall only share such participant data and test results with the Participant unless the Participant agrees to release this information to other parties (See Data Collecting and Reporting at D below). Contractor shall report and review data and test results with each Participant and assist the Participant in the development of personalized wellness goals based on these assessments. Contractor shall periodically submit to the City aggregate wellness assessment information, provided no individually identifiable participant data or test results will be made known to the City. This information will be used to determine the success of the program’s components. An additional measurement of the program’s success will be the number of voluntary Participants and their continued participation in the program. It is essential that the services provided by Contractor are comprehensive and offered at locations convenient for all employees to access.
Contractor Duties. Contractor represents and warrants the following:
1. No Current or Prior Conflict of Interest. That Contractor has no business, professional, personal, or other interest, including, but not limited to, the representation of other clients, that would conflict in any manner or degree with the performance of its obligations under this Agreement.
2. No Interpreter provided by the Contractor may interpret or translate for an individual who is a family member to the interpreter or one with whom the interpreter with whom has a financial relationship.
Contractor Duties. Subject to the survival of the Sections identified in Section 8.4.1 above, if this Agreement is terminated prior to expiration of the term specified in Article 2, this Agreement shall be of no further force or effect. Contractor shall transfer title to City, and deliver in the manner, at the times, and to the extent, if any, directed by City, any work in progress, completed work, supplies, equipment, and other materials produced as a part of, or acquired in connection with the performance of this Agreement, and any completed or partially completed work which, if this Agreement had been completed, would have been required to be furnished to City.

Contractor Duties. 3.01 The Contractor shall at all times maintain in a current and valid status, all permits required by any other governmental agency or political subdivision having jurisdiction over Contractor’s operations, including but not limited to the Texas Commission on Environmental Quality.
3.02 The Contractor shall not allow any municipal solid waste to spill or fall from the Contractor's equipment within the corporate limits of the Town. In the event that spillage should occur, the Contractor shall completely remove such spillage.
3.03 The Contractor shall insure that any of its trucks and equipment used for collection within the Town of Talty, and under this franchise, meet the approval of the Town. The Contractor agrees to only use trucks and equipment that will prevent spillage and damage to the streets and ways used by such trucks and equipment. Contractor shall also abide by any Town regulations with regard to the placement of collection containers if it becomes necessary to establish such regulations. Unless such regulations become necessary the Contractor shall establish such locations.
3.04 The Contractor shall clearly xxxx all of its collection vehicles with the Contractor's name, address and telephone number.
3.05 Contractor shall operate single axle (1 steering and 1 rear) trucks not exceeding 40,000 pounds gross weight. Trucks used for commercial and roll-off services may be tandem axle and may not exceed 60,000 pounds gross weight.
