Freedom of Information and Data Protection. 20.1. The Parties acknowledge that, in order to be compliant with the Freedom of Information Xxx 0000, the Environmental Information Regulations 2004, or any other legislation governing access to information (the ‘FOI Legislation’), there may be an obligation to provide information that relates to this Agreement, which may include Confidential Information, on request to third parties.
20.1.1. In the event that either Party receives a request for information relating to the Agreement falling within the scope of the FOI Legislation, that Party (the ‘Disclosing Party’) shall be entitled to disclose such information as is necessary to comply with the FOI Legislation. The Parties shall co-operate in order to enable the Disclosing Party to comply with its obligations under the FOI Legislation. Where Confidential Information relating to the Project is exempt from disclosure, it shall not be disclosed without the agreement in Writing of the owning Party.
20.1.2. The Disclosing Party shall not be liable for any loss, damage, harm or other detriment suffered by the other Party arising from the disclosure of any information required by the FOI Legislation to be disclosed.
20.2. AHDB maintains a database of its contracts including all those likely to have a value of £25,000 or more. AHDB recognises the importance of transparency in its procurement and contracting, and subject to any confidentiality obligations the contents of these contracts will be made available to interested persons on request.
20.2.1. The Parties acknowledge that, except for any information which is exempt from disclosure in accordance with the provisions of the FOI Legislation, the content of this Agreement is not Contractor’s Confidential Information. The Disclosing Party shall be responsible for determining whether any of the content of the Agreement is exempt from disclosure in accordance with the provisions of the FOI Legislation.
(a) Notwithstanding any other term of this Agreement, the Researcher hereby gives its consent for AHDB to provide or publish to the general public the Agreement in whole or part, as it may be amended.
(b) The Researcher shall assist and co-operate with AHDB to enable AHDB to provide or publish this Agreement, including by identifying any matters which it considers to be confidential or otherwise exempt from disclosure under the FOI Legislation. AHDB will take any representation from the Researcher into fair and proper account.

Freedom of Information and Data Protection. 4.7.1 The Parties shall each comply with the Freedom of Information Xxx 0000 (the ‘FOIA’) and any amendments thereto, except where a Party is not subject to the provisions of this Act (“Private Providers”). Each Party shall provide reasonable assistance and co- operation to the other Party to enable the other Party to comply with its obligations under the FOIA.
4.7.2 Subject to Clause 4.7.3, the Party in receipt of a request for information under the FOIA in relation to this Agreement shall as far as is reasonably practicable and to the extent that it is permitted to do so, inform the other Party of such request for information and shall consult with the other Party prior to disclosing any information.
4.7.3 The Party in receipt of a request for information will be solely responsible for determining whether any information, regardless of whether or not it is Confidential Information:
4.7.3.1 is exempt from disclosure in accordance with the provisions of FOIA; and/or
4.7.3.2 is to be disclosed in response to a request for information and any resulting disclosure by that Party shall be deemed not to be a breach of the confidentiality provisions in this Agreement.
4.7.4 Each Party agrees to comply with its obligations as set out in Schedule C (Data Protection) of this Agreement.
Freedom of Information and Data Protection. 18.1 The BID Company accepts that the Council is obliged to comply with the Freedom of Information Xxx 0000 (“the Act”) and the Code of Practice on the Act, and will assist the Council to comply with these obligations. This includes helping the Council comply with its obligation to respond to a request for information within 20 days of receipt; and providing information to the Council where the Council requests.
18.2 The Council is entitled to disclose information unless it believes that the information is exempt under the Act. Exemption may apply where, for example, information is provided in confidence; where the information is a trade secret; or where release is likely to prejudice commercial interests. The Council will decide, acting reasonably, whether information requested under the Act is to be disclosed or not. The Council will where reasonably practicable consult the BID Company and will consider any representations made by it. The Council shall not be liable for any loss or other detriment caused by the disclosure of any information in response to a request for information under the Act.
18.3 Both parties shall comply with the requirements of the Data Protection Legislation in the performance of their obligations and the exercise of their rights under this Agreement.
Freedom of Information and Data Protection. 11.1. The parties acknowledge that they are each subject to the requirements of the Freedom of Information Legislation, and they shall:
11.1.1. provide all necessary assistance and cooperation as reasonably requested by the other party to enable the other party to comply with its obligations under the Freedom of Information Legislation;
11.1.2. transfer to the other party all requests for information relating to that other party as soon as practicable and in any event within 2 Working Days of receipt;
11.1.3. provide the other party with a copy of all information belonging to that party requested in the request for information which is in its possession or as soon as reasonably practicable.
11.2. DC shall be responsible for responding to requests for information which relate to the provision of the Services or undertaking the Functions.
11.3. Each party acknowledges that the other party may be required under the Freedom of Information Legislation to disclose Information (including commercially sensitive information) without consulting or obtaining consent from the other party. The responding party shall take reasonable steps to notify the other party of a Request for Information (in accordance with the Cabinet Office's Freedom of Information Code of Practice issued under section 45 of the FOIA) to the extent that it is permissible and reasonably practical for it to do so but (notwithstanding any other provision in this Agreement).
11.4. The parties agree to comply with the provisions of Schedule 8 in relation to Data Protection.
Freedom of Information and Data Protection. You must observe Your obligations respectively under the Information Acts and under the common law duty of confidentiality and shall comply with all applicable laws, regulations, best practice and codes of practice relating thereto (and shall notify Us immediately of any significant departure from such legislation, regulations or codes).
Freedom of Information and Data Protection. 18.1 The Parties shall be entitled to publish and/or release any and all terms or conditions of this Agreement and/or the contents of any documents and/or information relating to the formation of this Agreement under the provisions of the Freedom of Information Xxx 0000 (FOIA) and/or the Data Protection Xxx 0000 (DPA).
18.2 Each party shall:
18.2.1 Co-operate and supply to the other all necessary information and documentation required in connection with any request received by the other Party under FOIA and the DPA;
18.2.2 Supply all such information and documentation to the other Party within 7 Working Days of receipt of any request at any pre-arranged or agreed costs.
18.3 Should either Party receive a request for information, they shall not publish or otherwise disclose any information contained in this Agreement or in any negotiations leading to it without the other Party’s previous written consent unless the Party wishing to disclose information is bound to publish and/or disclose such information under FOIA and/or the DPA.
18.4 The Parties shall comply with the Codes of Practice on the Discharge of Public Authorities’ Functions and on the Management of Records (issued under sections 45 and 46 of the FOIA respectively), and the Environmental Information Regulations 2004 as may be amended, updated or replaced from time to time and any other applicable codes of practice and guidance applicable from time to time to the extent that they apply to the functions of the Parties under the Agreement.
Freedom of Information and Data Protection. 17.1 The parties agree that they must comply with their duties under the Freedom of Information Xxx 0000, the Data Protection Xxx 0000 and the Environmental Information Regulations 2004 (“the Acts”).
17.2 Each party shall assist the other parties to this Agreement in meeting any requests for information made under “the Acts” that are connected to this Agreement or the goods and services provided under the Agreement and any statutory modification or re-enactment thereof.
Freedom of Information and Data Protection. 10.1 The Parties acknowledge that the Council is subject to the requirements of the Freedom of Information Xxx 0000 (FOIA) and the Environmental Information Regulations 2004 (EIR) and will assist and co-operate with the Council to enable the Council to comply with its information disclosure obligations.
10.2 The Parties agree that nothing in this Agreement will prevent the Council from disclosing any information, whether or not relating to a Programme or a Grant Funded Project, which the Council in its absolute discretion considers that it is required to disclose in order to comply with the FOIA and/or the EIR and any other statutory requirements whether or not existing at the date of this Agreement.
10.3 The LEP, although not legally covered by the Freedom of Information Xxx 0000 (FOIA) and the Environmental Information Regulations 2004 (EIR), will respond ordinarily to requests as if it were. In responding to such requests the Council will assist and co-operate with the LEP to enable the LEP to meet its voluntary commitment to information disclosure requirements.
10.4 The Parties will comply with their obligations under the General Data Protection Regulation and the Data Protection Xxx 0000.
Freedom of Information and Data Protection. 14.1 You acknowledge that NCVS may be required under the Freedom of Information Xxx 0000 (FOIA) to disclose information without consulting or obtaining consent from you. NCVS shall take reasonable steps to notify you of a request for information (in accordance with the Secretary of State's section 45 Code of Practice on the Discharge of the Functions of Public Authorities under Part 1 of the FOIA) to the extent that it is permissible and reasonably practicable for it to do so but (notwithstanding any other provision in this Agreement) NCVS shall be responsible for determining in its absolute discretion whether any information is exempt from disclosure in accordance with the FOIA.
14.2 You will comply with all applicable requirements of and all such obligations under the Data Protection Legislation which arise in connection with the Agreement. Such legislation to include the Data Protection Xxx 0000 and the Privacy and Electronic Communications Regulations 2003 (SI 2003/2426); and all other legislation and regulatory requirements in force from time to time in the UK which apply to a party relating to the use of Personal Data and the privacy of electronic communications. Any statistical analysis provided by NCVS to third parties will not contain any personal information or any information from which you can be identified.
Freedom of Information and Data Protection. 11.1 Each party shall provide such assistance and co-operation to the other parties as is necessary to comply with FOIA and the Environmental Information Regulations insofar as they apply to this Agreement, the Development Agreement and/or any Hosting and Support Agreement to which they are a party.
11.2 All parties shall comply with all relevant provisions of the Data Protection Legislation in the performance of their obligations under this Agreement.
11.3 In particular (but without prejudice to the generality of the foregoing) each shall:-
11.3.1 keep all Personal Data arising from or concerning the Agreement separate from all other data or databases stored by or under its control and only process it in accordance with the Agreement and/or as instructed by the relevant party in writing;
11.3.2 keep all Personal Data fully and adequately protected against improper use and/or disclosure by means of passwords and/or other access restrictions;
11.3.3 implement such technical organisational and practical security measures against unauthorised unlawful or improper processing of Personal Data as are necessary to enable the other parties to comply with the Data Protection Legislation; and
11.3.4 provide the other parties with such information as they shall reasonably request from time to time sufficient to demonstrate compliance by the obligations under the Data Protection Legislation and (without prejudice to the generality) this clause 11.
