MAINTENANCE BY LESSEE. Except as otherwise expressly provided below in Article 14, Lessee shall at its sole cost, risk and expense at all times keep the Premises, the Tank Farm Assets and the Improvements in good order and repair and make all necessary repairs thereto, structural and nonstructural, ordinary and extraordinary, and unforeseen and foreseen (ordinary wear and tear excepted). When used in this Section 7.2, the term “repairs” shall include all necessary replacements, renewal, alterations and additions. All repairs made by Lessee shall be at least equal in quality and class to the original work. Lessor may (but shall not be obligated to) perform any repairs if Lessee fails to do so (following Lessor’s notice to Lessee and Lessee’s opportunity to cure such failure pursuant to Section 13.11(b) hereof, except in the event of an emergency situation), in which event Lessee shall reimburse Lessor for all reasonable costs and expenses incurred by Lessor in connection therewith.

MAINTENANCE BY LESSEE. Lessee, subject to Sections 9, 10, and 20, at its cost shall keep the Demised Premises and the fixtures and equipment therein in clean, safe and sanitary condition, will take good care thereof, will suffer no waste or injury thereto, and will, at the expiration or other termination of the term of this Lease, surrender the same, broom clean, in the same order and condition in which they are on the Commencement Date, ordinary wear and tear and damage by the elements, fire and other casualty not due to the intentional or negligent acts or omissions of Lessee or Lessee's agents, employees, contractors, licensees or invitees, excepted; and upon such termination of this Lease, Lessor shall have the right to re-enter and resume possession of the Demised Premises. It is hereby understood and acknowledged by the parties hereto that, except as expressly set forth in the Lease, Lessor is leasing the Demised Premises to Lessee in "as is" condition with all faults, and that Lessor has made no representations respecting the conditions of the Demised Premises or the Property not expressly contained herein. Except as expressly set forth herein, Lessor shall have no liability to Lessee or any of Lessee's directors, officers, employees, agents, contractors, licensees or invitees arising from the condition of the Property or the Demised Premises, and Lessee shall defend, indemnify and hold Lessor harmless from and against any claims, causes of action, damages and liability arising therefrom. The foregoing indemnity shall be deemed to survive the expiration of this Lease.
MAINTENANCE BY LESSEE. Lessee shall, at its expense, maintain, repair, clean, and keep in good care and condition the entire Premises and appurtenances thereto, including but not limited to, the interior of the Premises, the exterior of the Premises, the roof of the Premises, all doors and windows of the Premises, all heating, ventilating, plumbing, air conditioning, electrical systems, communication and data transfer systems, and mechanical systems, all structural aspects of the Premises, interior and exterior walls, parking lots, sidewalks, landscaping, and shall keep the same in good repair free from filth, mold, overloading, danger of fire, nuisance, or infestation of pests or vermin. Lessee shall maintain and replace any plate glass, windows, glass doors, or other glass in the building. Lessee shall conduct a continuing program of preventive maintenance covering the walls, roof, doors, windows, interior and exterior of the Premises, and all heating, ventilating, plumbing, air conditioning, electrical systems, communication and data transfer systems, and mechanical systems in the Premises, including but not limited to regular service and maintenance by competent tradesmen. Lessee shall be solely responsible for the care, control and maintenance of inside air quality in the Premises. Lessee shall not permit any waste of the Premises. At the expiration or other termination of this Lease, Lessee shall return the premises to Lessor in a clean condition and in as good condition as when received by Lessee, except only for normal wear and use, damage by fire, explosion or other insured casualty. Lessee shall, at its expense, keep the sidewalks, parking lots, and lawns and landscaped areas of the Premises in a clean condition from debris. Lessee shall, at its expense, maintain in good repair the parking lot and sidewalk areas. Lessee shall, at its expense, provide for snow and ice removal, grass mowing, and landscaping maintenance. If Lessee fails to do anything required of Lessee in this paragraph within a reasonable time, Lessor may, at Lessor's option, perform the same at Lessee's expense.
MAINTENANCE BY LESSEE. Subject to the foregoing obligation of Lessor and further subject to the provisions of Paragraph 23 of this Lease, Lessee agrees to take good care of the premises and appur- tenances thereto, and to keep them in good repair and sanitary condition, free from filth, and hazardous substances, overloading, danger of fire, or any pest or nuisance, and to keep all mechanical systems in good working order. Lessee shall conduct a continuing program of preventive maintenance covering such mechanical equipment, including regular service and maintenance to heating and air conditioning equipment by competent tradesmen and shall furnish Lessor evidence of such maintenance upon request. Lessee shall not permit any waste of the premises. At the expiration or other termination of this Lease, Lessee shall return the premises to Lessor pursuant to the terms of this Lease, broom clean, and in good and sanitary order, condition and repair, except for such wear and tear as would be normal for the period of Lessee's occupancy and except for damage by fire, explosion or other insured casualty. If Lessee fails to do anything required of Lessee in this paragraph or elsewhere in this Lease within a reasonable time, Lessor may, at Lessor's option, perform the same at Lessee's expense. (SEE ADDITIONAL PARAGRAPH 11A.) No spill, deposit, emission, leakage or other release of hazardous substances on the premises shall be deemed to be "wear and tear as would be normal for the period of Lessee's occupancy". Lessee shall be responsible to promptly and completely clean up any such release caused by Lessee, its employees, agents, contractors and invitees as shall occur on the premises during the term of this Lease and shall surrender the premises free of any contamination or other damage caused by such occurrences during the term of this Lease.
MAINTENANCE BY LESSEE. Normal wear and tear excepted, Lessee shall keep and maintain the leased premises in good order, condition and repair, and except as provided in Paragraph 9 (a) above, Maintenance by Lessor, and Paragraph 12, FIRE AND CASUALTY, shall diligently provide all maintenance and promptly make all repairs or replacements becoming necessary during the term of this lease including, but without limitation, maintenance, repairs or replacements of windows, doors, glass or plate glass (which shall be replaced with glass or plate glass of the same size or quality), light bulbs and tubes, electrical, fire sprinkler, plumbing and sewage lines and fixtures within the leased premises, and all heating, air conditioning and ventilating equipment and ducts and vents attached thereto, including any of such equipment which may, with Lessor’s consent, be mounted on the roof of the building, all interior walls and finish work, floors and floor coverings, ceilings, interior downspouts, all dock lifts, dock conveyors, dock bumpers, truck doors, fire extinguishers and building appliances of every kind. Provided, however, at Lessor’s option. Lessor may contract for the preventative maintenance of the heating, ventilating and air conditioning system for the benefit of Lessee, and Lessee hereby agrees to pay Lessor’s contractor or to Lessor, the total annual cost of such maintenance as soon as such sum is determined and billed to Lessee. Nothing herein is intended to relieve Lessee from, and Lessee agrees to be responsible for the maintenance and repair or replacement of the heating, ventilating and air conditioning system. Lessee shall pay prorata charges for maintenance and repair of the common areas including landscaping, exterior irrigation, paving, signage and external lighting systems, interior common areas (if any) including restrooms, corridors and elevators, and of all exterior gutters and downspouts, exterior building appliances and common electrical, water and sewage lines. Included in the costs of such common area maintenance shall be the costs of any management fees paid by Lessor on the project, provided such fees do not exceed the market rates for such services. Lessee shall keep the leased premises, sidewalks and loading areas adjacent thereto clean and free of all dirt and refuse. MAINTENANCE BY LESSEE. Lessee shall, at its own cost and expense, keep and maintain the Premises in good order and repair, and in a safe, clean and sanitary condition. Lessee shall perform and maintain all of the maintenance and repairs on, in, or around the Premises at its own cost and expense. Lessee, at its own expense, shall also repair all deterioration, destruction, or harm to the Premises that is not the fault of or caused by Lessor.

MAINTENANCE BY LESSEE. Lessee assumes full responsibility for operation and maintenance and repair of the Premises throughout the Term at its sole cost, and without expense to Lessor. MAINTENANCE BY LESSEE. LESSEE shall keep the Leased Premises reasonably clean, and upon the termination of this Lease, LESSEE shall return the Leased Premises to LESSOR, in the same condition as at the commencement of the term of this Lease, except for authorized alterations and improvements; reasonable wear and tear and other loss, damage or injury caused by fire or other casualty beyond the reasonable control or prevention of LESSEE. Except as otherwise expressly provided in this Lease, LESSEE shall be responsible for the full cost of the maintenance, repair and replacement of the interior and exterior of the Leased Premises, including without limitation: the interior walls and wall coverings; floor coverings; plumbing and fixtures; electrical wiring and fixtures; heating, ventilating and air conditioning systems; windows and doors (including glass breakage); loading dock and all mechanical equipment serving the Leased Premises. LESSEE shall also be responsible for its proportionate share of any necessary maintenance, repair or replacement of the sidewalks, driveways, parking lots, common rail facilities, lawn, landscaping and common area maintenance, including lawn maintenance and snow removal. LESSEE shall also be responsible for any maintenance, repairs or replacements necessitated as a result of the negligence or willful acts of LESSEE or LESSEE'S employees, agents, contractors, permittees, customers, guests and invitees. Notwithstanding anything contained herein to the contrary, LESSEE shall not be responsible for any maintenance, repairs or replacements caused by the negligence or willful acts of LESSOR or any other tenant, or their respective employees, agents, contractors, permittees, customers, guests and invitees.
MAINTENANCE BY LESSEE. Lessee will keep the Premises and its fixtures and equipment in clean, safe and sanitary condition, and will, at the termination of the Lease, surrender the Premises clean and in the same order and condition in which they were on the commencement of the Term of the Lease, ordinary wear and tear excepted. Any and all damages to the Premises and its fixtures and equipment will be the sole responsibility of Lessee and the Security Deposit shall be applied against damages. Lessor shall have no obligations to make any repairs, improvements or alterations whatsoever to the Demised Premises and to the executive office complex except as hereinafter specified. During the term of the Lease, Lessor shall maintain the interior common area of the executive office complex. In addition, Lessor, shall provide to the executive office complex furnished reception area, mail area, secretarial services on a first come, first serve basis, common area maintenance services between the hours of 9:00 a.m. to 5:00 p.m. Monday through Friday (except legal holidays) and janitorial services to be done after business hours. Lessor shall not be required to make any repairs or perform any maintenance to any area of the executive office complex which are required by, related to, or arise out of negligence, fault or misfeasance of the Lessee, its employees, agents, and invitees, licensees, or customers, in which event, the Lessee shall be responsible therefor.
