Management and Personnel. 16.1 Each Party, including the Company, shall keep all information which it obtains concerning the Business, affairs or assets of the Company strictly confidential and shall not, and shall procure that their respective officers, employees, agents and auditors do not, without the prior written consent of all the other Parties, disclose any of the above information to any third party except:
(a) if required to make such disclosure by any court of competent jurisdiction or in order to enforce any rights under this instrument in any proceedings;
(b) pursuant to any court order;
(c) pursuant to any law or regulation having the force of law;
(d) pursuant to any requirements of the Australian Stock Exchange Limited;
(e) in circumstances where the information has come within the public domain otherwise than by reason of a breach by one of the Parties of the provisions of this Clause;
(f) to a bona fide intending purchaser of at least 5% of any class of Shares or to a bona fide intending director provided such purchaser or director agrees to observe the confidentiality provisions of this Clause;
(g) in the normal and ordinary course of the Business of the Company;
(h) pursuant to any other contract or legal obligation upon the Company;
(i) nothing in this Clause shall prohibit a Director from providing information to his appointor; or
(j) nothing in this Clause shall prohibit any Shareholder from disclosing the information, on a confidential basis, to employees or officers of any Related Body Corporate of that Shareholder to the extent as is reasonably required to satisfy any reporting obligations that Related Body Corporate has to the ultimate beneficial owner of the Shares.
Management and Personnel. Your Rubio's Store must be personally managed on a full-time basis by a person who has successfully completed all training required by us and meets all of our other then-current standards. Although we don't require it, we strongly recommend that you personally manage your Rubio's Store on an "on-premises" basis: absentee ownership is not recommended by us and exposes you to a greater risk of failure than if you are personally involved, on a full time basis, in the on-site daily management of your Rubio's Store. Training for the first Rubio's Store manager is included in the New Store Opening Fee but you'll be responsible for all travel, meals, lodging and similar costs for all persons attending training and we may charge a reasonable training fee for training subsequent Rubio's Store managers. You'll keep us advised of the identities of the manager and other supervisors of your Rubio's Store, and we'll have the right to deal with the manager on matters pertaining to day-to-day operations of, and reporting requirements for, your Rubio's Store. We reserve the right to review any agreements between you and your manager and to require the manager to sign confidentiality, noncompetition and other agreements acceptable to us. We strongly recommend, but do not require, that the manager of your Rubio's Store have a profit participation in your Rubio's Store. You'll hire all employees of your Rubio's Store and will be solely responsible for their supervision and possible termination, the terms of their employment and compensation and for the proper training of such employees in the operation of your Rubio's Store. You'll establish and maintain at your Rubio's Store an ongoing training program, meeting our standards, for new and continuing employees.
Management and Personnel. X 2.1 Review of management structure, and assessment of strengths and weaknesses of members of management team, with the objective of making recommendations regarding improvements to the management team of Company.
X 2.2 Assistance with recruitment of directors, advisory board members, officers, managers, and other key personnel, with the objective of assisting Company assemble a management team appropriate for the successful execution of Company's Business Plan.
X 2.3 Review of Company's compensation of directors, advisory board members, officers, managers, and key personnel, including review of Company's incentive plan, with the objective of assisting Company with the development and implementation of compensation and incentive arrangements appropriate for the successful execution of Company's Business Plan.
X 2.4 Review of Company's employment agreements, employee non-disclosure and inventions agreements, and other agreements with employees, with the objective of assuring that Company's contractual relationships with its employees are appropriate.
X 2.5 Review of Company's employee benefits program, employee policies, recruiting procedures, employee manuals, and the like, with the objective of establishing appropriate employee benefits policies and procedures.
Management and Personnel. Vendor shall adhere to the following requirements regarding its management and non‐management personnel.
3.1.1 All management and non‐management employees that work in the University’s Dining Services Program shall be Vendor’s and/or Vendor’s subcontractor’s employees, not University employees. It shall be Vendor’s responsibility to inform all of its employees that they are clearly Vendor employees, and not employees of University.

Heritage Investments will provide asset management and property management for California Splash, LLC, which will be responsible for the following duties: - Payroll - Accounts Payable - Providing tax information to the Accountant - Coordinating with operational management regarding safety, insurance issues, and staffing - Act as a liaison between Aquatic Amusement Management Group and the California Splash Board of Directors Key personnel are as follows
Management and Personnel. The Contractor must only employ personnel who are proficient in performing custodial services using modern equipment, methods, and techniques. All custodial personnel must present a neat, clean, and well- groomed appearance and be of good moral character. The Westwood Community School District reserves the right to require the replacement of any Contractor's employee whose deeds or conduct is determined, by the Westwood Community School District to be detrimental to the safe, secure and sanitary operation of District.

You agree that at all times you will employ on terms reasonably satisfactory to us a General Manager (the "Manager") who shall have principal operational responsibility for the Franchise and who shall have such qualifications and experience as we shall reasonably require and who shall have completed our training program. You agree to hire all employees to maintain a neat and clean appearance and to conform to the standards of dress and/or uniforms that we specify from time to time for Yes delivery personell. You shall not recruit or hire any of employee of the Company nor any employees of any Yes franchise operated by us or by a Yes licensee without obtaining our prior written permission or the prior written permission of the other licensee unless six months have expired since such employee's termination of employment with us or the licensee.
Management and Personnel. You shall employ a sufficient number of qualified, competent individuals to satisfy the demand for products and services offered by the Franchised Business. You shall hire all employees of the Franchised Business, and be exclusively responsible for the terms of their employment and compensation, and for the proper training of such employees in the operation of the Store, in human resources and customer relations. You shall employ only suitable individuals of good character and reputation who will at all times conduct themselves in a competent and courteous manner in accordance with the image and reputation of URBAN AIR TRAMPOLINE PARKTM and the System and, while on duty, each employee shall comply with the dress attire, personal appearance and hygiene standards set forth in the Manual. You shall use best efforts to ensure that your employees maintain a neat and clean appearance and render competent and courteous service to all customers and are courteous and respectful to fellow employees.

Management and Personnel. End User management shall participate on a timely basis with respect to key decisions and ongoing strategic direction related to each Service. End User’s personnel shall be reasonably available to the extent necessary or appropriate to assist Vendor with respect to technical and other issues related to each Service. End User shall be responsible for the timely resolution of issues identified by Vendor as outside the scope of any Service contemplated hereunder. Vendor may be able to provide assistance with such matters on a billable basis as requested.
