OBLIGATIONS OF AFFILIATE. (a) Affiliate shall, at its own cost and expense, receive the Subscribed Channels from designated satellites and retransmit the Subscribed Channels to the Subscribers through its Permitted Digital Distribution Platform (either directly or through authorized Cable Operators) to the Subscribers in the Territory.
(b) Affiliate shall raise monthly invoices on the Subscribers towards subscription of the channels (from amongst the Subscribed Channels) and Affiliate shall collect such invoiced monthly fees from the Subscribers. It is however clarified that irrespective of Affiliate’s collection of the invoiced monthly amounts from the Subscribers Affiliate shall pay the Monthly License Fee to the Authorized Representative in a timely manner.
(c) In case the Affiliate obtains any of the Remunerative Incentive Plan, then the Affiliate shall ensure that it shall throughout the Term of the Agreement comply in full with the respective terms and conditions for obtaining benefits under the applicable Remunerative Incentive Plan(s) chosen by the Affiliate.
(d) Affiliate shall obtain from the Broadcaster and/or the Authorized Representative and/or the appointed agencies (as informed by Broadcaster, through the Authorized Representative to Affiliate from time to time), the EPG/FPCs for the Channels and ensure that such EPG/FPCs are displayed on the EPG of Affiliate’s Permitted Digital Distribution Platform.
(e) Affiliate shall, in a non-discriminatory manner, ensure retransmission of such high quality encrypted signal of the Subscribed Channels to the Subscribers as are equal to or better than other channels of the same genre on Affiliate’s Permitted Digital Distribution Platform.
(f) Affiliate shall take all necessary action to prevent unauthorized access of the Subscribed Channels through its Permitted Digital Distribution Platform and shall regularly provide to the Broadcaster, through the Authorized Representative, with updated piracy reports.
(g) Affiliate shall ensure that none of the Subscribed Channels shall be disadvantaged or otherwise treated less favorably by Affiliate with respect to competing channels on a genre basis.
(h) Affiliate agrees to provide to the Authorized all required details in terms of the Customer Information Update Form, as is set forth in Annexure M of this Agreement.

3.1 Provide facilities suitable for fulfillment of the course objectives for the Clinical/Occupational Experience, as mutually agreed upon by the parties.
3.2 Determine, upon mutual consideration and agreement, the maximum number of Students to be assigned to the Facility for each Clinical/Occupational Experience and the schedule for each Clinical/Occupational Experience.
3.3 Where applicable, select patients for Student assignments required by the Clinical/Occupational Experience. The Facility may, at its discretion and at any time, make changes in the selection of patients for Student assignments.
3.4 Within normal limits imposed by the institutional setting and space constraints of the Facility, provide conference rooms, lockers and storage space for the Clinical/Occupational Experience as appropriate.
3.5 Permit Students to use cafeteria facilities at their own expense, if available to Affiliate employees.
3.6 Where available, permit Students to utilize parking spaces. If parking at an Affiliate Facility charges employees for the use of such parking spaces, Students shall be responsible for the payment of such parking fees.
3.7 Where available, permit Students to use the library and research materials for research and study, if available.
3.8 Orient Students to the Facility and provide information regarding the Facility's rules, regulations, policies and procedures.

3.9 Provide patient(s) selected by Affiliate to participate in the Clinical/Occupational Experience with and obtain signature from patient(s) on the “HIPAA Privacy and Authorization Release Form” attached hereto as Exhibit C. Affiliate acknowledges that Students and Faculty Members will utilize the technology generally described in Paragraph 1.2 of this Agreement to create and review audio and video recordings of counseling sessions for purposes of instructions and grading the Student’s performance during the Clinical/Occupational Experience. Affiliate will make disclosures to patient and obtain all authorizations and consents from patient as may be required by this Agreement or otherwise by law, regulation, or its policies and procedures.
3.10 To the extent Affiliate receives education records or otherwise becomes aware of information from education records directly related to a Student and protected by the Family Educational Rights and Privacy Act of 1974, 20 U.S.C. § 1232, as amended (popularly known as “FERPA”), and other laws with respect to its activities under this A...
OBLIGATIONS OF AFFILIATE. 3.1. The Affiliate agrees to:
(a) operate and manage the Affiliate strictly in accordance with the Constitution;
(b) comply with the DUSA Clubs Charter, the DUSA Rules, the DUSA Club Membership Terms & Conditions and the DUSA Club Manual;
(c) comply with all of the Affiliate’s legal obligations, including ensuring that it reports to Consumer Affairs Victoria as required;
(d) comply with all reasonable directions of DUSA (which may include providing DUSA with documents, information and other details to demonstrate the Affiliate’s compliance with its own legal obligations and with this Agreement);
(e) ensure that each member of its Executive holds, for the duration of their term of office:
(i) a current DUSA membership ; and
(ii) a current Affiliate club membership.
3.2. Without limitation to clause 3.1, the Affiliate must ensure that each member of its Executive will:
(a) at all times act responsibly and with proper regard to the health and safety of members of the Affiliate and third parties in planning and holding the Affiliate’s events and activities; and
(b) not do anything (or omit to do anything) that is prejudicial to the interests of DUSA or the Affiliate, or which may bring DUSA or the Affiliate into disrepute.
OBLIGATIONS OF AFFILIATE. AFFILIATE's obligations under this Agreement shall include:
OBLIGATIONS OF AFFILIATE. Affiliate hereby warrants and represents that:
3.1 Affiliate will not use SPAM emailing, or other email practices which result in complaints from potential customers.
3.2 Affiliate will not email communications to potential customers who have not actively opted into email communications from the Affiliate.
3.3 Affiliate will ensure that all postings to newsgroups, blogs, and forums will be in keeping with the rules of our Websites.
3.4 Affiliate will not alter any aspect of the property accessed via the Customer associated with Us, including but not limited to; HTML code, cookies, appearance.
3.5 No intellectual property used by Affiliate in the promotion of our brands will infringe the rights of any third party. This includes trademarks, slogans, logos and other creative collateral.
3.6 The Affiliate will not provide, or appear to provide, any Customers with any advice or recommendation relating to any products or services offered Us.
3.7 The Affiliate will comply with the Financial Services Act 2000, The Data Protection Act 1998 and any other applicable rules and legislations.
3.8 The Affiliate agrees to fully and without reservation assist Us in the event of any complaint being received against either the Affiliate or Us.
3.9 The Affiliate will immediately inform Us of any circumstances that could have a detrimental effect on Our reputation or standing. Examples of such events include any criminal convictions either held, or investigation pending, or any sanctions imposed by The Financial Services Authority relating to any person employe d or in control of the Affiliate.
3.10 Any breach of this Section by Affiliate will result in immediate cancellation of the Affiliate account and Affiliate will forfeit any Commissions, both pending and awarded. It is at the sole discretion of Us whether these warranties have been breached.
