Payment and Services. During the Advisory Period, the Company shall pay to Executive an annual compensation equal to one-half of his Salary during the last twelve month period of Executive’s employment (“Advisory Compensation”), to be paid in equal monthly installments on the fifteenth (15th) day of each month. While receiving such Advisory Compensation, Executive shall, at all reasonable times, to the extent his physical and mental condition permits, be available to consult with and advise the Company’s officers, directors and other representatives. If Executive’s physical or mental condition prevents him from fulfilling his consulting or advisory duties, Executive shall still be entitled to the Advisory Compensation during the entire Advisory Period. The parties agree that this advice and counsel shall not entail full time service and shall be consistent with Executive's retirement status

While receiving such Advisory Compensation, Employee shall at all reasonable times, to the extent his physical and mental condition permits, be available to consult with and advise the Company's officers, directors and other representatives. If Employee's physical or mental condition prevents him from fulfilling his consulting or advisory duties, he shall still be paid the Advisory Compensation during the entire Advisory Period.

Payment and Services. The City agrees to, and shall pay to the County, funds not to exceed $15,000 for the period January 1, 2011 through September 30, 2011 for the purpose of reimbursing the Xxxxxx County Sheriff’s Office for overtime hours incurred working on potential human trafficking cases. Reimbursement of law enforcement overtime costs will be limited to cases being investigated by the Austin/Xxxxxx County Human Trafficking Law Enforcement Task Force. The overtime rate charged by the County will be consistent with the actual rate received by the officer assigned to the investigations. The investigation of potential human trafficking cases must be consistent with current state and federal laws and guidelines. The County agrees to, and shall make available, a Xxxxxx County Deputy Sheriff to work jointly with the Austin/Xxxxxx County Human Trafficking Law Enforcement Task Force in cooperation with the Office of the United States Attorney for the Western District of Texas in the investigation and prosecution of human trafficking cases. The Parties agree that that the Xxxxxx County Sheriff’s Office will assign a Deputy Sheriff to represent the County on the Law Enforcement Task Force, and that any changes in the County’s said participation will be discussed with the Task Force. The Parties further agree to communicate with each other regarding issues of work performance and to resolve such issues by mutual agreement.
Payment and Services. LICENSEE will pay Organizer no amount for the use of one license of the Field Wizard (FW) management console and up to 25 licenses of the Field Operator (FO) mobile application, each for a 30 day period. The license period will begin on date of transmission by Organizer of access credentials and conclude on 30 calendar days thereafter (the “Period”).

Payment and Services. If the Executive's physical or mental condition prevents him from fulfilling his consulting or advisory duties, he shall nevertheless be paid the Severance Compensation as provided for in this Paragraph 4(a). During the aforesaid period, the Company shall reimburse Executive for all out of pocket travel and expenses related to Company business, provided that such expenses are incurred at the request of the Company.

(a) In consideration for your release set forth in paragraph 3 of this Agreement and your obligations hereunder, Student Advantage shall pay you a salary continuance until the Termination Date, unless sooner terminated for cause at your annualized salary rate of $170,000 (One Hundred Seventy Thousand Dollars). The severance pay will be paid in accordance with Company policy and will be net of all customary deductions and withholdings (such as, taxes, required deductions and insurance costs, your 401(k) plan contributions), and shall commence with the Company's first regular payroll cycle following the Effective Date.
