Producer’s Responsibilities. Producer agrees to: a) Solicit applications for insurance policies and certificates of coverage issued by Payor or Company on behalf of Payor; assist applicants to truthfully and accurately complete their respective applications for insurance coverage; and submit such applications to Company promptly upon receipt of such applications from applicants. b) Remit all gross premiums and/or policy fees received or collected by Producer promptly to Company with a full and detailed statement. c) Refrain from accepting any premium from any applicant or insured with the exception of the initial premium and applicable fees collected with the application for coverage. d) Strictly comply with all underwriting rules, regulations and instructions contained in the rate books, manuals or any other written material of any Payor with which Producer is appointed, and to observe and comply with the insurance laws and regulations of the state or states in which Producer operates. In the event there is a dispute between the parties hereto as to the interpretation of Payor’s regulations or instructions, Company in its sole discretion shall resolve any such dispute. e) Provide prompt, courteous service to certificate / policy holders. f) Pay (without reimbursement from Company) all Producer license fees and/or any other related fees or taxes whether billed to Company or Producer. g) Provide Company with evidence of E & O coverage in such amounts and with such carriers as is reasonably acceptable to Company, if requested to do so. h) Obtain prior written or electronic approval from Company of all marketing materials, application forms, and advertising, used by Producer in connection with this Agreement. i) Remit an annual administrative processing fee to Company in the amount of $20.00. Company may deduct this annual administrative processing fee automatically from Producer’s commissions. j) Maintain current mailing address and contact information for Company’s benefit. k) Keep records in such form as is reasonably required by Company and/or required under applicable laws and regulations.

Producer’s Responsibilities. (a) Provided Agent is not in breach of any of its obligations under this Agreement, Producer shall: (i) supply Agent without charge with reasonable quantities of its regular promotional materials relating to the Products, including safety and technical data sheets, bulletins and such other data as Producer may from time to time have for promotional purposes; (ii) provide Agent with reasonable technical assistance; (iii) provide Agent with reasonable assistance to address and resolve customer complaints; (iv) fulfill sample requests of existing and potential customers in the Trading Area; and, (v) prepare and maintain, and submit to the Agent on a monthly basis, all documentation and reports reasonably required from time to time to be prepared, maintained or submitted, including but not limited to, the following: customer, sales, freight and inventory data regarding the Products, pricing and volume data, and call reports regarding visits to existing and potential customers in the Trading Area, all in such form and at such times as Agent may from time to time reasonably request. (b) Producer shall conduct its business in a professional and ethical manner, and in compliance with all applicable laws including, without limitation, those pertaining to taxes and the prohibition of corruption, bribery and the offering of inducements to public or semi-public officials, including the United States Foreign Corrupt Practices Act.
Producer’s Responsibilities. (a) Provided Distributor is not in breach of any of its obligations under this Agreement, Producer shall (i) sell the Products to the Distributor as provided in this Agreement; (ii) supply Distributor without charge with reasonable quantities of its regular promotional materials relating to the Products, including safety and technical data sheets, bulletins and such other data as Producer may from time to time have for promotional purposes; (iii) provide Distributor with reasonable technical assistance; (iv) provide Distributor with reasonable assistance to address and resolve customer complaints; and, (v) fulfill sample requests of existing and potential customers in the Trading Area. Producer’s Responsibilities. The Producer shall: at its own expense provide the Production for Performances at the times detailed in the Specific Terms, safely, responsibly and to a first-class professional standard, including the provision of a full and efficient company capable of presenting the Production to a high standard and including the Named Artists; (unless agreed otherwise in writing) for Productions in the Lyric theatre, in the event that any member of the company named in the Agreement shall be unable to perform for any reason, provide a suitable and efficient understudy or deputy to the satisfaction of the Company and failure to do so shall be a material and irremediable breach of this Agreement. Any costs, losses, damages and expenses incurred by the Company as a result of such a cast change will be recharged to the Producer, plus a reasonable administration charge; procure that appropriate members of Producer Personnel (including if required performers, Named Artists and creative team members) are available for such learning, outreach and audience development events or engagements as may be agreed between the Parties; provide and maintain all properties, costumes, scenery, furniture, special effects, band parts and instruments for the Production in first class condition and be responsible for the safe and proper fit-up of the same in the Theatre; only if expressly required under the Specific Terms to provide an interval, ensure that each Performance includes an interval which shall be at least 15 minutes in duration, it being agreed that if any Performance does not, for any reason (other than the Company’s breach) include an interval, the Producer shall reimburse the Company for its lost income (as calculated by the Company acting reasonably) plus a reasonable administration fee; obtain at its own expense and before the first Performance all necessary licenses, rights and permissions for the Production, including those for any child performers, and provide any authorised chaperones which may be required; pay all sums due to the Company pursuant to this Agreement in accordance with the terms of this Agreement; provide to Company by the dates set out in the Specific Terms (or if not stated then at the earliest possible opportunity): lighting plots and requisitions for technical staff; if reasonably possible, a film of the Production as it is to be performed (for Company’s internal use and for the preparation of assisted Performances only); if requested by Company, a copy...

Producer will promote this podcast series to their mailing list, as well as send out email reminders podcast is free via telephone and webcast, with weekend replays via audio recording. Audience Members will be given the opportunity to purchase your Speaker Special Offer. Producer and Speaker will share all proceeds of sales 50/50 from all mailing lists minus merchant account and admin fees of 5%, which is shared equally between both parties at 2.5%. Producer’s Responsibilities. The Producer agrees to implement eligible agricultural management practices approved by ESMC and to use the Portal to accurately record data that documents Environmental Benefits associated with the Producer’s use of the Property. Producers will not pay to participate in the Program or be required to purchase any inputs to participate in the Program. Producer understands and acknowledges that participation in the Program requires compliance with ongoing requirements to enable ESMC to generate Credits and to sell them at favorable market values. Producer’s Responsibilities. PRODUCER agrees to: provide to BION information, including previous reports, plans, and any other data in the possession or control of the PRODUCER relative to the WORK; give prompt written notice to BION whenever PRODUCER observes or otherwise becomes aware of any development that affects the WORK or timing of BION'S services; designate a representative having authority, to give instructions, receive information, define PRODUCER'S policies, and make decisions with respect to the WORK; bear initial and ongoing expenses (including, but not limited to, field and laboratory tests and surveys) for obtaining any and all approvals and permits from public agencies or authorities; bear the cost of all surveying, soils investigation, engineering services, equipment, materials, and construction required to design, install and operate the Bion NMS including electrical power and equipment maintenance and replacement; physically operate and maintain the Bion NMS and its associated equipment as described in the operations and maintenance manual to be supplied to PRODUCER, and bear all sampling, analysis, and reporting costs for monitoring of the Bion NMS as required by the appropriate regulatory agencies (failure to operate and maintain the Bion NMS and associated equipment may result in bio-solids of lessened or no value and relieve BION of any responsibility for harvesting and disposition of such bio-solids); and, keep all human wastes and toxic and hazardous wastes out of the Bion NMS including but not limited to all domestic wastewater from showers, toilets, sinks, and any needles, syringes, or any veterinary wastes (cleaners, detergents, and disinfectants approved for use in normal operation of the facility will not be considered toxic or hazardous wastes).
