QUOTATIONS AND PRICE. 4.1 Any quotation in relation to the Goods issued by the Company is an estimate of the cost of the Goods only and does not constitute an offer by the Company unless stated to be an offer by the Company in writing. Any quotation may be withdrawn or altered by the Company without notice. Nothing in this Contract, or any verbal representation, shall oblige the Company to make an offer to the Purchaser, or to honour any quotation that has been altered or withdrawn by the Company. 4.2 If the Company does not alter or withdraw a quotation, then it is valid for the period stated on the quotation. If no period is stated on the quotation, then it is valid for a period of 30 days from the date of the quotation. Nothing in this Contract, or any verbal representation, shall oblige the Company to extend or honour any quotation which has expired in accordance with the terms of this clause. 4.3 To the extent that an Order made by a Purchaser is inconsistent with a quotation issued by the Company, including noting additional requirements or specifications not included or noted in the Company’s quotation, the Company is not obliged to honour any additional requirements or specifications not included or noted in the Company’s quotation. If the Company does honour any additional requirements or specifications not included or noted in the Company’s quotation, then the Company may apply reasonable additional charges as appropriate, and such additional charges shall form part of the Price.

If no period is stated on the quotation, then it is valid for a period of 30 days from the date of the quotation. 4.3 The Price of the Goods: (a) is the amount, confirmed by the Company, that the Purchaser is required to pay to the Company to purchase the Goods; (b) excludes the cost of carriage; (c) includes the cost of packaging; (d) is GST exclusive. 4.4 The Price of the Goods: (a) is subject to reasonable adjustment by the Company to take into account any alteration in costs associated with the delivery of the Goods or (in the case of delivery by instalments) prior to the final delivery of the Goods; (b) can be increased by the Company without notice to the Purchaser if any government authority imposes any further duty, tax or fee in respect of the Goods or this Contract; and (c) the Purchaser agrees to pay to the Company any reasonable adjustment to the Price of the Goods the subject of clauses 4.4(a) or 4.4(b). 4.5 Any Price concession or discount the Company provides to the Purchaser is conditional on the Purchaser's full compliance with this Contract.
QUOTATIONS AND PRICE. Quotations for the price of Goods apply only to the specific Goods for that specific transaction and are governed by the terms of the Quote itself. QUOTATIONS AND PRICE. 1.1 Where, prior to submitting an Order (as that term is defined in clause 1.2) to the Company, the Customer requests a quotation of the Company’s proposed price of any specified Goods or Services, the Company will provide a schedule to the Customer setting out the Company’s quoted Prices for such Goods and Services (Quotation). In order for any price set out in any Quotation to be valid and binding upon the Company, the Customer must submit to the Company a true copy of that Quotation signed by the Customer (Accepted Quotation), together with a valid Order based on that Accepted Quotation and submitted in accordance with clause 1.1, no later than the expiry date specified in that Accepted Quotation and, if no expiry date is specified, then within 60 days of the date of the original Quotation. A Quotation shall not itself give rise to a binding contract, and the Company may withdraw any Quotation before such time as the Customer has placed a valid Order and the Company has accepted such Order. 1.2 Orders for Goods or Services must be placed by the Customer by completing in full the form provided for that purpose by the Company (Order) and submitting it to the Company together with any necessary plans and specifications and, where a Quotation has been supplied by the Company in accordance with clause 1.1, the Accepted Quotation. The Company reserves the right to reject any Order in its sole discretion. Once accepted by the Company, an Order, these Terms, any Accepted Quotation and any written payment terms relating to that Order, together with the terms of any Credit Application shall form part of the contract between the Customer and the Company (Contract) and the Customer is bound to pay the full Price (as that term is defined in clause 1.4) for the relevant Goods and/or Services ordered by the Customer from the time that the Company accepts the relevant Order. A separate Contract shall be formed with respect to each accepted Order. 1.3 Once a binding Contract has been formed, it cannot be cancelled by the Customer without the express written consent of the Company, and upon any such cancellation the Customer will be liable to pay the Company all costs and expenses incurred by the Company in fulfilling the relevant Order up to the date of cancellation. 1.4 The price payable by the Customer for any Goods or Services supplied by the Company pursuant to any Contract shall be the price: 1.4.1 set out in any applicable Accepted Quotation (Quoted Price); or 1.4...

QUOTATIONS AND PRICE. GRAVITAS shall publish a price list of its Goods ruling at the time of the order or shall confirm the price of Goods as a quotation and the Customer shall confirm acceptance by signing the quotation OR providing an order to GRAVITAS that shall be deemed as acceptance of the price or quotation. Quotations shall be valid for thirty (30) days from the date of the quotation but no quotation will constitute an offer unless signed by GRAVITAS and GRAVITAS may withdraw any quotation before the Customer signs acceptance. GRAVITAS reserves the right to alter its prices by notifying the Customer by giving two (2) weeks’ notice. All prices are exclusive of GST, insurance, freight and other handling charges. NO CANCELLATION FOR MAKE TO ORDER GOODS Upon acceptance of a GRAVITAS quotation by the Customer or Customer order to GRAVITAS for Goods or Services that are designed or procured specifically for the Customer (meaning non-standard or indented or made to order or bespoke software) and upon approval of art work and prototype (if specified in the quotation) cannot be cancelled without the Customer paying the full cost of the manufacture or procurement of the Goods or Services to the time of cancellation. DELIVERY Delivery by GRAVITAS to the site of the Customer or where the Customer uplifts the Goods from the premises of GRAVITAS or where the Customer requires GRAVITAS to store the Goods and to +/- ten per cent (10%) quantity of that declared in GRAVITAS quotation or Customer order shall constitute delivery. Delivery of Services shall be when Services are completed according to the description of the quotation or Customer order. The Customer agrees that any employee or agent of the Customer who signs for delivery shall be authorised to accept delivery and GRAVITAS will not be held liable for missing Goods or acceptance of Services where a signature has proven delivery. If the Customer is not ready to accept delivery at the time GRAVITAS is ready to supply GRAVITAS may charge stand by costs and storage costs. GRAVITAS will make every effort to ensure delivery of Goods or Services on time but will not be liable for any loss or damage or consequential loss to the Customer arising from delays in delivery. Goods may be delivered separately and in such case each delivery will be regarded as a separate contract and subject to the same payment terms. QUOTATIONS AND PRICE. 2.1 The Company shall publish a price list or provide a quotation for its Goods and Services excluding GST following instructions from the Customer and the Customer shall confirm the cost by signing an order to the Company or signing the Company’s quotation. Quotations shall be valid for (60) sixty days but the Company may withdraw any Quotation before Customer signed acceptance. The Company may cancel any order without liability if it considers the order uneconomic or impractical to fulfil. 2.2 The quotation price may be increased if the Company suffers any cost increases which are beyond its control in the supply, production and delivery of Goods (including increases in import costs and changes in currency) between the date of contract (or, where the contract arises from a quotation the date of the quotation) and the date of delivery, where the Company can supply written evidence of such cost increases or if the Customer varies or alters its requirements for the Goods. Variations and alterations may result from changes to instructions from the Customer requiring a changed basis for the cost of Goods OR additional parts, materials or Services. Any variations regarding price or supply to that agreed in the quotation or order that may be agreed between the parties during the period of supply shall be in writing and take precedence over that part of the quotation or order so affected. 2.3 No order that is accepted by the Company may be cancelled without the consent of the Company, and unless the Customer pays for all costs and expenses incurred by the Company in fulfilling the order to the date of cancellation; and if the Goods or any part of the Goods cannot be cancelled from the original manufacturer the Customer will be held liable for the cost of the Goods ordered or prepared by the Company to the time of cancellation. 2.4 For the sale of Goods or Services to Companies or Incorporations not registered in New Zealand the price shall be the quotation accepted by the Customer; and subject to any variation of this clause which will be notified to the Customer in writing, the price shall be paid by the Customer to the Company as follows: (a) in cleared funds prior to shipment of the Goods or establishment of the job or provision of services by the Company such as credit card payment, OR (b) by irrevocable letter of credit at sight and established by the Customer, OR (c) by any other means as notified to the Customer in writing when the order is placed.

The Customer is responsible for ensuring the accuracy of Goods and Services descriptions in the Quotation. When accepting a Quotation, the Customer acknowledges that they have read, understood, and agrees to abide by our Terms and Conditions. 3.4. CS/CD reserves the right to make minor technical changes to Goods or Services for product improvement. 3.5. In some instances CS/CD will make clear that all or part of a quotation is a preliminary or budgetary price which will be subject to further investigation and potential adjustment following the Detailed Measure / Survey. 3.6. In the event that the Customer requests or agrees to any variations, the agreed Price will be subject to adjustment by an agreed-upon amount and time period, as mutually determined by both parties.
