Rent and Expenses. Beginning on the date hereof (the “Rent Commencement Date”), Lessee shall pay Lessor annual ground rent (“Rent”) during the Term in accordance with the provisions of this section 3 (the twelve month period starting on the Rent Commencement Date and each calendar year during the Term thereafter is a “Lease Year”). So long as the Development Lease Agreement remains in effect, Rent shall be and remain One Dollar ($1.00) per year.
Rent and Expenses. Beginning on the first day of the first calendar month following the Suite 525 Commencement Date (the “New Rent Schedule Start Date”), Rent and Expenses due and payable by Tenant under the Lease will be altered as follows: a) The Monthly Base Rent due and payable for the entirety of Tenant’s Premises (other than for Suite 370, if in fact Tenant still occupies that Suite as of the New Rent Schedule Start Date) shall be $48,500.00. This Monthly Base Rent shall be deemed fully net of all Operating Expenses and Taxes except in the case of Suite 395, which is more fully discussed below. If Tenant continues to occupy Suite 370 after the New Rent Schedule Start Date, then it shall continue to pay Monthly Base Rent (as well as all Operating Expenses and Taxes) for that Suite per the terms of the Fifth Amendment until such time as Tenant vacates that suite, leaving it in the condition required by the Lease. b) For the period from the Suite 525 Commencement Date and the New Rent Schedule Start Date (in the event those two dates are not the same), Tenant shall continue to pay the amounts of rent and expenses currently specified under the existing Lease for all of its existing suites, and shall pay $896.16 per diem in regards of all Base Rent and Operating Expenses and Taxes due for Suite 525. c) Commencing on the New Rent Schedule Start Date, the entirety of Tenant’s Premises and its Lease thereof shall be deemed fully net of all Operating Expenses and Taxes for the remainder of the Lease Term. In addition to Monthly Base Rent, Tenant shall be obligated to pay Rent Adjustments and Rent Adjustment Deposits per the terms of the Lease, and all references toBase Year” that appear in the definitions of Rent Adjustments and Rent Adjustment Deposits, Operating Expenses, Taxes and in Lease Sections 1.1(13) and 4.1 shall no longer apply. The Tenant covenants and agrees to pay the following expenses related to leasing the Leased Space: (a) business taxes and licenses; (b) property taxes, if applicable; (c) all maintenance and repairs to the Leased Space, except as provided for in Section 9 herein; (d) all costs associated with emergency calls and repairs made as a result of the negligence or misconduct of the Tenant or the Occupants of the Leased Space; (e) insurance premiums related to insurance as specified in this Lease; and, (f) harmonized sales tax, and/or any like taxes imposed by any governing authority. The Tenant hereby agrees to indemnify, defend and save the Landlord harmless in respect of any liability to the Landlord in respect of the expenses payable by the Tenant as provided for herein. The Landlord shall not be liable for any loss of business by the Tenant or for any injury to the Tenant, its servants, agents, employees, customers, invitees or the Occupants or for any injury or damage to the Leased Space or to any property of the Tenant or Occupants caused by any interruption or failure in the supply of utilities to the Leased Space. If the Tenant fails to make any of the payments required by this Lease or perform any of its obligations pursuant to this Lease, then the Landlord may, but is not obligated to, make such payments or perform such obligations and charge the Tenant as Additional Rent. This rent also includes an advance payment of € 18 per rental month for the supply of electricity. At the end of the term an individual final invoice will be drawn up for the tenant itemizing the difference between the actual electricity cost and the advances already paid. The lessor delivers the final invoice within three months after the rental term. The final settlement is based on this principle : the actual electricity consumption comprises the sum of the individual consumption and one eighth of the common consumption in the community of 8 rooms.

Rent and Expenses. Beginning on the respective Commencements Dates for each suite, Tenant shall pay Monthly Base Rent as follows: Suite 360: $6,165.04 per month, increasing on the first anniversary of the Suite 360 Commencement Date and annually thereafter by three percent (3%). Suite 370: $7,476.02 per month, increasing on the first anniversary of the Suite 370 Commencement Date and annually thereafter by three percent (3%). In the event any of the respective Commencement Dates occurs on other than the first day of a calendar month, the Monthly Base Rents shall be pro-rated accordingly. The first two (2) months of the lease terms of both Suite 360 and 370 shall be free of any Monthly Base Rent (but not free of Operating Expenses nor Taxes). The Monthly Base Rent amounts shown above are intended to be fully triple-net of all Operating Expenses and Taxes. As such, there is no Base Year applicable to either Suite 360 nor to Suite 370 as there is with Tenant’s premises existing in advance of the Fourth Amendment. In addition to Base Monthly Rent for Suites 360 and 370, Tenant is also obligated to pay Rent Adjustments and Rent Adjustment Deposits beginning on the respective suites’ Commencement Dates per the terms of the Lease, with the exception that all references to the “Base Year” that appear in the definitions of Rent Adjustment Deposits, Operating Expenses, Taxes and in Lease Sections 1.1(13) and 4.1 do not apply.
