SCOPE AND PROCEDURE. The CONSULTANT shall conduct the SERVICES in accordance with the General Scope of Work attached to this CONTRACT as "Exhibit 2" and made a part hereof as if fully set forth herein. The performance of the SERVICES referred to in "Exhibit 2" shall be the primary basis for measurement of performance under this CONTRACT. The COMMISSION specifically reserves the right and privilege to enlarge or reduce the scope; or to cancel, any phase of any work assignment begun under this CONTRACT at any time. Upon notification by the MDOT Project Manager or his designee, the CONSULTANT may be advised of a time and place for a Scope of Work Meeting to discuss the proposed work of a specific Work Assignment. The Scope of Work Meeting may include a detailed discussion of the specific information about the project, the schedule of the project, MDOT procedures, the services the CONSULTANT will be required to provide, and the contract administration. The MDOT Project Manager or his designee may authorize the CONSULTANT to conduct a preliminary visit to the project site to obtain essential information for preparing an estimate of time and costs to perform the work. The CONSULTANT shall submit minutes of the Scope of Work Meeting to the MDOT Project Manager or his designee within two (2) weeks after the meeting, unless instructed otherwise. The minutes shall include, but are not limited to, a list of attendees, a list of all requirements the CONSULTANT is responsible for, and a list of all action items by MDOT that are needed to finalize the CONSULTANT’S Scope of Work. Upon request of the MDOT Project Manager or his designee, the CONSULTANT shall complete the Exhibit 8 setting forth the specific Scope of Work, the progress schedule, and maximum cost (along with a cost fee breakdown) and submit the requested number of original signed copies to the MDOT Project Manager for review and further handling. Upon agreement between the parties, the CONSULTANT’s Exhibit 8 will be issued a Work Assignment number and a written Work Assignment setting forth the specific Scope of Work, the progress schedule, and maximum cost for that particular Work Assignment or phase shall be executed and attached to this CONTRACT as a part of “Exhibit 8". An Executed copy of the Work Assignment will then be forwarded to the CONSULTANT. The CONSULTANT may not begin work on any feature of any such Work Assignment prior to the Notice to Proceed date from the COMMISSION.

SCOPE AND PROCEDURE. The SCOPE AND PROCEDURE for this PROJECT shall be: (Description of Project), as set forth in Exhibit A, WORK PLAN, which is attached hereto and incorporated as if fully set out herein. The scope of work is further defined by the PROJECT design and construction plans (“PROJECT PLANS”) on file with the DEPARTMENT and the SPONSOR and referenced as if attached hereto and incorporated as if fully set out herein. The SPONSOR shall be responsible for assuring that the PROJECT will be economically feasible and based upon sound engineering principles, meet American Association of State Highway and Transportation Officials ("AASHTO") Guidelines and will be sensitive to ecological, environmental and archeological issues. The WORK PLAN sets out the scope of work for the PROJECT. It is understood and agreed that the DEPARTMENT shall participate only in the PROJECT as specified in Exhibit A, WORK PLAN. During the development of the PROJECT the SPONSOR has taken into consideration, as applicable, the DEPARTMENT's “Standard Specifications for the Construction of Roads and Bridges”, 1993 Edition; "Supplemental Specifications Book", current edition; AASHTO standards for bicycle facilities; FHWA guidelines for pedestrian facilities; compliance with the U.S. Secretary of the Interior "Standards and Guidelines, Archaeology and Historic Preservation"; compliance with Section 106 of the National Historic Preservation Act of 1966 and with Section 4(f) of the US DOT Act of 1966; compliance with the Archaeology and Historic Preservation Act of 1974; compliance with the Archaeological Resources Protection Act of 1979 and with the Native American Xxxxxx Protection and Repatriation Act, the Georgia Abandoned Cemeteries and Burial Grounds Act of 1991; compliance with the DEPARTMENT's Scenic Byways Designation and Management Program, and with the American Society of Landscape Architect Guidelines; compliance with the Outdoor Advertising Requirements as outlined in the Official Code of Georgia Annotated, Section 32-6-70 et.seq. and other standards and guidelines as may be applicable to the PROJECT. The SPONSOR shall acquire rights of way for the PROJECT in accordance with State and Federal Laws, DEPARTMENT's Right of Way Procedure Manual, Federal Regulations and particularly Title 23 and 49 of the Code of Federal Regulations ("CFR"), as amended, and any additional written instructions given by the DEPARTMENT. SCOPE AND PROCEDURE. The SPONSOR shall perform or cause to be performed the scope of work as shown in Exhibit A, hereinafter referred to as the “PROJECT”, which is attached hereto and made a part hereof the same as if fully set out herein, and for such work the DEPARTMENT shall compensate the SPONSOR in the amount and fashion as required by the pertinent provisions set out below.
SCOPE AND PROCEDURE. Each employee covered by this Agreement shall be periodically evaluated by his/her supervisor using an evaluation form cooperatively developed by designees of the Board and the Association and approved by the Board of Education. Individual evaluation shall be based upon the employee's work performance and other work related areas over a reasonable period of time. Prior to October 15 or at the time of employment, whichever comes first, each member of the bargaining unit will be furnished a copy of the evaluation form to be used that school year and/or shall be apprised of the specific criteria upon which he/she will be evaluated if such criteria are not clearly set forth in the evaluation form. The parties shall mutually agree upon a single arbitrator, who shall establish the rules applicable to the arbitration and whose decision in the matter shall be final and binding upon all concerned. In the event that an agreement on an arbitrator to settle the dispute is not reached within thirty (30) days after notification of the request for arbitration, it is hereby agreed that such breach or dispute shall be resolved by final and binding arbitration in accordance with the commercial arbitration rules then in effect of the American Arbitration Association; provided, however, that only a single arbitrator shall be used.

  • Notice and Procedures If any suit, action, proceeding (including any governmental or regulatory investigation), claim or demand shall be brought or asserted against any person in respect of which indemnification may be sought pursuant to either paragraph (a) or (b) above, such person (the “Indemnified Person”) shall promptly notify the person against whom such indemnification may be sought (the “Indemnifying Person”) in writing; provided that the failure to notify the Indemnifying Person shall not relieve it from any liability that it may have under paragraph (a) or (b) above except to the extent that it has been materially prejudiced (through the forfeiture of substantive rights or defenses) by such failure; and provided, further, that the failure to notify the Indemnifying Person shall not relieve it from any liability that it may have to an Indemnified Person otherwise than under paragraph (a) or (b) above. If any such proceeding shall be brought or asserted against an Indemnified Person and it shall have notified the Indemnifying Person thereof, the Indemnifying Person shall retain counsel reasonably satisfactory to the Indemnified Person (who shall not, without the consent of the Indemnified Person, be counsel to the Indemnifying Person) to represent the Indemnified Person in such proceeding and shall pay the fees and expenses of such counsel related to such proceeding, as incurred. In any such proceeding, any Indemnified Person shall have the right to retain its own counsel, but the fees and expenses of such counsel shall be at the expense of such Indemnified Person unless (i) the Indemnifying Person and the Indemnified Person shall have mutually agreed to the contrary; (ii) the Indemnifying Person has failed within a reasonable time to retain counsel reasonably satisfactory to the Indemnified Person; (iii) the Indemnified Person shall have reasonably concluded that there may be legal defenses available to it that are different from or in addition to those available to the Indemnifying Person; or (iv) the named parties in any such proceeding (including any impleaded parties) include both the Indemnifying Person and the Indemnified Person and representation of both parties by the same counsel would be inappropriate due to actual or potential differing interest between them. It is understood and agreed that the Indemnifying Person shall not, in connection with any proceeding or related proceedings in the same jurisdiction, be liable for the fees and expenses of more than one separate firm (in addition to any local counsel) for all Indemnified Persons, and that all such fees and expenses shall be paid or reimbursed as they are incurred. Any such separate firm for any Underwriter, its affiliates, directors and officers and any control persons of such Underwriter shall be designated in writing by the Representatives and any such separate firm for the Company, its directors, its officers who signed the Registration Statement and any control persons of the Company shall be designated in writing by the Company. The Indemnifying Person shall not be liable for any settlement of any proceeding effected without its written consent, but if settled with such consent or if there be a final judgment for the plaintiff, the Indemnifying Person agrees to indemnify each Indemnified Person from and against any loss or liability by reason of such settlement or judgment. Notwithstanding the foregoing sentence, if at any time an Indemnified Person shall have requested that an Indemnifying Person reimburse the Indemnified Person for fees and expenses of counsel as contemplated by this paragraph, the Indemnifying Person shall be liable for any settlement of any proceeding effected without its written consent if (i) such settlement is entered into more than 30 days after receipt by the Indemnifying Person of such request and (ii) the Indemnifying Person shall not have reimbursed the Indemnified Person in accordance with such request prior to the date of such settlement. No Indemnifying Person shall, without the written consent of the Indemnified Person, effect any settlement of any pending or threatened proceeding in respect of which any Indemnified Person is or could have been a party and indemnification could have been sought hereunder by such Indemnified Person, unless such settlement (x) includes an unconditional release of such Indemnified Person, in form and substance reasonably satisfactory to such Indemnified Person, from all liability on claims that are the subject matter of such proceeding and (y) does not include any statement as to or any admission of fault, culpability or a failure to act by or on behalf of any Indemnified Person.

  • Review and Procedure Limitations The Asset Representations Reviewer will have no obligation (i) to determine whether a Delinquency Trigger has occurred, (ii) to determine whether the required percentage of Noteholders has voted to direct a Review, (iii) to determine which Receivables are subject to a Review, (iv) to obtain or confirm the validity of the Review Materials, (v) to obtain missing or insufficient Review Materials (except to the extent set forth in Section 3.04), or (vi) to take any action or cause any other party to take any action under any of the Basic Documents to enforce any remedies for breaches of any Eligible Representations. The Asset Representations Reviewer will only be required to perform the Tests provided in Exhibit A and will have no obligation to perform additional testing procedures on any ARR Receivables or to consider any additional information provided by any party. The Asset Representations Reviewer will have no obligation to provide reporting or information in addition to that described in Section 3.07. However, the Asset Representations Reviewer may review and report on additional information that it determines in good faith to be material to its performance under this ARR Agreement and may re-perform a Review with respect to an ARR Receivable as contemplated by Section 3.09. The Issuing Entity expressly agrees that the Asset Representations Reviewer is not advising the Issuing Entity or any Noteholder or any investor or future investor concerning the suitability of the Notes or any investment strategy. The Issuing Entity expressly acknowledges and agrees that the Asset Representations Reviewer is not an expert in accounting, tax, regulatory, or legal matters, and that the Asset Representations Reviewer is not providing legal advice as to any matter.
